When Boards Undermine CEOs: How ‘Help' Turns Into Harm

In times of uncertainty, the relationship between a board and the executive team should be a source of strength. But when performance is under pressure, that relationship quickly becomes a source of strain. Yes, boards have a critical job to do. Their oversight, accountability, and long-term perspective are vital to company health and performance. It's when that oversight tips into overreach that the cost to the business can be significant. Here's what that can look like: Board Engagement Goes Into Overdrive Instead of giving management space to course correct, boards increase the volume of requests and deepen their involvement. Management ends up spending more time preparing decks or responding to board questions than solving problems and addressing issues. You're Pushed To Engage Board-Favored Firms Or Consultants Even well-intentioned referrals can feel politically loaded if those advisors are seen as board proxies rather than true partners to the CEO and management team. The Chair Dominates; Other Board Members Stay Quiet Power can become concentrated in a single board member, especially in crisis or founder-led environments. Without active participation or leadership from the rest of the board, governance suffers, and CEOs are left navigating a one-person approval funnel. Founders Who Sit On Boards Interfere In founder-led or founder-influenced companies, legacy leaders may continue to attend internal meetings or offer informal input. While their insight can be valuable, this often confuses authority and undermines the CEO's role in leading. The Appetite For Detail Becomes Unmanageable Some diligence is essential. But when board members dive too deep or question every metric or data point, it doesn't just slow things down — it sends an implicit message: 'I don't trust you.' Why It's Happening More Often The broader environment is contributing: Tariffs, supply chain volatility, geopolitical instability — these headwinds increase pressure on boards to 'do something.' When numbers dip, so does confidence, and without visible progress, some boards stop believing the leadership team has it under control and start stepping in. This dynamic can be even more pronounced in founder-led, PE-backed, or highly operational boards, where the distinction between governing and managing may not be as clearly defined. Another sensitivity: Many management teams see the breakdown coming before the CEO does. They may want the CEO to push back on the board, but that's no small task. Boards hold power, and speaking up takes political capital and comes with real risk. How To Reset Your Relationship With The Board: First Steps While overreach from the board can become frustrating, exhausting, and disappointing for management teams, the dynamic presents an opportunity to reestablish boundaries, grow trust, and strengthen transparency. Consider these steps:

Deadline Alert: Sable Offshore Corp. (SOC) Investors Who Lost Money Urged to Contact Glancy Prongay & Murray LLP About Securities Fraud Lawsuit

LOS ANGELES--(BUSINESS WIRE)-- Glancy Prongay & Murray LLP reminds investors of the upcoming deadline to file a lead plaintiff motion in the class action filed on behalf of investors who purchased or otherwise acquired Sable Offshore Corp. ('Sable' or the 'Company') (NYSE: SOC) securities between May 19, 2025 and June 3, 2025, inclusive (the 'Class Period'), and/or pursuant and/or traceable to the Company's May 21, 2025 secondary public offering (the 'SPO'). IF YOU SUFFERED A LOSS ON YOUR SABLE INVESTMENTS, CLICK HERE TO INQUIRE ABOUT POTENTIALLY PURSUING CLAIMS TO RECOVER YOUR LOSS UNDER THE FEDERAL SECURITIES LAWS. What Happened? On May 19, 2025, Sable announced that it had resumed oil production from one of three offshore platforms related for its Las Flores pipelines ('Onshore Pipeline') in California. Then, on May 23, 2025, the California State Land Commission sent Sable a letter regarding its May 19th announcement, warning that it 'appears to mischaracterize the nature of recent activities, causing significant public confusion and raising questions regarding Sable's intentions,' and that Sable had conflated offshore well testing activities required by a federal regulatory agency with the restart of operations. Then, on May 28, 2025, the Santa Barbara County Superior Court approved a preliminary injunction from the California Coastal Commission regarding Sable's maintenance and repair work in the coastal zone related to the Onshore Pipeline. On this news, Sable's stock price fell $5.04, or 15.3%, to close at $27.89 per share on May 28, 2025, thereby injuring investors. Then, on June 4, 2025, Sable disclosed that a Santa Barbara County Superior Court Judge had granted 'temporary restraining orders prohibiting [Sable] from restarting transportation of oil through the Las Flores Pipeline System.' On this news, Sable's stock price fell $0.94, or 3.9%, to close at $23.10 per share on June 4, 2025, thereby injuring investors further. What Is the Lawsuit About? The complaint filed in this class action alleges that throughout the Class Period, Defendants made materially false and/or misleading statements, as well as failed to disclose material adverse facts about the Company's business, operations, and prospects. Specifically, Defendants failed to disclose to investors that: (1) Defendants represented that Sable Offshore Corp. had restarted oil production off the coast of California when it had not; and (2) as a result, Defendants' positive statements about the Company's business, operations, and prospects were materially misleading and/or lacked a reasonable basis at all relevant times. If you purchased or otherwise acquired Sable securities during the Class Period, you may move the Court no later than September 26, 2025 to request appointment as lead plaintiff in this putative class action lawsuit. Lingerie Fighting Championships Up-lists to OTCID Following Successful UK Events

LAS VEGAS, Aug. 04, 2025 (GLOBE NEWSWIRE) -- Lingerie Fighting Championships, Inc. ('LFC') (OTC Pink:BOTY) announced today that they have up-listed to the newly created OTCID market. In order to do so they had to meet all criteria including be fully SEC reporting, be in good standing with state and federal regulators, retain a recognized transfer agent and file a Company Verified Profile and Management Certification with the OTC. 'It was a lengthy process,' CEO Shaun Donnelly admits, 'but ultimately I thought it was worth the time to show our shareholders we're committed to transparency.' Last month, LFC did their first ever events in the UK and fans are still buzzing about them. LFC43: Sindependence Day 2 went down in London on the 4th of July at the historic Stanley Arts building. The sweat had barely dried on the canvas when the league was back in action just two nights later at the Vale Arena in Cardiff, Wales for LFC44: Underground Knockouts. 'Getting to do events in London and Cardiff was absolutely amazing,' Donnelly says. 'For many of our fighters it was a lifelong dream come true.' LFC43 in London was carried on live PPV in both the UK and the US and has already earned more money than any previous LFC event. 'I think the Team USA vs Team UK format really appealed to people,' Donnelly says. 'Even new fans who might not know any of our fighters had an instant cheering interest based on their nationality.' If you missed the live feed, you can still see the LFC43 replay on ToroTV and on LFC's site at (where LFC44 will debut on August 15). When asked if the league would ever consider returning to the UK, Donnelly gave a very enthusiastic affirmation, adding there are other countries he'd like to hold events as well. 'I think you could say the entire league has been bitten by the travel bug after these shows. I can't wait to see where we go next.' About Lingerie Fighting Championships Inc.
