SES S.A. today announced the successful launch and pricing of a dual-tranche note offering in which the company has agreed to sell senior unsecured fixed rate notes under its €5,500,000,000 EMTN Programme (the 'Notes'). Settlement is expected to take place on 24 June 2025: EUR 500 million of Notes will bear a coupon of 4.125% due in 2030.
EUR 500 million of Notes will bear a coupon of 4.875% due in 2033.
SES is rated Baa3, negative outlook by Moody's and BBB, negative outlook by Fitch.
SES shall apply the net proceeds of the Notes towards its general corporate purposes, including, without limitation (i) financing all or part of the purchase price of the acquisition of Intelsat Holdings S.A. ('Intelsat' and Intelsat and its subsidiaries being the 'Intelsat Group') (the 'Acquisition') (including the payment of fees, costs and expenses in relation to the Acquisition) and/or (ii) refinancing existing indebtedness of the Group and/or (following closing of the Acquisition) the Intelsat Group.
Promptly following the Issue Date, SES intends to cancel the bridge facility in relation to the Acquisition in an amount at least equal to the net proceeds of the Notes.
SES also announces that, to further optimise the debt structure of the combined entity following the Acquisition, it intends to redeem (in aggregate) up to US$ 3 billion of the 6.500% First Lien Senior Secured Notes due 2030 issued by Intelsat Jackson Holdings SA ('SSNs') on, and conditional upon, closing of the Acquisition and settlement of the Notes. This will be achieved by the redemption of part or all of the SSNs in accordance with the optional redemption provisions governing the SSNs. Additionally, SES may from time to time conduct open market purchases of the SSNs.
Deutsche Bank and Morgan Stanley acted as Global Coordinators and Joint Bookrunners, together with Goldman Sachs International, ING, J.P. Morgan, Société Générale as Joint Bookrunners. The settlement is scheduled for 24 June 2025 and application has been made for the Notes to be listed on the Luxembourg Stock Exchange. The securities were placed with a broad range of institutional investors across Europe and Americas region.
The successful, pricing of €1 billion dual-tranche bond offering, provides SES enhanced financial flexibility which in combination with an existing strong balance sheet gives SES sufficient liquidity to cover upcoming maturities. This reflects SES's disciplined financial policy and commitment to investment grade metrics and sets the combined company on a strong footing for long-term balance sheet strength.

FRIEDBERG, Germany--(BUSINESS WIRE)--voxeljet AG (the 'Company', 'voxeljet', or 'we'), a provider of high-speed, large-format 3D printers and on-demand parts services to industrial and commercial customers, today announced that main investor Anzu Special Acquisition Corp II ('Anzu') will contribute new equity capital of EUR 2.5 million as part of a plan confirmed today by the court in Munich. The plan additionally provides for a debt waiver totalling EUR 3.5 million debt owed to Anzu and extension of the debt maturity until 2031. These measures are intended to ensure the Company's long-term financing and position voxeljet for future success. With the court's confirmation of the plan, we believe this phase of the process is complete.' The court-confirmed plan will result in the exclusion of the current shareholders of voxeljet AG without compensation. Subsequently, the company's capital will be increased excluding the subscription rights of the current shareholders. Anzu, as the only financial creditor affected by the plan, will exclusively be admitted to subscribing to the new shares. The debt waiver will be composed of EUR 500,000 to be waived in 2025 and EUR 1,500,000 in each of 2026 and 2027. Furthermore, the annual interest rate will be reduced to 3% p.a. from July 2026 onwards. No interest payments are due until after June 30, 2026. The plan also stipulates that the promissory note loans will only become due for repayment on January 2, 2031. The plan shall be implemented immediately after the plan confirmation becomes legally binding. ARLINGTON, Va.--(BUSINESS WIRE)--Venture Global, Inc. ('Venture Global', NYSE:VG) announced today that its subsidiary, Venture Global Plaquemines LNG, LLC ('VGPL') has closed an offering of $4,000,000,000 aggregate principal amount of senior secured notes, which has been issued in two series: (i) a series of 6.50% senior secured notes due 2034 in an aggregate principal amount of $2,000,000,000 (the '2034 Notes') and (ii) a series of 6.75% senior secured notes due 2036 in an aggregate principal amount of $2,000,000,000 (the '2036 Notes' and, together with the 2034 Notes, the 'Notes'). The 2034 Notes will mature on January 15, 2034 and the 2036 Notes will mature on January 15, 2036. Venture Global announced today that its subsidiary, VG Plaquemines LNG (VGPL) has closed an offering of $4B aggregate principal amount of senior secured notes, bringing the combined aggregate amount of senior secured notes issued by VGPL to $6.5B.
