Food delivery, ecommerce, ride hailers and other consumer-facing startups are evaluating applying to the union government for an explicit approval for Aadhaar authentication as they struggle to verify their gig workers via simple Aadhaar eKYC processes , industry insiders said.This comes on the back of the ministry of electronics and information technology's (Meity) crackdown on all forms of unauthorised use of Aadhaar-based digital onboarding services ET reported this development on June 9.Meity even blocked access to the websites of startups like Zoop, Surepass, Digitap and others to arrest unauthorised access to government databases, ET had reported.Service providers like Protean eGov Technologies can offer access to the Aadhaar rails through a secured channel once the concerned ministry clears the proposal from these private companies.'We now have the capability to offer Aadhaar authentication services to private platforms, particularly relevant for specific use-cases, such as verifying gig workers at scale, where the trust built into Aadhaar can significantly strengthen KYC processes,' said Bertram D'Souza, chief product and innovation officer at Protean eGov Technologies.'We are already in multiple conversations with players in the tech industry. However, it is important to note that ministry approval remains a required part of the process,' he added.On January 31, the government issued a notification allowing private companies to use Aadhaar rails for specific purposes, but only after an explicit clearance from the concerned government department. It is through this route that startups are hoping to impress upon the government the need for them to use the Aadhaar database for authentication of their delivery personnel and frontline workers.While regulated entities are allowed access to the Aadhaar database, the challenge lies with unregulated entities using secured channels for authentication of any user, specifically used to onboard blue-collar workers.Wriju Ray, chief business officer, Idfy, a Mumbai-based identity verification startup, explained that to verify their delivery executives, some e-commerce players were using the screens of the 'offline' Aadhaar website through unauthorised means, a practice deemed to be illegal by Meity and UIDAI.'We are now in talks with these e-commerce players to migrate them to Digilocker-based verification of Aadhaar or a simple redirection-based process to verify the delivery executive against offline Aadhaar,' Ray added.A senior executive at another identity verification startup pointed out that most gig workers are onboarded through an assisted channel and unless the concerned person has Digilocker on his or her phone, the verification journey becomes complicated.If Aadhaar rails can be accessed through due permission of the authorities, then identity verification startups can operate as technology service providers acting as a bridge between tech startups and the likes of Protean and drive these verifications through a consent mechanism.In its March quarter presentation Protean eGov reported that it has processed around 327.5 crore Aadhaar-based authentication services since it started. In FY25 alone the publicly listed company said it processed fifty-six crore such transactions with around 10 lakh authorised every day. Protean does around 12 lakh eKYC transactions daily. According to data from UIDAI, in June alone 1.1 billion authentication services and 287 million eKYC services were undertaken through Aadhaar.

Over 44,000 of WNS' 65,000 employees are based in India. WNS, founded in 1996 and which is listed on the New York Stock Exchange, counts United Airlines, Aviva, M&T Bank, Centrica and McCain Foods among its key customers. It was initially established as a captive business process and back-office unit of British Airways. In 2002, Warburg Pincus acquired a majority stake, leading to WNS becoming an independent entity. WNS will add $1.2 billion to Capgemini's revenue of about 22.1 billion euro last fiscal. The two together will have an operating margin of about 13.6%. Capgemini will acquire WNS for a cash consideration of $76.5 per share, reflecting a premium of 17% over the closing price on July 3. Explaining the rationale of the acquisition, Capgemini CEO Aiman Ezzat said enterprises are rapidly adopting generative AI and agentic AI to transform their operations end-to-end, and business process services will be the showcase for agentic AI. " Keshav R Murugesh, CEO of WNS, said, "By combining our deep domain and process expertise with Capgemini's global reach, cutting-edge GenAI and agentic AI capabilities, a robust partner ecosystem, and advanced technology platforms, we are creating a powerful proposition that accelerates enterprise reinvention. WNS' complementary portfolio of horizontal and industry-specific solutions will significantly enhance Capgemini's rapidly growing business services footprint, enabling next-generation, data-driven operations across sectors. " WNS has delivered an average constant currency revenue growth of over 9% over the past three fiscal years, reaching $1.2 billion in revenue in the 2025 financial year with an operating margin of 18.7%. The transaction will position Capgemini as one of the key players in digital BPS. With combined digital BPS revenues of 1.9 billion in 2024, Capgemini will be better equipped to support clients in their end-to-end business and technology transformation journeys. WNS also helps Capgemini expand more into the US and UK. Currently, about 51% of its revenue comes from Continental Europe. Phil Fersht, CEO of IT consulting firm HfS Research, said that from a competitive perspective, another potential big win for Capgemini is its new positioning against the Big 4 (Deloitte, PwC, EY, and KPMG), which have traditionally dominated consulting and technology services. "With WNS's operational expertise integrated into its offerings, Capgemini could deliver end-to-end transformation services that the Big 4 cannot – and at lower price points. In some cases, like procurement services, Capgemini acquires a well-established strategic sourcing capability built on WNS's 2017 Denali acquisition, strengthening Capgemini's F&A and procurement capabilities." Fersht said he would expect Murugesh to stay in the company in the short term to work on the transition with Capgemini leadership, but it may eventually opt to turn to the vast BPO leadership of Kevin Campbell, who recently joined Capgemini through the Syniti acquisition. "Campbell was one of the original pioneers of merging BPO and IT services when he led that function during Accenture's growth years," Fersht noted. Ramkumar Ramamoorthy, partner in Catalincs and former Cognizant India CMD, said the acquisition is a profound validation of how much technology is front-and-centre for the reimagination of business operations and processes, more so in the context of generative AI and agentic AI. "While traditional IT companies have organically built their BPO businesses to several billions of dollars in revenue, specialist BPO companies have struggled to build out their technology capabilities. In many cases, even acquisitions have not come to their rescue," he said. Capgemini anticipates achieving revenue synergies in the range of 100 million to 140 million on a run-rate basis by 2027 end.

Capgemini to acquire WNS for $3.3 bn in major BPM industry deal

In a landmark development in the IT services and business process management (BPM) space, French multinational Capgemini announced its acquisition of Mumbai-based WNS for $3.3 billion (over Rs 28,000 crore) in an all-cash transaction. The deal, priced at $76.50 per WNS share, offers a 28 per cent premium over the last 90-day average, 27 per cent over the 30-day average, and 17 per cent over the closing price as of July 3, 2025. The transaction, unanimously approved by the boards of both companies, is expected to be accretive to Capgemini's normalized earnings per share by 4 per cent before synergies in 2026 and 7 per cent post-synergies in 2027. Subject to regulatory and shareholder approvals, as well as a green light from the Royal Court of Jersey, the deal is slated to close by year-end through a court-sanctioned scheme of arrangement. WNS, a global BPM player, operates across three key headquarters—in Mumbai (global HQ), New York (North America HQ), and London (UK and EMEA HQ)—and has a strong presence in India with 25 delivery centres employing nearly 39,700 people. The company serves clients across diverse industries, delivering digital-led transformation solutions through highly automated platforms. Shares of WNS (Holdings) soared by over 14 per cent on the New York Stock Exchange in the morning session on Monday. Institutional investors hold around 90 per cent stake in WNS. The acquisition will expand Capgemini's capabilities in Digital BPS and Intelligent Operations. With investments in AI and strategic partnerships with Microsoft, Google, AWS, Mistral AI, and NVIDIA, Capgemini reported over euro 900 million in Gen AI bookings in 2024. The combined entity would have generated euro 23.3 billion in revenue with a 13.6 per cent operating margin in 2024, including euro 1.9 billion in Digital BPS revenue. Capgemini CEO Aiman Ezzat said the acquisition positions the group to lead in Intelligent Operations, blending consulting, technology, platforms, and deep industry expertise. WNS CEO Keshav R. Murugesh echoed the sentiment, noting the shift from automation to autonomy as clients seek to embed AI into their operating models. To finance the deal, Capgemini has secured bridge financing of euro 4 billion, covering the purchase price, WNS's gross debt, and the redemption of a euro 0.8 billion bond due in June 2025. It plans to refinance the bridge through a mix of existing cash and new debt issuance. Both companies emphasized their cultural alignment and history of successful integrations, which they believe will ensure a smooth transition. The deal is set to create a global leader in Digital BPS, uniquely positioned to support enterprises in their transformation into AI-powered businesses.
