TORONTO, April 24, 2025 /CNW/ - Culico Metals Inc. (TSXV: CLCO) (" Culico", or the " Corporation"), a TSXV Sandbox issuer, is pleased to announce an equity investment of US$3,000,000 (the " Investment") into Kharrouba Copper Company Inc. (" KCC"), a private Canadian company with copper mining and processing operations located near Marrakesh in the Kingdom of Morocco.
Culico invested US$3,000,000 in exchange for 30,000,000 common shares of KCC (the " Purchased Shares") at a price of US$0.10 per Purchased Share, representing approximately 8% of the issued and outstanding common shares of KCC (the " KCC Shares"). The Corporation was also granted the right to appoint one member to the board of directors of KCC for so long as the Corporation owns 5% or more of the KCC Shares.
The Purchased Shares are subject to a four-month plus one day hold period from the date of issuance, and the Investment is subject to the final acceptance of the TSX Venture Exchange (the " TSXV"). The Investment is an arm's length transaction.

The investment into KCC was made after a review of numerous right-sized investment opportunities for Culico and allows us to deploy our investment capital in a manner that has strong potential to create substantial value for our stakeholders."
Culico is currently listed pursuant to the TSXV Sandbox, and will remain so until, among other things, Culico has deployed at least C$4,663,000.00 to at least two qualifying investments that are satisfactory to the TSXV prior to August 14, 2025. Following the completion of the Investment and its investment in Americas Gold and Silver Corporation in November 2024, Culico has now satisfied this condition and has applied to the TSXV for an exit review in respect of its TSXV Sandbox listing. Investors are advised to read the Corporation's news release dated August 14, 2024 for more information regarding the waivers granted in connection with the Corporation's listing, details on the listing conditions imposed on the Corporation, the exit conditions the Corporation must meet in order to exit TSXV Sandbox, and any consequences if the Corporation does not meet these exit conditions.
The Corporation also announces that Scott Hand, a director of the Corporation and the controlling shareholder of KCC, resigned from the Corporation's Board of Directors (the " Board") on April 10, 2025, with immediate effect and prior to the Board's consideration of the Investment. The Board's deliberations in respect of the Investment and its determination to proceed with the Investment were made following Mr. Hand's resignation from the Board and without Mr. Hand's involvement.
About Kharrouba Copper Company Inc.
KCC is a privately owned copper producer operating the KCC mine, located within an emerging copper mineral belt in the Kingdom of Morocco. The Company is led by Scott M. Hand, former CEO of Inco Ltd (sold to Brazil's Vale SA for USD $19 billion in 2006), who is also the founder the company and its largest shareholder. Morocco is a proven mining jurisdiction with a favorable tax regime and stable government. The Company has been in production since 2017, producing a high-quality copper concentrate that is currently sold to European customers. U.S. President Donald Trump on Tuesday said the U.S. and Japan have struck a deal that will lower the hefty tariffs Trump had threatened to impose on goods from its Asian ally while extracting commitments for Japan to invest $550 billion US in the United States and open its markets to American goods. The agreement — including a 15 per cent tariff on all imported Japanese goods, down from a proposed 25 per cent — is the most significant of the string of trade deals the White House has reached ahead of an approaching Aug. 1 deadline for higher levies to kick in. "This is a very exciting time for the United States of America, and especially for the fact that we will continue to always have a great relationship with the Country of Japan," Trump said on his Truth Social platform. Industry and government officials briefed on the agreement said the deal also lowers the tariff to 15 per cent from 25 per cent on Japanese autos, which account for more than a quarter of all the country's exports to the U.S. Trump's announcement followed a meeting with Japan's top tariff negotiator, Ryosei Akazawa, at the White House on Tuesday, according to a person familiar with the matter. "#Mission Complete," Akazawa wrote on the social media platform X. North American automakers raise alarm Two-way trade between the two countries totalled nearly $230 billion US in 2024, with Japan running a trade surplus of nearly $70 billion US. Japan is the fifth-largest U.S. trading partner in goods, U.S. Census Bureau data shows. The announcement sent stocks in Japan higher, led by big gains in automakers. Honda, Toyota and Nissan all gained eight per cent or more, and U.S. equity index futures gained ground. The yen strengthened against the American dollar. But U.S. automakers signalled their unhappiness with the deal, raising concerns about a trade regime that could cut tariffs on auto imports from Japan to 15 per cent while leaving tariffs on imports from Canada and Mexico at 25 per cent. Matt Blunt, who heads the American Automotive Policy Council, which represents General Motors, Ford and Chrysler-parent company Stellantis, said that "any deal that charges a lower tariff for Japanese imports with virtually no U.S. content than the tariff imposed on North American-built vehicles with high U.S. content is a bad deal for U.S. industry and U.S. autoworkers." Reuters could not immediately confirm the elements of the deal announced by Trump, and details were scant. The White House did not immediately respond to a request for additional details. Speaking early on Wednesday in Tokyo, Japanese Prime Minister Shigeru Ishiba said he had received an initial report from his trade negotiator in Washington but declined to comment on the specifics of the negotiation. Ishiba is under intense political pressure in Japan, where the ruling coalition was set back by losing control of the upper house in an election on Sunday. He said he couldn't say how a trade deal would affect his decision on whether to step down from office until he saw the details. Announcement follows Trump pattern Trump's announcement on Tuesday was of a pattern with some previous agreements. He announced the deal on social media shortly after a meeting or a phone call with a foreign official, leaving many key details a mystery — and before the other country issued its own proclamations. Nearly three weeks after Trump announced an agreement with Vietnam — in similar fashion — no formal statement has been released by either country spelling out the particulars of the deal that was ostensibly reached. LNG joint venture Speaking later Tuesday evening at the White House, Trump also expressed fresh optimism that Japan would form a joint venture with the U.S. to support a gas pipeline in Alaska long sought by his administration. "We concluded the one deal ... and now we're going to conclude another one because they're forming a joint venture with us at, in Alaska, as you know, for the LNG," Trump told lawmakers at the White House. "They're all set to make that deal now." Japanese officials had initially doubted the practicality of the project but warmed to it — and a range of other investments dear to Trump — as a potential incentive to resolve trade disputes with Washington. Trump aides are feverishly working to close trade deals ahead of an Aug. 1 deadline that the president has repeatedly pushed back under pressure from markets and intense lobbying by industry. By that date, countries are set to face steep new tariffs beyond those Trump has already imposed since taking office in January. While Trump has said that unilateral letters declaring what rate would be imposed are tantamount to a deal, his team has nonetheless raced to close agreements. Trump has announced framework agreements with Britain, Vietnam, Indonesia and paused a tit-for-tat tariff battle with China, though details are still to be worked out with all of those countries.

Manitoba signs deal with Saskatchewan to bolster trade through Port of Churchill

Manitoba's experience as a leader in reconciliation will give it a leg up when it comes time for Canada to fast-track megaprojects, Premier Wab Kinew said Tuesday after signing an agreement with Saskatchewan to expand trade through the Port of Churchill. 'We're working a ton on making sure we have consensus with the Indigenous nations for the megaprojects that we want to pursue to build up the Manitoba and Canadian economy,' Kinew said. Twenty-nine First Nations and 12 northern communities own the Arctic Gateway Group, which operates the Port of Churchill and the Hudson Bay Railway that connects it to the rest of the continent. The memorandum of understanding Kinew signed with Saskatchewan Premier Scott Moe on Tuesday says the Arctic Gateway Group will invest in port and rail assets and lengthen the shipping season, which typically runs from July to November, to support increased freight capacity. Chris Avery, the chief executive officer of AGG, said they're working with the University of Manitoba and other academic and private-sector groups to update data about the shipping season, which has been getting longer over time. 'What the University of Manitoba tells us is that based on their data from over the past 40 years and what they see in their studies of the sea ice — they expect that the shipping seasons can be lengthened already without icebreakers or anything else, given climate change.' He said U of M is gathering and studying the data, which can be shared with shippers and insurance companies, he said. 'One of the impediments to extending the shipping season is because they're working off of old historical data of the shipping season and the ice patterns and so on.' New data from the U of M indicates the shipping season will be lengthened to as much as six months without the use of icebreakers, Avery said. In February, Manitoba announced $36.4 million would be given to AGG over two years for capital infrastructure projects at the port. The memo of understanding says the province will try to secure federal infrastructure funding and regulatory support to improve connectivity to northern markets, a news release said. 'When we're talking about nation-building, if we help Alberta, Saskatchewan, our other neighbors and fellow provinces and territories access the European Union, that can be really good for all of us.'–Wab Kinew The five-year plan requires Saskatchewan to 'mobilize' commodity producers and exporters through its trade offices and regional industry partners, the release said. Streamlining access to ports such as Churchill will allow for greater access to international markets, Moe said in the release. 'It helps us to unlock mining in the north, more agricultural exports in the south, manufacturing products right across our whole province,' Kinew told reporters Tuesday. 'When we're talking about nation-building, if we help Alberta, Saskatchewan, our other neighbors and fellow provinces and territories access the European Union, that can be really good for all of us.' On Tuesday, Manitoba did not sign an MOU with Ontario, Saskatchewan and Alberta to use Ontario steel to build an oil and gas pipeline and a port on James Bay as part of a national energy corridor. Manitoba Progressive Conservative Leader Obby Khan said Manitoba 'missed out on a much, much larger opportunity.' 'Why wouldn't you negotiate on the ground floor for a project that could bring massive economic opportunities and prosperity to the province?' Khan asked. Kinew said he's had 'excellent meetings' with the three premiers involved and that he didn't sign their MOU because Manitoba doesn't have the needed consensus from its Indigenous nations to do so. 'Our approach in Manitoba involves extensive leg work with Indigenous nations at the front end of the project process,' Manitoba's first First Nations premier said. 'I believe spending that time to build consensus and then to invest the energy necessary to maintain that consensus throughout the construction phase of a project, will actually see us get to the finish line as quickly or quicker than everyone else.' Kinew said the province hasn't announced a new megaproject proposal yet. 'This is work that we're undertaking carefully, strategically and quietly behind the scenes,' the premier said. 'We would love to have the federal government as an enthusiastic partner (but)…the partners that we need are the collective Indigenous nations of Manitoba that are represented by governments.' Kinew said he doesn't want Manitoba to be pitted against other provinces, but noted that Churchill has the advantage over James Bay because it is a long-running northern, deep-water port with infrastructure and Indigenous partners. A supply chain expert who teaches at the U of M Asper School of Business said the proposals for a major port at the far south end of James Bay in Ontario centre on the community of Moosonee, that has port facilities for barges, but not ships that require deep water. Like Churchill, it has rail access but no road, said Robert Parsons. The proposal to develop the James Bay port into an energy corridor 'is really more on the wish-list side,' he said. Parsons compared it to NeeStanNan's proposal to develop a liquefied natural gas terminal at Port Nelson on Hudson Bay in Manitoba. 'Both will require quite a bit of work.' The chief of one of the First Nations behind the Port Nelson LNG proposal welcomed Manitoba's agreement with Saskatchewan to bolster the Port of Churchill. 'Churchill has always been there and we support Churchill and we're also part owners of the railway,' said Clarence Easter of Chemawawin Cree Nation, one of 10 First Nations behind the NeeStaNan energy corridor. NeeStaNan has been licensed by the federal energy regulator to explore the development of exporting liquefied natural gas. Easter said he supports federal legislation to fast-track infrastructure projects such as energy corridors. 'We cannot keep doing things that we've been doing in the past because it hasn't worked before… We can't keep counting on federal handouts, provincial handouts to survive and keep living the way we've been living,' the chief said.
