TBC Bank Group acquires majority stake in Uzbekistan tech firm Billz

London-listed TBC Bank Group ('TBC PLC'), which operates the leading financial services group in Georgia and the largest digital banking ecosystem in Uzbekistan, announces its acquisition of a majority stake in BILLZ, Uzbekistan's leading retail management SaaS platform, further strengthening its offering for small and medium sized enterprises (SMEs) in the country.

Subject to standard regulatory approvals, this strategic partnership agreement signifies a landmark deal for Uzbekistan's rapidly developing tech sector and ranks among the top M&As in the country over the past three decades. It will see TBC Uzbekistan, the Group's digital banking ecosystem in Central Asia, partnering with BILLZ and incorporating the platform into its ecosystem.
TBC Bank Group agreed to acquire a majority stake in BILLZ for up to $12 million, including an initial 53% stake for $9 million with plans to increase it to 60% over the next two years, giving BILLZ a post-money valuation of $20 million. The partnership and planned investment will unlock additional catalysts for growth for both BILLZ and TBC Uzbekistan. Under the terms of the deal, BILLZ will continue to operate under its own brand, while becoming fully integrated into the TBC Uzbekistan ecosystem. The management and wider team at BILLZ will remain with the company, continuing to lead its product development and execution. TBC Bank Group has entered into a put/call arrangement for the remaining 40% of BILLZ, which can be exercised 36 months after the completion of this deal.
This agreement is set to drive customer acquisition and revenue growth for both TBC Uzbekistan and BILLZ. TBC Uzbekistan, part of London-listed TBC Bank Group, encompasses Payme, a digital payments app for individuals and small businesses; Payme Nasiya (Payme Instalments), a fast-growing instalment credit business, and TBC Bank Uzbekistan (TBC UZ), country's largest digital bank.
BILLZ is an all-in-one retail management SaaS platform for SMEs, combining POS, inventory, CRM, e-commerce, and analytics to streamline operations and drive sales. It simplifies marketing, connects seamlessly to marketplaces and social shops, and helps retailers grow online. BILLZ currently supports over 4,000 retail businesses and processes more than 1.5 million transactions per month, making it one of the most widely used SaaS platforms in the region. BILLZ will enhance TBC Uzbekistan's reach into the strategically important SME segment, providing immediate access to thousands of business customers and creating additional synergies within the ecosystem to drive average revenue per user, loyalty and stickiness. BILLZ users will in turn gain seamless access to banking and lending products provided by TBC UZ, Payme's suite of digital payments services, as well as other products within the TBC Uzbekistan ecosystem.
This landmark agreement, once completed, will mark a watershed moment for the country's tech sector. It signals a growing interest from strategic investors in Uzbekistan's innovative startups, fuelled by rising demand for digital services in Central Asia's most populous nation. The tech industry is supported by the country's positive macroeconomic backdrop, enjoying an annual average GDP growth rate of 6% over the past decade.
The strategic partnership agreement with BILLZ comes as TBC Uzbekistan continues to expand the product offering available within its digital banking ecosystem. It follows the recent launch of a new lending product for business customers, unveiled in April as part of the TBC Business offering for small and medium-sized enterprises, as well as the launches of Osmon credit card and Salom debit card last year. These products are already playing a key role in tapping new customer segments, diversifying revenue streams and driving growth of TBC's digital banking ecosystem.

The future of Right-wing politics in Britain is being decided on the cigar terraces of Mayfair. As the opinion poll surge of Nigel Farage 's Reform UK shakes the foundations of the Conservatives, power-brokers from both parties are cutting deals and war-gaming defections on adjoining tables in the capital's most salubrious salons. The Tories have been described as the most successful political party in the world, on the back of 200 years of near-electoral dominance. But if leader Kemi Badenoch is going to maintain that reputation until the next election, it will require a revival of Lazarus-like dimensions. According to a YouGov poll last week, Mr Farage would win 271 seats if an election were held now – well ahead of Labour on 178. The Conservatives would trail the Liberal Democrats on a dismal rump of just 48 seats. It has led to long, dark nights of the soul for Tory grandees and donors: do they stick with the Conservatives, even if they are sleepwalking to electoral doom? Do they try to form a pact with Mr Farage? Or do they just jump ship completely? The result has been a series of lunches and dinners in ultra-exclusive clubs such as 5 Hertford Street and its sister institution Oswald's, both owned by entrepreneur Robin Birley. Oswald's, which is frequented by the likes of the Prince of Wales, Tony Blair, Boris Johnson and the Beckhams, was the venue for a splashy £1 million fundraising event for Reform earlier this year. And on a single day this month, the same lunch service at Oswald's boasted former prime minister David Cameron, his ex-chancellor George Osborne and Tory leadership hopeful Robert Jenrick all dining together, next to Mr Farage and his treasurer Nick Candy in deep conversation on a nearby table – and with former Tory Cabinet minister Jacob Rees-Mogg, who has urged the two parties to form a pact, offering greetings from a third table. In the same week, a short walk across Berkley Square at 5 Hertford Street, popular with Eurocrats and stars such as Hugh Grant, a single lunch sitting offered the spectacle of billionaire Michael Spencer, Lord Cameron's former treasurer, dining with Francis Maude, an ex-Tory chairman, under the watchful eyes of Mr Farage's inner circle, including Arron Banks and Andy Wigmore – the self-styled 'bad boys of Brexit' who helped fund Mr Farage's Brexit campaign in the 2016 referendum – and Mr Farage's mysterious fixer, 'Posh' George Cottrell. As the wine flowed – full-bodied red for the Tories, chablis for the Faragistes – it represented a neat microcosm of the shifting tectonic plates: Lord Maude – tipped to return to the chairman role – is understood to have been lobbying Lord Spencer for funds for the party, while the Faragistes were drawing up a list of Tory donors to target for defection. At the centre of this venn diagram of plotting is Mr Jenrick, who is more open than Mrs Badenoch to cutting a deal with Reform – and is said to have received Lord Cameron's backing to succeed her as leader. Meanwhile, at The In & Out private members' club, a more traditional Armed Forces venue situated at the other end of Piccadilly, allies of Mr Farage and Mr Jenrick have met for informal discussions about 'uniting the Right'. Conspirators have even floated the idea of Mr Jenrick acting as chancellor in a Farage administration, although both sides furiously deny any such plans. Mr Jenrick has also lunched at 5 Hertford Street with Rupert Lowe, the Great Yarmouth MP who lost the Reform whip after a spectacular bust-up with Mr Farage. Even many moderate Conservatives, facing the loss of their seats, are now considering a merger. One member of the Leftish One Nation group said: 'A pact with Reform is inevitable now.' The MP added: 'There should be a non-aggression pact where we agree to not stand in the five seats Reform already have, and we let Nigel take his pick of seats where he is coming second to Labour. And Reform would stand down in seats we are more likely to win. 'It would end up giving them the North to save the Home Counties.' An insider said Tory leader Mrs Badenoch 'would not be able to do the deal' but added that the timing had to be right for her successor to do so. The source said: 'At the moment there no point doing any type of deal because Reform is on a high. Labour has imploded too early – all the benefit is going to Reform. Kemi isn't nimble enough to capitalise on it.' Mrs Badenoch is continuing to pursue a 'slow and steady' approach, and regularly speaks to Lord Maude. 'He tells her to be patient and give the public the chance to come around,' the source said. Even Mrs Badenoch's most vociferous critics say a leadership challenge is unlikely in the near future. Says one: 'She's 99 per cent safe until May. 'No one will want to own the next disaster – and there are a number coming down the line.'

Nine in ten private school teachers at Britain's largest academy chain say they have had to take second jobs to make ends meet because they are paid so little. They say United Learning's latest pay offer is so derisory in comparison to what their state school counterparts are paid that they were forced out on a landmark strike this week in protest. Meanwhile unions representing them say they are being 'treated with contempt'. Staff at Surbiton High School and Banstead Preparatory School downed tools after United Learning, which runs 90 academies and 14 independent schools, offered them pay rises of just two or three percent. They are incensed that the group, which has net assets of more than £50 million, is offering them around half the statutory 5.5 per cent rise given to the academy teachers. Now they are lobbying parents at both schools to write to governors and chief executive Sir Jon Coles, who was paid around £300,000 last year, to find out where their fees are going. At present Surbiton High School, in south west London, has fees of up to £24,000 a year while Banstead Preparatory School, in Surrey, charges parents up to £19,000 a year. But, according to teachers and unions, this fee income is not ring-fenced for individual schools but is spent across the group. One teacher, who was on the picket line at Surbiton, told the Mail on Sunday: 'The reasoning doesn't make sense. 'The pay is so bad that 90 per cent of teachers are having to take second jobs, such as tutoring, to make ends meet. And, the younger staff, who cannot afford to live near the school, are not getting enough salary to pay their travel. 'It is really tough. Every single person on strike, doesn't want to be on strike because they love teaching. They enjoy being with the children, they enjoy teaching, they enjoy education. 'There is also no transparency. Parents pay the fees, but it goes into a pot of money for all their private schools, and, as teachers, we don't feel that it's going back into the school. 'We're trying to get parents to hold United Learning accountable. They are really supportive on the whole.' National Education Union (NEU) senior organiser Rachel Evans said: 'Once again, United Learning have offered their independent schoolteachers a pay award significantly below both inflation and the increase afforded to teachers in the state sector. 'By our estimation, this award will mean that the majority of United Learning independent schools offer pay lower than that in local state schools.' This week's strike came after talks broke down with ACAS and NEU members after ten of United Learning's 14 independent schools voted in March in favour of industrial action. The move comes in the wake of the news that one of the group's top schools, the £40,000 a year Royal School, in Haslemere, Surrey, is due to close in August. Financial pressures such as Labour's VAT on fees policy are believed to be behind the closure. NASUWT Acting General Secretary Matt Wrack added: 'United Learning Trust is treating our members with contempt and paying them less than teachers in the state-funded academies they run. 'How can it claim teachers at Surbiton High School are worth less than teachers in their other schools? ULT should not treat hard-working and committed teachers at Surbiton in this appalling way.'
