Subsequent to the Meeting, the Directors elected by unanimous resolution Chris Doornbos as Chairperson of the Board. Mr. Doornbos has successfully led E3 Lithium through resource and technology development since 2017 and has been instrumental in developing critical external relationships with industry, government, and stakeholders. This appointment is in line with E3 Lithium's maturation, discussed more fulsomely below. In line with the high standards of corporate governance, the Directors will appoint a lead director at the next board meeting.

I am honoured to have been elected as the Chairperson for E3 Lithium. Several years ago, the Company put in place a plan to transition from a junior explorer and technology developer to a successful mineral producer. These transitions take time, and the Company aims to ensure we are well positioned for eventual construction and operations of a first-of-its-kind lithium processing facility. As part of this evolution, the Company has focused on building a leadership structure that reflects the critical skill sets and industry experience required to guide the next phase of growth and development.

Nearly two years ago, the Board of Directors was expanded to strengthen its governance and strategic capabilities, with the appointments of Alexandra Cattelan, Tina Craft, and the Hon. Sonya Savage. They joined Kevin Stashin, who had been appointed to the Board in 2021.

The transition plan is focussed on ensuring the right team is in place at an executive level to align with the growing demands of the business. Included with this is the plan to recruit a President to the Company who will be responsible for managing the internal day-to-day operations and functions of the Company. This includes the continual expansion of the design and construction team to deliver our commitment to build and operate a first-of-its-kind lithium facility in Alberta. This is a critical role for the Company that we will look to bring on board in the coming year. In the interim, I will continue to oversee these important responsibilities. Following the recruitment of a President, my responsibilities as Chairperson and CEO will focus more exclusively on external-facing initiatives that are critical to securing the required regulatory approvals and financing for the Clearwater Project and building the business around the technology and value-additive transactions.

To lead this effort, E3 Lithium is excited to welcome Brian Newmarch as its new chief financial officer. Brian is a seasoned industry professional with a successful background in raising and managing large capital projects in Alberta and globally.
With over 20 years of experience in finance, energy, and midstream infrastructure, Brian has held senior leadership roles across the North American energy sector. He has served as the Chief Financial Officer at both Tidewater Midstream and Infrastructure and, most recently, Denver-based Humble Midstream LLC, following executive positions at Seven Generations Energy and ARC Resources. Throughout his career, Brian has led strategic debt and equity financings to support major infrastructure developments and operational growth across Western Canada. He also brings experience in go-public transactions, corporate mergers, and large-scale asset acquisitions and divestitures. Earlier in his career, Brian worked in commodity sales and trading at global financial institutions, including Credit Suisse and Citi, where he specialized in structured risk management and financing solutions. Brian holds the Chartered Financial Analyst designation and a Bachelor of Commerce degree from the Haskayne School of Business at the University of Calgary.

The Company has granted Newmarch 300,000 incentive stock options (the 'Options'), vesting 25% per year over four years at an exercise price based on the closing price on July 2, 2025, under its omnibus equity incentive plan (the 'Plan'). In addition, Newmarch was issued 40,000 Performance Share Units ('PSUs'), issued in line with the Company's performance goals outlined on March 7, 2025, and 20,000 Restricted Share Units ('RSUs') vesting 50% per year over the next two years. The grant of the Options and issuance of PSUs and RSUs are subject to the approval of the TSX Venture Exchange.

In Winnipeg, U.S. ambassador to Canada issues warning not to overlook cross-border ties
The U.S. ambassador to Canada warned businesspeople and political leaders inside a Winnipeg auditorium Tuesday not to "bet against America" as group of demonstrators outside the venue protested his presence in the Manitoba capital. Days before a deadline to assemble a cross-border trade deal, U.S. ambassador Pete Hoekstra suggested Canada does not want to run the risk of missing out on economic opportunities provided by its neighbour to the south as it seeks to diversify its export markets. "Right now, I wouldn't bet against America. I wouldn't bet against Canada, either," Hoekstra said during an address to approximately 200 people at a Winnipeg Chamber of Commerce gathering at the Winnipeg Art Gallery-Qaumajuq's soft-seat theatre. The ambassador then issued a subtle warning in the form of a dry joke. "I know that the EU and Japan just really want to buy the cars that you make in Ontario," Hoekstra said. "I think there are certain things that absolutely Canada is positioned to open up global markets and you should take advantage of those, absolutely," he continued. "There are other markets where you're tied so closely to the U.S. that that may be a confining factor for you." Hoekstra, who was appointed an ambassador to Canada four months ago by U.S. President Donald Trump, made his comments while senior Canadian and U.S. trade officials are attempting to complete a trade deal in advance of an Aug. 1 deadline. Trump has suggested Canada could end up with tariffs instead of a trade deal. Earlier this month, he told Prime Minister Mark Carney the U.S. may apply a 35 per cent tariff on Canadian goods that don't comply with the Canada-U.S.-Mexico Agreement, or CUSMA, up from 25 per cent right now. Separately, Canadian steel and aluminum face a 50 per cent tariff that the U.S. has imposed on all countries, while the U.S. tariff on Canadian energy and potash is set at 10 per cent. Trump has also slapped a 25 per cent tariff on non-U.S. content of automobile imports and threatened to impose levies on pharmaceuticals, lumber and copper. Despite these existing and potential tariffs, Hoekstra told his Winnipeg audience that the fabric trying the Canada and U.S. together remains strong, even as it has changed. "Let that fabric stretch, let it take a slightly different shape, but don't do anything to break it," he implored, referring to the cross-border relationship. "There's no reason why it can't continue to be the envy of the world." During a question-and-answer session with Winnipeg Chamber of Commerce president Loren Remillard, Hoekstra declined to reveal the status of existing trade negotiations between Canada and the U.S. "I'm not sitting in the room and if I were, I probably wouldn't be answering that question," he said. The ambassador also deflected a question about the pending CUSMA renegotiations. Winnipeg South Liberal MP Ben Carr, who chairs the House of Commons industry committee, said he was not surprised by the absence of candour from the U.S. ambassador about trade negotiations. "These things have to take place, as they should, between our senior officials who have a deep understanding about what's going on," Carr said following the speech. A senior executive with a major Winnipeg manufacturer said the ambassador was more candid during a meeting with about 20 business leaders and politicians prior to the speech. Winpak vice-president Randy Zasitko, whose packaging company exports about 80 per cent of its products to the United States, said Canada may end up with a trade deal similar one signed recently with European Union — and one the U.S. contends it has reached with Japan. "From his perspective, he says there is no reason why when you look at the agreements that have been achieved at the 10 and 15 per cent [tariff rate], there's no reason Canada can't be even lower than that," Zasitko said. "Now, he didn't promise that by any means." Despite the U.S. tariffs and the renegotiations of North American trade agreements, Hoekstra said a continent-wide free trade zone remains a possibility. He said the Trump administration sees no connection between the application of tariffs and rising U.S. inflation. He also praised administration policies such as increased border enforcement and insisted the president means what he says. "If you want to know where Donald Trump is going, listen to him," Hoekstra said. Outside the art gallery, several dozen protesters held up signs decrying U.S. support for the Israeli war on Gaza, U.S. efforts to isolate Cuba, U.S. policies limiting transgender rights and the U.S. insistence on increased military spending by NATO members, among other issues. "We just want to let him know that he's not welcome here," said Sarah Borbridge, a member of Peace Alliance Winnipeg, referring to the U.S. ambassador. "We don't want representatives of U.S imperialism and we also see the U.S. as descending into fascism." U.S. trade policy was also a focus for the demonstration. One sign read "tariff this, sphincter face." With protesters gathered outside, U.S. ambassador to Canada Pete Hoekstra spoke to an audience at Winnipeg Art Gallery-Qaumajuq on Tuesday. B.C. government accused of 'greenwashing' as it announces $200M to electrify LNG project
Social Sharing The B.C. government is taking heat from the B.C. Green Party and a political science professor following its announcement of $200 million in subsidies for an upcoming LNG project majority owned by the Haisla Nation. The Cedar LNG project, a collaboration between Calgary-based Pembina Pipeline Corp. and the Haisla First Nation, is a floating liquefied natural gas export facility off B.C.'s North Coast set to come online in 2028. On Monday, B.C. Energy Minister Adrian Dix and Premier David Eby announced that the province would kick in $200 million to support the electrification of the project, including a new transmission line and substation. The B.C. government argues that its support for the project, one of several projects it wants to fast-track in order to stave off the threat imposed by U.S. tariffs, will allow for the exported product to appeal to markets outside the U.S. "Our market position, our proximity to the Asian market, makes it the best LNG in the world, and it's the lowest-emission LNG in the world," Dix told a news conference on Tuesday. "And that is an achievement. "It's not just a question of displacing coal or other dirtier fuels," he added. "It's displacing other LNG, which has dramatically higher emissions." "It is facilitating production and shipment of fossil fuels, which are the main cause of climate change," said Kathryn Harrison, a professor of political science at the University of B.C. "Even if British Columbia has very low-emitting terminals, most of the emissions associated with every ton of that LNG [is] released at the point of combustion," she added. Questions over LNG viability Harrison questioned what the market prospects for B.C.'s LNG were, saying there were many projects coming online in other countries like the U.S., Australia and Qatar. "Last year, the International Energy Agency's report expected that there would be a glut of LNG relative to global demand by 2030," she said. "If that happens, there is a big question about the financial viability of these projects and especially whether we will see government step in with taxpayer monies to prop them up yet again," she added. Jeremy Valeriote, the interim leader of the B.C. Greens, said that public funds for an industry that "may not stand the test of time" was problematic. "It's greenwashing because it's still an unsustainable form of fuel," Valeriote said. "Taking a tiny part of a high-emission fossil fuel and making it a little bit more green doesn't suddenly make it a sustainable fuel." "It's going to have a really hard time competing with other low-cost producers like Qatar and other countries," he said. "So it ends up some of the most expensive, which means it's the least competitive, which means it's possibly the first to fall off the block as global demand for LNG starts to go down." John Rustad, the leader of the B.C. Conservatives, expressed concerns about whether B.C.'s LNG industry was competitive on the global market. He was critical of permitting times in B.C., saying that it was taking years for proposed LNG projects to come online. "We started LNG in British Columbia 15 years ago," he said. "Americans didn't even consider starting it until 12 years ago. We've managed to get one plant up, one major plant up and running. They have 16." $5.9 billion project Originally valued at $3 billion, the federal government says that Cedar LNG will cost an estimated $5.9 billion to build, creating 300 jobs during construction and 100 full-time jobs once operational. It is among seven proposed LNG projects at various stages of development in Canada. The project consists of a floating natural gas liquefaction plant and marine export terminal located in the Douglas Channel near Kitimaat Village, a Haisla community approximately 380 kilometres directly west of Prince George, B.C. It will have the capacity to liquefy approximately 3.3 million tonnes of natural gas per year for export to Asian markets when it becomes operational in late 2028. For his part, Eby is bullish about the facility and its potential to ship LNG to non-U.S. markets. He said that Cedar LNG was the largest Indigenous-owned energy project in North America, and called it a positive for both B.C. and Canada as a whole. "Canada will win this race and we will diversify our markets because of our Canadian values," he said. "And those are on display on this project right here at Cedar LNG."

Feds give $10M to Canada's first carbon capture cement plant
Canada's first commercial carbon capture cement facility is now under construction in Mississauga Ont., backed by $10 million in federal funding. The project is part of the country's effort to reduce industrial emissions. The project, led by Calgary-based startup Carbon Upcycling in partnership with Ash Grove Cement, aims to capture carbon dioxide from cement production and turn it into a low-carbon material that can replace part of traditional cement. Evan Solomon, Canada's minister of artificial intelligence and digital innovation, attended the event and told Canada's National Observer carbon capture storage will play an important role in achieving a net-zero future. He said the Carbon Upcycling project is an example of the kind of Canadian innovation needed to stay competitive while cutting emissions. 'These collaborative projects highlight the power of innovation to drive real progress — helping Canada's manufacturers thrive while supporting our climate goals and enhancing our global competitiveness,' the minister said. The facility will use Carbon Upcycling's technology to mix captured CO2 with steel byproducts like slag to create a powder similar to cement used in construction. Carbon Upcycling CEO Apoorv Sinha told Canada's National Observer the system could reduce emissions from cement by up to 40 per cent. Once operational in 2026, it's expected to remove 30,000 tonnes of carbon dioxide per year — roughly the same as taking cars off the road annually. The federal government has made carbon capture a key part of its net-zero strategy. It offers tax credits covering up to 60 per cent of project costs and has launched programs to buy carbon removal services. Still, critics argue that funding high-cost, underperforming technologies may divert resources away from more proven solutions such as electrification, renewable energy and nature-based carbon storage. Sinha said this is the first time the technology is being fully integrated into a working cement plant in Canada. The company has demonstration sites in Calgary, and if the Mississauga plant performs well, it could be replicated globally at thousands of other cement plants, he added. The facility will use Carbon Upcycling's technology to mix captured CO2 with steel byproducts like slag to create a powder similar to cement used in construction. Sinha said the new facility will store up to 150 kilograms of carbon dioxide in every tonne of low-carbon cement it produces. Instead of burying the emissions, the carbon stays in building materials used in homes, roads and other infrastructure. The end product has market value, making it a more practical and scalable solution, he added. Sinha said the project's total cost is around $35 million, funded by Carbon Upcycling, its private partners and the federal government. New technology with caveats Cement production makes up about 1.5 per cent of Canada's emissions and up to eight per cent globally, prompting international efforts to cut pollution from the global concrete sector — a market worth more than $75 billion. Supporters say technologies such as carbon capture and utilization (CCU) are essential for meeting net-zero targets, especially in hard-to-decarbonize industries like cement. But while the Mississauga project is a first for Canada, the broader carbon capture sector still faces growing skepticism. — the world's largest direct air capture (DAC) plant — showed it captured only 105 tonnes of carbon dioxide in its first year, far below its 36,000-tonne target. The Icelandic facility uses different technology than the kind of carbon capture at work in Mississauga, but analysts say this highlights the high cost and technical challenges of scaling up carbon removal technologies. In Canada, seven carbon capture and storage projects are currently operating, capturing just 0.5 per cent of national emissions. Many of these projects are linked to the oil and gas industry and depend heavily on public funding. Research from the International Institute for Sustainable Development and the Canadian Climate Institute suggests that carbon capture and utilization is too expensive, slow and energy-intensive to significantly help meet 2030 climate goals. Carbon capture and storage 'may play an important role in hard-to-decarbonize industrial sectors such as cement and steel, where substitute materials or fully matured decarbonization technologies are not yet available or fully developed,' reads the report. 'Although the high costs and potential limitations to effectiveness should not be overlooked.' Canada is also investing in other large-scale initiatives, such as Heidelberg Materials' $275-million zero-carbon cement project in Edmonton, which is expected to capture one million tonnes of carbon dioxideCO₂ annually — nearly 95 per cent of that facility's emissions. Solomon acknowledged that carbon capture has faced criticism but stressed that the only way to improve it is through continued investment and strong public-private partnerships. Using the technology, refining it and setting clear standards are key to making it work, he added. 'Clean technology, including carbon capture, will play an integral role in our efforts to decarbonize. Projects such as this one present significant economic opportunity for Canadian industry in clean technology, clean energy and decarbonization,' said Julie Dabrusin, Canada's minister of environment and climate change, in a statement. 'We will continue to work with partners across sectors to accelerate the adoption of this kind of technology and ensure Canada is a global leader in carbon capture investments.'
