CALGARY, AB, July 2, 2025 /CNW/ - (TSX: ARX) ARC Resources Ltd. ("ARC" or the "Company") announces that it has closed its previously announced agreement to acquire condensate-rich Montney assets in the Kakwa region in Alberta (the "Assets") from Strathcona Resources Ltd. in an all-cash transaction valued at approximately $1.6 billion (1) (the "Transaction").
The Assets are underpinned by a substantial drilling inventory and include owned and operated infrastructure, reinforcing ARC's position as Canada's largest Montney and condensate producer.
For the remainder of 2025, the Assets are expected to deliver average production between 35,000 and 40,000 boe per day (approximately 50 per cent crude oil and liquids, 50 per cent natural gas). ARC plans to provide an update to its 2025 guidance with second quarter results on July 31, 2025.
ARC estimates net debt (2) upon closing of approximately $2.8 billion, ensuring ARC retains a strong financial position. The long term debt included in net debt is comprised of $2.0 billion of senior notes, a $500 million term loan, and the remainder on its recently upsized $2.0 billion credit facility.
Transaction Highlights
Expands Core Kakwa Region. The acquisition increases ARC's Kakwa production by 24 per cent to greater than 210,000 boe per day, and increases the Montney inventory duration at Kakwa from 12 years to greater than 15 years. ARC's development plans for the Assets will target the Montney, which is approximately 100 per cent working interest land. ARC also retains future inventory in other formations that could further extend the development runway at Kakwa over the long-term.
Owned-and-operated Infrastructure. Owned-and-operated infrastructure is a key tenet of ARC's strategy to retain a low cost structure and operational flexibility. The Transaction includes 100 per cent ownership of two natural gas processing facilities and condensate handling infrastructure. In addition, the Assets include a 19 per cent interest in a third-party natural gas processing facility with deep cut NGL recovery.
Operational and Financial Synergies. ARC's extensive and contiguous operations in the region will result in operational synergies through drilling and completion cost improvements, operating and supply chain savings, downstream marketing optimization, and area infrastructure synergies.

(TSXV: MSR) (" Minsud" or the " Company") is pleased to announce that it has closed its previously announced (see news release dated June 4, 2025) non-brokered private placement offering of common shares of the Company (" Common Shares") for total gross proceeds of $848,706, issuing 1,146,900 Common Shares at a price of $0.74 per Common Share (the " Private Placement"). The net proceeds will be used to continue exploring the Chita Valley Project as well as working capital and corporate overhead requirements. No commission or finder's fee was paid in connection with the Private Placement. The Common Shares will be subject to a hold period of four months and a day from their date of issuance. The Private Placement remains subject to final approval from the TSX Venture Exchange (" TSXV"). Under the Private Placement, insiders of the Company subscribed for 566,000 Common Shares. Each subscription under the Private Placement by an insider is considered to be a "related party transaction" of the Company for purposes of Multilateral Instrument 61-101 – Protection of Minority Security Holders in Special Transactions (" MI 61-101") and Section 5.9 – Protection of Minority Securityholders in Special Transactions of the Corporate Finance Manual of the TSXV. Coming off the Canada Day holiday, the TSX traded gains and losses throughout the business day on Wednesday, with several sectors aiding in key areas with investors weighing fresh economic data and ongoing global uncertainties. Meanwhile, on Wall Street, The Dow Jones Industrial Average saw some pressure mixed with growth, while the Nasdaq Exchange saw a similar trajectory. The Canadian dollar traded for 73.54 cents US compared to 72.32 cents US on Monday. US crude futures traded US$1.43 higher at US$66.88 a barrel, and the Brent contract rose US$1.23 to US$69.71 a barrel. The price of gold was up US$10.52 to US$3,348.22. In world markets, the Nikkei was down 223.85 points to ¥39,762.48, the Hang Seng was up 149.13 points to HK$24,221.41, the FTSE was down 10.64 points to ₤8,774.69, and the DAX was up 116.82 points to €23,790.11.
