
RENEWABLE POWER OBLIGATION: Regulator reprimands UPNEDA for data laxity
The power regulator has warned that the agency's laxity could invite penalties for defaulting power entities and undermine clean energy goals.
RPO is a regulatory mandate requiring large electricity consumers to purchase a fixed share of their power from renewable sources like solar, wind, or biomass. It is aimed at cutting carbon emissions and promoting clean energy in the state. However, most entities are not meeting this obligation or the date on their meeting the obligation is not available.
In a suo motu order last week, the commission expressed dissatisfaction with UPNEDA's handling of its responsibilities under the UPERC (Promotion of Green Energy through Renewable Purchase Obligation) Regulations, 2010.
'Despite repeated directions, the agency has failed to ensure timely and complete reporting from obligated entities—distribution licensees and large power consumers required to purchase a portion of their electricity from renewable sources,' it noted.
According to the order, UPNEDA has so far submitted compliance data for only 378 out of 509 obligated entities, that too only from 2019-20 onwards. This is despite the Commission's earlier directive that data from 2010-11 onwards must be submitted, in line with statutory provisions.

The commission also criticised UPNEDA's inability to enforce compliance, revealing that nearly 35%-40% of the obligated entities are either non-compliant or only partially compliant. In such cases, UPNEDA should have filed petitions and ensured that show cause notices were issued for deferment or purchase of Renewable Energy Certificates (RECs), it said.
The commission reminded UPNEDA that its role as the State Nodal Agency is crucial for driving renewable energy adoption. The agency was supposed to monitor compliance and generate timely reports—functions that have been severely compromised due to data gaps and administrative inertia.
During the hearing, UPNEDA's director Inderjit Singh appeared in person and informed the commission that data collection for the remaining entities was underway. However, the commission found the progress unsatisfactory and directed UPNEDA to submit a comprehensive compliance report covering all obligated entities from 2010-11 onward within a month.
In a move aimed at modernising the compliance process, the commission advised UPNEDA to launch an online portal to collect yearly, quarterly, and estimated RE requirement data. It also instructed the agency to update its website with information on registration and accreditation of renewable energy generators.
The commission has fixed July 8, 2025, as the next date of hearing. However, the personal appearance of the UPNEDA director has been dispensed with till further orders.

The company, which has a presence in 45 countries and a market capitalization nearing Rs 7,000 crore, holds a commanding 50% share in India's branded luggage market. The move will also trigger an open offer to acquire 26 per cent share from the open market, as per the SEBI Takeover Regulations by Multiples consortium. Dilip Piramal and Family has entered into a 'definitive agreement with the Multiples Consortium to sell up to 32 per cent stake in the Company,' according to a joint statement issued by both the companies. 'Upon completion of the transaction, control of the company will be transferred to Multiples Private Equity while Dilip Piramal and Family will continue to be shareholders in the Company,' the statement said. Dilip Piramal will be Chairman Emeritus of VIP Industries, it added. Open Offer At Rs 388 per Share Later, the VIP Industries also updated the exchanges about the open offer from the Multiples consortium, to acquire 3.70 crore shares of the company from its public shareholders. 'The Open Offer is made at a price of Rs 388/- per Offer Share, which has been determined in accordance with Regulations 8(2) of the SEBI (SAST) Regulations,' it said. Assuming full acceptance of the Open Offer, the total consideration payable by Multiples will be Rs 1,437.78 crore. The open offer price is around 15 per cent lower than the closing price of VIP Industries on BSE on Friday, which was at Rs 456.40. In the last one year, share prices of VIP Industries' highest trading price was on September 24, 2024 at Rs 580.6 and lowest on April 9, 2025 at Rs 259.7. As on March 2025, the promoter and promoter entity were holding 51.73 per cent shareholding in VIP Industries. 'The transaction, including the open offer, is subject to approval of the Competition Commission of India and will be in accordance with the SEBI Takeover Regulations,' the joint statement added. VIP Chairman Dilip Piramal On Sale Commenting on the development, VIP Chairman Dilip Piramal welcomed Multiples consortium as 'strategic partners' in the Company. 'This marks an important step toward reviving the company's strong legacy and helping it regain its foothold in the Indian luggage market, where it has struggled in recent years,' he said. VIP Industries, which has a market capitalization of Rs 6,481.78 crore, competes with Samsonite and Safari Industries in the premium and mass segment. The company, which owns brands such as Aristocrat, VIP, Carlton, Skybags and Caprese had over 50 per cent market share in the branded luggage market in FY24. However, now the company is facing stiff competition from rivals and its market share is gradually reducing. For the financial year ended on March 31, 2025, VIP Industries' revenue was at Rs 2,169.66 crore. It has over 10,000 Points of Sale in 45 countries. Multiples is an Alternate Asset Management company, backed over 30 enterprises. Sebi announces settlement scheme for venture capital funds; scheme opens from July 21
Markets regulator Sebi on Tuesday announced a scheme beginning July 21 to aid the settlement of violations of winding-up provisions by migrated Venture Capital Funds (VCFs). The scheme will end on January 19, 2026, the Securities and Exchange Board of India (Sebi) said in a statement. "The VCF Settlement Scheme 2025 has been proposed to provide an opportunity to VCFs to settle actions arising out of having schemes whose liquidation periods have expired but not wound up and that continue to hold the unliquidated investments, and have completed the migration," Sebi said. Sebi had repealed the VCF Regulations after the notification of the Alternative Investment Funds (AIF) Regulations in May 2012. However, some VCFs were unable to liquidate their investments during the tenure of the fund and continue to hold the unliquidated investments beyond the expiry of their tenure. Live Events Considering the representations received from VCFs regarding difficulties faced in fully liquidating their investments during the tenure of their schemes and wind up, the AIF Regulations provided for migration of such VCFs to the AIF regime, and also prescribed the modalities for such migration. Moreover, VCFs have been provided an additional period of one year to liquidate their investments and wind up the schemes. Once migrated, VCFs could also enter into a dissolution period after obtaining approval from their investors. The last date for applying for such migration is July 19, 2025, Sebi said. "Upon expiry of the last date of migration, i.e. July 19, 2025, Sebi may initiate action against such VCFs that have schemes whose liquidation period has expired but not wound up and that continue to hold the unliquidated investments, and have not availed the opportunity under the VCF Settlement Scheme, 2025," it added.
