TalkTalk plots break-up of telecoms and broadband group

TalkTalk, the telecoms and broadband group founded by Sir Charles Dunstone, is preparing to hire City advisers to oversee a break-up of the company.
Sky News has learnt that investment banks were asked to pitch this week for a mandate to oversee a potential sale of TalkTalk's two remaining businesses: its consumer arm and PXC, its wholesale and network division.
City sources said on Friday that Barclays and Morgan Stanley were among the banks in the frame to oversee the strategic review, which has been triggered by separate unsolicited approaches for both parts of the group.

TalkTalk, which has been grappling with a strained balance sheet for some time, is also in talks to raise a further £100m from a combination of existing investors and asset sales, according to people close to the situation.
The company has recently drafted in advisers from Alvarez & Marsal, the professional services firm, to assist its finance function with liquidity management, the people added.
TalkTalk has more than 3m broadband customers, with parts of its customer base expected to be sold as part of its efforts to raise money.
It completed a £1.2bn refinancing late last year, but has been under pressure from bondholders to raise additional capital.

The likely proceeds from the sales of its two divisions were unclear on Friday.
Earlier this month, the Financial Times reported that BT's broadband infrastructure arm, Openreach, could block TalkTalk from adding new customers to its network in an escalating dispute over payments owed to BT Group.
A TalkTalk spokesman declined to comment.

UK transport secretary demands answers from air traffic control chief after flight disruption

LONDON (AP) — Britain's transport chief has summoned the head of the country's air traffic control operator to explain the problem that grounded and diverted dozens of flights Wednesday. More than 150 flights were cancelled across the U.K. as a result of what the National Air Traffic Service, or NATS, described as a 'technical issue' at the Swanwick control center that forced it to limit the number of aircraft in the London area. The problem was reported at 4:05 p.m Wednesday and the system was fully operational by 5:10 p.m., NATS said. Transport Secretary Heidi Alexander will meet with NATS Chief Executive Martin Rolfe on Thursday to 'understand what happened and how we can prevent reoccurrence.'' 'The transport secretary is summoning in today the chief executive of of NATS to help us get to the bottom of what went wrong yesterday,'' Business Minister Gareth Thomas told Times Radio. 'Clearly, an incident happened two years ago and measures were taken then. It looks like those measures weren't enough, but we need to get to the bottom of what exactly happened, and conversations will take place today.' Among those hit was British Airways, which said the problem forced the carrier to reduce the rate of flights from 45 to 32 per hour for more than two hours. While airlines expressed frustration over flight disruptions, industry experts said it was 'unrealistic' to expect an air traffic management system could function without any technical failures. 'There are technical failures in all industries,' Graham Lake, a former director general of the air traffic management industry association Canso, told the BBC. 'I'm a regular rail user, certainly there are signal failures practically every day, so we accept technical failures. Radio programs go off the air occasionally, technical failures are inevitable. The point is that you have to … plan the contingency and make sure that the operation remains safe and effective.'' The NATS system has suffered several software-related failures since it opened in 2002. A glitch in August 2023 resulted in flight plans being processed manually rather than automatically. Hundreds of flights were delayed or canceled at the height of the summer holidays, affecting some 700,000 passengers. President Trump and European Commission President Ursula von der Leyen shook hands Sunday over a trade agreement touted as being largely concluded, but days later, there are still plenty of disagreements about exactly what is in the pact. Perhaps nowhere is the divide more stark than in the summaries published by each side — one from the White House and another from the European Commission. They depart in at least five areas, both in terms of the deal and the firmness of the commitments. In just one example, the White House summary touts "historic structural reforms and strategic commitments," while the Europeans call the handshake deal "not legally binding," with more negotiations to come. Trump quipped Sunday that a deal would be "the end of it" and that it would be a number of years "before we have to even discuss it again." That is unlikely to be the case, which even Trump's aides acknowledge. The difference is likely to come to a head quickly as negotiations continue between the US and Europe over legally binding text and as trade watchers wait for a formal joint statement on the deal that the teams still hope to unveil this week. A range of areas of disagreement Clarity on at least one headline area is clear: an agreement for 15% tariffs on nearly all EU goods, including autos, semiconductors, and pharmaceuticals, that will be exempt from separate Trump plans there. But the divides are evident once you go deeper. Commerce Secretary Howard Lutnick acknowledged that a lot remains to be worked out when he told CNBC on Tuesday that "there's plenty of horse trading still to do," even as he argued that the "fundamentals" are set. Read more: What Trump's tariffs mean for the economy and your wallet Trump has also already set a pattern of fuzzy initial details on his deals, including a recent pact with Japan, but a comparison of the two documents summarizing the Europe deal underlines differences on many of the key aspects. On the issue of new investments by Europe — $750 billion in US energy and additional corporate investments of $600 billion — the summary from the US side described them as firm commitments. The European language is much less solid, saying it "intends to procure" additional energy and that European companies "have expressed interest" in additional investments. More differences are seen on whether the deal will mean European markets are "totally open," as Trump has said. The European summary of provisions around fish says they will allow "limited quantities" and only "certain non-sensitive" agricultural products. Another highly touted part of the agreement from the US side is a provision for Europe to purchase military equipment. As Trump said on Sunday, "They're going to be purchasing hundreds of billions of dollars worth of military equipment." That part isn't even mentioned in the European summary.
