Adamjee Insurance to divest 6.5% stake in subsidiary

Adamjee Insurance Company Limited (AICL) has announced to divest 6.5% of its shareholding, amounting to 16.25 million shares, in its subsidiary, Adamjee Life Assurance Company Limited (ALIFE).
The listed company disclosed the development in its notice to the Pakistan Stock Exchange (PSX) on Friday.
'The board of directors of Adamjee Insurance Company Limited (AICL) in its emergent meeting held on June 20, 2025, has decided to offload 16,250,000 shares, i.e. 6.5% shareholding of its subsidiary Adamjee Life Assurance Company Limited (ALIFE) through off-market trades on PSX Portal to comply with the free-float requirements under Clause 5.4.1. of the PSX Regulations,' read the notice.
The company shared that following this transaction, AICL's shareholding in ALIFE will reduce to 208,750,000 shares, i.e. 83.5% from 225,000,000 shares, i.e. 90% of the paid-up capital currently held.
Incorporated in Pakistan on September 28, 1960, under the repealed Companies Act, 1913, now the Companies Act, 2017, Adamjee Insurance is engaged in the general insurance business.

ISLAMABAD: The Securities and Exchange Commission of Pakistan (SECP) has identified a prima facie fraudulent investment/deposit-taking scheme being aggressively promoted by Syed Mohsin Sultan Shah under the name 'MAG Ventures' through various social media platforms. The scheme lures the public with offers of business partnerships in meat exports to Gulf countries, promising guaranteed 'halal' monthly profits ranging from 5% to 12%, allegedly supported by a fatwa. Investment packages range from Rs. 100,000 to Rs. 10 million, with investors being assured security through stamp paper agreements and post-dated cheques. The scheme also claims plans to expand into multiple sectors, including real estate development, supermarkets, automotive trading, cafés, fashion and beauty, Apple product retail, and global operations with a headquarters in Dubai. To create an illusion of legitimacy, Syed Mohsin Sultan Shah has incorporated a company under the Companies Act, 2017 with a similar name, MAG Ventures (SMC-Private) Limited, in the trading sector, along with two other companies: MAG Organic Meats (SMC-Private) Limited and MAG Builders & Developers (SMC-Private) Limited. However, funds are being collected through the bank account of an unincorporated entity, 'Galaxy Traders,' and crypto currency wallets. The SECP strongly warns the general public NOT to invest or deposit funds with 'MAG Ventures,' 'Galaxy Traders,' MAG Ventures (SMC-Private) Limited, MAG Organic Meats (SMC-Private) Limited, MAG Builders & Developers (SMC-Private) Limited, or any other associated entity, as these entities are not authorized to collect deposits or offer investment schemes under any arrangement. The names of these companies have been included in the SECP's List of Companies Engaged in Unauthorized Activities, available on the official SECP website. The matter has also been referred to relevant investigation authorities for further action. The general public is reminded that a Certificate of Incorporation merely signifies the registration of a company and does not authorize it to raise deposits or launch investment schemes. J.K. Spinning Mills Limited (JKSM), a Pakistani textile firm, plans to boost its green energy capacity and intends to install 7MW additional capacity as part of the company's strategic initiatives. The listed company disclosed the development in its notice to the Pakistan Stock Exchange (PSX) on Thursday. 'We have already installed 7MW of solar green energy, and negotiations are underway with suppliers for a further 7MW to reduce the energy cost,' read the notice. The company shared that bank financing for the said investment has already been approved. There has been a growing shift towards alternative energy sources in Pakistan, especially solar, which has become increasingly popular among residential and commercial sectors. This rising trend has left decision-makers grappling with its implications for the national grid and energy sector, as electricity consumption remains stagnant. Pakistan's bread maker shifts to renewable energy, targets 1MW solar capacity to cut costs Nonetheless, several projects have been initiated to exploit this relatively cheaper energy source. Meanwhile, J.K. Spinning informed its stakeholders that it intends to add automatic and state-of-the-art technology to run operations. 'We are adding one automated flat sheet cross hemming unit to optimise the process for automatic movement of fabric to stitch the flat sheet and one automatic pillowcase side-closing unit, totalling Rs161 million.' The company shared that LCs have been established with banks, and all funding arrangements are intact. 'This will help to increase efficiency, reduce labour cost, improve the consistency and accuracy of work,' it said. The company shared that its management has also decided to convert 34,224 spindle units to an Open-End Spinning System featuring 6,000 rotors. 'This strategic move will enable the utilisation of Comber-Noil waste, supporting the production of yarns that meet the sustainability requirements of international buyers,' it said. The commercial production will start in September, it added. JKSM is a public limited company incorporated in Pakistan on 07 January 1987 under the repealed Companies Ordinance, 1984 (now the Companies Act, 2017). The company is engaged in textile manufacturing, comprising ginning, spinning, stitching, buying, selling yarn, fabrics and other goods.

Crescent Star Insurance resumes guarantee-backed business

Crescent Star Insurance Limited (CSIL) announced on Thursday that it had resumed its guarantee business. This was shared by the company in a notice to the Pakistan Stock Exchange today. The CSIL said that the Islamabad High Court had set aside and declared void the directions issued to the company by SECP to stop/cease guarantee business. Last year, the Securities and Exchange Commission of Pakistan (SECP) ceased the guarantee business through a direction, under Section 60 of the Insurance Ordinance, 2000 (Ordinance). Crescent Star had issued guarantees amounting to Rs 229 billion without obtaining requisite collateral and any valid reinsurance arrangements. The CSIL was incorporated in Pakistan as a Public Limited Company in the year 1957, under the Companies Act, 1913, now the Companies Act, 2017. The company is engaged in providing non-life general insurance services.
