24 Mantra Organic
brand' in an all-cash deal valued at Rs 472.50 crore.
This will help ITC to expand its play in the fast-growing
organic food products segment
.
"The company has completed the acquisition of 100 per cent of the share capital of
SNBPL
on 13th June, 2025," ITC said in a regulatory filing.
On the acquisition cost, ITC said it had an upfront consideration of Rs 400 crore on a cash-free debt-free basis and addition, consideration of up to Rs 72.50 crore, which is payable in the next 24 months.
In April ITC had informed it had signed a share purchase agreement with
Sresta Natural Bioproducts Private Limited
(SNBPL) to acquire 100 per cent stake in the company.
This acquisition is "in line with the strategy to augment the company's future-ready portfolio, the transaction is expected to fortify ITC's presence and market standing in the
high-growth organic products
segment in both Indian and overseas market," the Kolkata-headquartered firm said.
SNBPL's portfolio comprises a wide range of over 100 organic products, spanning branded grocery staples, spices and condiments, edible oils, and beverages, among others. Besides, it has a strong international presence with a deep connection with the Indian diaspora.
The domestic organic food products industry offers a "significant opportunity" for growth on the back of increasing health and environmental consciousness, a rise in household incomes and new-age distribution channels, ITC said, adding that SNBPL is a pioneer and leading player in the organic packaged staples category.
SNBPL has two wholly-owned subsidiaries -- Fyve Elements LLC, USA and Sresta Global FZE, UAE.
SNBPL, incorporated in March 2004, recorded a revenue of Rs 306.1 crore in FY 2023-24. Over the years, it has built a strong network of approximately 27,500 farmers and 1.4 lakh acres of certified organic land across 71 clusters in 10 states.

'No issues found': Air India says completed inspection of fuel control switches on Boeing 787 planes
Air India has completed precautionary inspections of the fuel control switch (FCS) locking mechanism on its fleet of Boeing 787 aircraft and found no issues, an airline official said on Wednesday (July 17), PTI reported. "Over the weekend, our Engineering team initiated precautionary inspections on the locking mechanism of Fuel Control Switch (FCS) on all our Boeing 787 aircraft. The inspections have been completed and no issues were found," the official said, citing an internal message shared with Air India pilots. DGCA Orders Checks After Crash Report The Directorate General of Civil Aviation (DGCA) on Monday directed Indian carriers operating Boeing 787 and 737 aircraft to inspect their fuel switch locking systems. The order came in response to a preliminary report from the Aircraft Accident Investigation Bureau (AAIB), which indicated the fuel switches had moved to 'cutoff' just before the crash of an Air India 787-8 last month that killed 260 people. According to the AAIB's 15-page report, the fuel supply to both engines was cut off within the space of one second, shortly after takeoff. This caused an immediate loss of altitude, leading to the fatal crash. "In the cockpit voice recording, one of the pilots is heard asking the other why did he cut off? The other pilot responded that he did not do so," the report noted. The Air India official added that the Throttle Control Module (TCM) — of which the FCS is a part — had already been replaced on all Boeing 787-8 aircraft operated by the airline, as per Boeing's maintenance schedule. The Fuel Control Switch regulates the flow of fuel into the aircraft engines, playing a critical role in safe takeoff and in-flight operations. Using newspaper for baking is strictly prohibited as it contains harmful chemicals that can seep into food,' an FSSAI official said. The FSSAI has intensified its drive across the state in recent months, clamping down on shops and eateries found violating safety norms. Several outlets have faced fines, warnings, or closures as part of the regulatory body's efforts to ensure food safety and public health. Under the Food Safety and Standards Act, 2006, violators can face penalties ranging from fines of up to Rs 5 lakh to imprisonment in cases involving unsafe or adulterated food. Repeat offenders may face cancellation of licenses and prosecution under relevant provisions of the law.
