CDL selling its 50.1% South Beach stake to its Malaysian partner IOI for S$834 million, yielding S$465 million gain
The deal values the complex at about S$2.75 billion, which represents a premium of about 3 per cent over the most recent valuation of S$2.67 billion as at Dec 31, 2024.
The transaction is expected to result in a gain on disposal of about S$465 million for the financial year ending Dec 31, 2025, CDL said on Wednesday (Jun 4). IOIPG will take full ownership of South Beach's commercial components upon completion in the second half of 2025.
CDL added that the sale price was based on 50.1 per cent of the consolidated net assets of Scottsdale Properties, which owns South Beach Consortium, which in turn owns South Beach. IOI noted in a bourse filing that Scottsdale's liabilities of S$1.16 billion were also factored in.
Cash proceeds from the proposed divestment will enable CDL to reduce bank borrowings and improve its net gearing ratio, the group said. Capital from the sale will also be used to pursue new acquisitions, invest in upcoming pipeline development projects and optimise capital management.
Assuming that the deal had been completed at the end of FY2024, the group's net gearing ratio would have fallen to 103 per cent, from 117 per cent, CDL said. It would have logged earnings of S$638.5 million, up from S$190.8 million, had the deal been completed at the beginning of FY2024. Earnings per share would have risen to S$0.712, from S$0.213.

CDL's board believes the sale supports positive returns for the group's business and aligns with its strategic focus on capital recycling.
It said the Beach Road property has reached maturity and has been delivering 'strong occupancy and stable income'.
Sherman Kwek, CDL's group chief executive, said: 'Having fulfilled our vision for South Beach – from securing the land site via a rigorous tender process in 2007, navigating macroeconomic challenges, to transforming it into the high-performing, stabilised asset it is today – it is now time to crystallise its value.'
The Norman Foster-designed project in Singapore's Central Business District includes retail space, a 34-storey office tower and a 45-storey building housing JW Marriott Hotel Singapore.
As at Mar 31, South Beach's office and retail components posted committed occupancy of 92.4 per cent and 92.5 per cent, respectively, CDL said on Wednesday. Major tenant Meta Platforms last year gave up seven floors of space at the office tower; the exit brought occupancy down to 92.4 per cent from 94.4 per cent at the end of last year.
CDL acquired the site through a government land sale for nearly S$1.7 billion in 2007, with two foreign partners – a unit of state-owned Dubai World, and El-Ad Group.
Based on a Bloomberg report, the global financial crisis led to a years-long delay in construction. The two partners exited the project, with IOIPG eventually taking a minority stake in 2011. Kwek Leng Beng, executive chairman of CDL, resisted letting IOIPG take an equal stake in order to maintain control, based on a biography published in 2023, Bloomberg said.
In CDL's statement on Wednesday, the elder Kwek said: 'South Beach began as a bold vision to enhance Singapore's reputation as a global city, attract international investors and create a new icon that blends modern, sustainable architecture while preserving the site's conserved buildings.'
IOIPG group CEO Lee Yeow Seng said: 'The acquisition of a 100 per cent equity stake in this landmark development marks a significant strategic expansion for IOIPG in Singapore. Combined with the IOI Central Boulevard Towers and W Singapore Marina View hotel, this acquisition will elevate the group's profile as one of the major landlords of premium office space and a prominent player in the hospitality industry within the Republic.'
The Malaysia-listed group is controlled by the Lee family, which made its fortunes from palm oil.
CDL shares were up 2.1 per cent or S$0.10 at S$4.97 on Wednesday as at 3.24 pm, after its trading halt was lifted.
The group said in 2024 that it aimed to divest S$1 billion in assets, and has announced about S$600 million in divestment so far.
News of the South Beach sale comes in the wake of a public feud between father and son in CDL's Kwek family, which erupted in late February.
While they have since buried the hatchet, the younger Kwek acknowledged at CDL's annual general meeting in April that the dispute had hurt shareholders' confidence. He also identified reducing the growing debt load as a priority.

SINGAPORE - Soon after news broke in June about the closure of low-cost carrier Jetstar Asia, flight attendant Wayne Lee started receiving small gifts and notes from passengers. The in-flight customer service manager was so moved by this that he now keeps the notes with him at all times, tucked into his cabin bag. "It's a really warm gesture," Lee told The Straits Times. He said the kindness of passengers has helped him cope with an uncertain future. The Singapore-based airline announced on June 11 that it would cease operations on July 31 - more than 20 years after its maiden flight in December 2004. it would cease operations on July 31. This was after Capt Agarrado had made an announcement thanking passengers for supporting Jetstar Asia. His response? "Bro, I love you too!" This lightened the mood and put passengers at ease, Capt Agarrado said. It is his habit to banter with passengers and to make announcements from outside the cockpit, preferring to use the PA system that the crew uses. On a recent flight, he told passengers: "Do you have your boarding passes? Can you just wave it in the air? Save them - in 10 years, you can sell that." Capt Agarrado, a Filipino, started his career in 1990, flying in the Philippine Air Force for a decade. He then joined two commercial airlines before moving to Jetstar Asia in 2007. On June 10, Capt Agarrado said his pilot chat group on WhatsApp lit up with messages discussing scheduling changes the next day. Jetstar Asia had cancelled seven flights from Changi Airport on June 11 and re-timed another seven. When his First Officer asked his thoughts, Captain Agarrado told him not to worry. "I'm pretty sure the company is stable," he recalls saying. He was woken up by his wife the next morning. She was in tears, having seen the airline's closure on the news. "Shivers went down my spine," said Capt Agarrado, a father of three. Jetstar Asia shared with ST pictures of the small gifts and many notes - and even a drawing from young passengers - its flight and cabin crew have received, including biscuits, chocolates, pastries and sweets. "Wishing all of you strength," one note read. "This may be a difficult time for you, but every cloud has a silver lining... Thank you for your service and hospitality," another said. Food Empire partners AirAsia to launch ready-to-drink beverages
[SINGAPORE] Mainboard-listed Food Empire will partner low-cost airline AirAsia to co-develop and launch a new range of ready-to-drink beverages. The memorandum of understanding was signed between Food Empire's unit Empire International and AirAsia's Santan Food Services, said the statement on Thursday (Jul 17). Tony Fernandes, chief executive of AirAsia and its Malaysia-listed parent company Capital A, said that the partnership aims to create a product that reflects South-east Asia's culture and heritage. It will also pave the way for the companies to collaborate on co-branded and private label initiatives, Food Empire and Santan Food Services said. The partnership will kick off with a Vietnamese iced coffee product that will be sold on board flights of the Malaysian budget airline co-founded by Fernandes, and through regional retail channels under the Santan brand. With evolving consumer preferences in mind, the companies said they aim to deliver 'authentic and great-tasting Vietnamese iced coffee products that cater to modern lifestyle trends, including healthier options with less sugar'. Tan Wang Cheow, executive chairman of Food Empire, said: 'This collaboration with Santan aligns with our strategy to cater to consumer trends and bring an authentic CafePho Vietnamese coffee experience on AirAsia flights, so that more people can enjoy our great-tasting beverages.' Food Empire is a multinational food-and-beverage manufacturing and distribution company headquartered in Singapore. Its portfolio spans instant beverages, snack foods and food ingredients, including coffee mixes, chocolate drinks, instant cereal blends and potato chips. Malaysia's export-oriented businesses fret as deadline for US tariff deal draws near
– As Malaysian trade negotiators race against the clock to seal a deal that could reduce the 25 per cent Trump administration tariffs before the Aug 1 deadline, the business community, especially those in export-oriented sectors, continues to grapple with uncertainty of the American levies . Given the economy is heavily reliant on exports – with export figures at RM1.5 trillion (S$460 million) in 2024 – local manufacturers such as those in the electrical and electronic and furniture sectors are particularly worried about US President Donald Trump's threat to impose higher tariffs on 'transshipped goods'. This is the Trump administration's attempt to curb the practice of rerouting Chinese products through a third country before they are exported to the US in order to disguise their true origin and evade US duties. This common practice is legal in global supply chains under regulations issued by individual countries. But it can and has been abused to evade duties. Washington had earlier said it would impose an unspecified additional levy on transshipment goods via Malaysia . It has not yet defined what percentage of Chinese inputs would classify goods as transshipment. The threat of US enforcement actions that target China-based supply chains will weigh down the competitiveness of Malaysia's exports as the country is a regional manufacturing hub and is deeply integrated with Chinese intermediate goods, said Mr Soh Thian Lai, president of the Federation of Malaysian Manufacturing. An intermediate good is a product (for example, steel) used in the production of a finished or final good (a stainless steel wok) . Although there are no available figures for intermediate goods imported from China, Malaysia recorded imports of intermediate goods totalling RM748.9 billion in 2024, representing a 74 per cent increase since 2020. Separately, Malaysia imported RM296.5 billion worth of goods from China in 2024 , a 72 per cent increase from 2020. Tan Sri Soh said that in recent years, global supply chains have shifted or expanded out of China. This has made the regional value chains all the more complex, and will make decoupling from China difficult. Mr Soh said Malaysian manufacturers in sectors such as electronics, medical devices and engineered parts, who are locked into long-term contracts and operate on tight margins, will be especially hurt by the upcoming 25 per cent tariff imposed by the US. Malaysia's electrical and electronic sector is also heavily reliant on sourcing silicon from China. But Mr Keat Yap of global management consultancy Kearney is of the belief that these Malaysia-made goods should not be categorised as transshipment products. In 2024, China accounted for 80 per cent of global silico n production. 'Even if the silicon comes from China, it cannot function as a chip unless it is diced into pieces, assembled with electrical connectivity, encapsulated for protection against elements, and then tested... In reality, there is no transshipment but significant value additions in Malaysia,' Mr Yap told ST. Malaysia ships a significant portion of its electrical and electronic sector products to the US. In 2024, such goods, including semiconductor and telecommunication equipment, made up 60 per cent of its exports to the US and were valued at RM119.86 billion. To address Washington's concerns regarding transshipments and increasing scrutiny over allegedly fraudulent origin claims of Malaysian products , the Ministry of Investment, Trade and Industry (Miti) in May revoked the authority of other organisations like local business councils, chambers or association , to issue non-preferential certificates of origin (NPCOs) for US-bound cargo. Industry sources whom ST spoke to in May , said there have been cases of Chinese manufacturers using Malaysia as a transshipment hub, allegedly going as far as to falsify certificates of origin in an effort to bypass US tariffs. The ministry is now the sole body authorised to issue NPCOs. These documents are used to certify the origin of goods for international shipments, helping to fulfil customs or trade requirements in the destination country. Muar Furniture Association chairman Steve Ong welcomed Miti's stricter move on NPCOs, saying that it would protect Malaysia's wooden furniture export industry, which is valued at RM9.89 billion in 2024 , half of which was shipped to the US. 'It's now harder for exporters to obtain fake certificates of origin for transshipment,' he told ST. 'However, Malaysia still faces higher tariffs compared with neighbours like Indonesia, which enjoys a 19 per cent rate, so there's a risk transshipment could shift there instead.' Miti on July 14 also tightened the oversight of the movement high-end chips from the US by imposing a strategic trade permit requirement, a move analysts say is part of the government's negotiation tactic to lower the tariff rate. Regionally, the US levied a tariff of 36 per cent against Thailand's exports , and 20 per cent against the Philippines, and 10 per cent on Singapore in a July 18 announcement. Vietnam secured a deal for a 20 per cent tariff rate and 40 per cent rate on goods deemed to be transshipped. Earlier in May, the US Department of Justice's (DoJ) criminal division issued a memo detailing the ' threats to the US economy' where it listed 'tariff evasion ' as a priority area it must tackle as part of combatting white-collar crime. Washington later in June reached a trade deal with China , which saw duties on Chinese goods cut to around 55 per cent – down sharply from a previous 145 per cent. AmBank Group Chief Economist Mr Firdaos Rosli said that comparing tariff rates between countries should not be the main focus for Malaysia , given the broader uncertainty posed by Mr Trump's trade policies. ' Although the US is a major global consumer market, the world is bigger ... Perhaps we should focus more on trading among ourselves rather than relying so heavily on a single nation,' he said. A former US DOJ prosecutor turned consultant Mr Artie McConnell said the lack of a common definition and the high burden of proof by prosecution to show that transshipping has occurred could hinder Mr Trump's efforts to criminalise the practice . 'When you have, say, a chemical mixture or a high-end electronic item, and there's no precedent under the (World Trade Organisation's) Harmonised Tariff Schedule (HTS), classifying the item can be very difficult,' Mr McConnell, now a partner at US lawfirm BakerHostetler told a forum on July 15. He advised firms to implement basic compliance programmes, such as having essential paperwork in order. With these processes in place, he said 'you've already completed 90 per cent of the work' to ready oneself for the new era of tariffs.
