Bone Biologics Announces Closing of $5.0 Million Public Offering
BURLINGTON, Mass.--(BUSINESS WIRE)--Bone Biologics Corporation ('Bone Biologics' or the 'Company') (Nasdaq: BBLG, BBLGW), a developer of orthobiologic products for spine fusion markets, today announced the closing of its previously announced public offering of an aggregate of 1,250,000 shares of its common stock (or common stock equivalents in lieu thereof), Series D warrants to purchase up to 1,250,000 shares of common stock and Series E short-term warrants to purchase up to 1,250,000 shares of common stock, at a public offering price of $4.00 per share (or common stock equivalent in lieu thereof) and accompanying warrants. The Series D warrants have an exercise price of $4.00 per share, are exercisable immediately upon issuance and will expire five years after the date of issuance, and the Series E short-term warrants have an exercise price of $4.00 per share, are exercisable immediately upon issuance and will expire 18 months after the date of issuance. H.C. Wainwright & Co. acted as the exclusive placement agent for the offering. Total gross proceeds to the Company from the offering, before deducting the placement agent's fees and other offering expenses, are $5.0 million. The potential additional gross proceeds to the Company from the warrants, if fully-exercised on a cash basis, will be $10.0 million. Bone Biologics is now in compliance with all applicable listing standards and its common stock will continue to be listed on the Nasdaq Capital Market. Bone Biologics was notified by Nasdaq on April 7, 2025 that it was not in compliance with the Rule because its common stock failed to meet the closing bid price of $1.00 or more for 30 consecutive business days.
