Cascadia Announces Closing of Financing

VANCOUVER, BC , July 3, 2025 /CNW/ - Cascadia Minerals Ltd. (" Cascadia") (TSXV:CAM) (OTCQB:CAMNF) is pleased to announce that it has oversubscribed and closed its previously announced non-brokered private placement (the " Placement") for total proceeds of C$2,274,385 , in conjunction with Cascadia's planned acquisition of Granite Creek Copper Ltd. (the " Transaction"), see news release dated June 9, 2025 for more details. The Placement was oversubscribed by 174,180 subscription receipts. The Placement consisted of the sale of: (a) 14,459,894 subscription receipts (" Subscription Receipts") at a price of $0.14 per Subscription Receipt for gross proceeds of C$2,024,385 ; and (b) 1,785,714 units (" Cascadia Units") at a price of C$0.14 per Cascadia Unit for gross proceeds of C$250,000 . Each Subscription Receipt entitles the holder to receive at the effective time of the Transaction one unit of Cascadia consisting of one Cascadia share and one common share purchase warrant (a " Warrant"). Each Warrant will entitle the holder thereof to purchase an additional Cascadia share at a price of $0.24 per share for a period of two years following the date of issuance of the Warrant. The Cascadia Units also consist of one Cascadia share and one common share purchase warrant having the same terms as the Warrants forming part of the units underlying the Subscription Receipts. The proceeds from the sale of the Subscription Receipts will be held in escrow pending the closing of the Transaction. If the closing of the Transaction has not completed by August 29, 2025 , the Subscription Receipts will be cancelled and the escrowed proceeds returned to the subscribers. Cascadia will use the proceeds of the Placement to pay expenses associated with the Transaction and to conduct exploration on the Carmacks Project. Cascadia will pay cash finders' fees totalling $90,623 and issue a total of 647,308 finder warrants (" Finder Warrants") in connection with the financing, with such fees to be paid and warrants to be issued at the closing of the Transaction. Each Finder Warrant shall be exercisable into one common share of Cascadia for a period of 24 months from issue, at an exercise price of $0.24 per Finder Warrant. The Cascadia shares and warrants comprising the Cascadia Units and any Cascadia shares issuable upon the exercise of these warrants are subject to a hold period in Canada until November 4, 2025 . The Subscription Receipts are also subject to a hold period in Canada which ends on November 4, 2025 , but the Cascadia shares and Warrants issuable upon the conversion of the Subscription Receipts at the effective time of the Transaction and any Cascadia shares issued on the exercise of the Warrants will not be subject to a resale hold period in Canada . Insiders of Cascadia purchased a total of 1,071,429 Subscription Receipts and 1,785,714 Cascadia Units in the private placement. The participation of insiders in the private placement constitutes a related party transaction, within the meaning of TSX-V Policy 5.9 and Multilateral Instrument 61-101 – Protection of Minority Security Holders in Special Transactions (" MI 61-101"). Cascadia has relied on exemptions from the formal valuation and minority shareholder approval requirements provided under sections 5.5(a) and 5.7(a) of MI 61-101 on the basis that the fair market value (as determined under MI 61-101) of insider participation in the Placement did not exceed 25 per cent of Cascadia's market capitalization. The Carmacks Project hosts a Measured and Indicated Resource containing 651 Mlbs of copper and 302 koz of gold (36.3 million tonnes grading 0.81 % copper, 0.26 g/t gold, and 3.23 g/t silver and 0.01% molybdenum) with a 2023 PEA demonstrating positive economic potential ( $230.5 M Post-Tax NPV (5%) and 29% Post-Tax IRR). Even before Glastonbury Festival hate chants, UK Jews warned of alarming rise in antisemitism

Jewish leaders in the United Kingdom expressed outrage this weekend over antisemitic chants led by artists at a flagship music festival that was broadcast live on British public television, but the community has long been warning of an alarming rise in hate crimes since Hamas' Oct. 7, 2023 attack on Israel. Even before Saturday's performance by British rap-pop duo Bob Vylan -- in which the singer chanted "Death, death to the IDF [Israel Defense Forces]" -- Jews in Britain have said they no longer feel welcome, citing government inaction in addressing antisemitism. "Bob Vylan's chant didn't come from an empty space," David Collier, an independent investigative journalist, told Fox News Digital. Collier, who monitors "antisemitism inside anti-Zionist activity," said that "Vylan is so lost that he truly believed he was speaking up for humanity when he called for the death of 100,000s of young Israelis… the crowd who chanted along with him saw nothing wrong in echoing his call for genocide. No witnessing crew member backstage saw fit to pull the plug on the lights or sound, and the BBC never stopped its live coverage." "The end product was a team effort that shows just how blind mainstream U.K. has become to a genocidal antisemitic ideology," he added. According to the Community Security Trust, which records antisemitic incidents across Great Britain, attacks against Jews have surged, with some 3,528 incidents reported in 2024 and 4,296 in 2023 – the highest ever. A survey of British Jewry published by the Campaign Against Antisemitism (CAM) in January 2025, showed that only one third (34%) believe the community has a long-term future in the U.K., and up to half said they had considered leaving Britain in the past two years due to antisemitism. The poll also found that less than half of British Jews (43%) feel welcome in the U.K., with the majority saying they needed to hide their Judaism due to antisemitism. Less than one-tenth said they believe the authorities were doing enough to address and punish antisemitism. Additionally, 92% said they view the media's bias against Israel as fueling the persecution of Jews in Britain. The BBC, respondents said, was the worst in terms of its coverage of matters of Jewish interest. "It has been clear for a while that antisemitism has been normalized in the U.K. But the fact that it is now broadcast openly and plainly on the BBC with minimal outcry shows how bad the situation has become," CAM CEO Sacha Roytman told Fox News Digital. "Incitement to violence should be a red line which forces the British government and the BBC to take all measures possible against these artists and make sure they do not have such a platform to spew their hate and violence ever again," he said. Britain's center-left Prime Minister Keir Starmer belatedly condemned Vylan's performance, saying in a statement, "There is no excuse for this kind of appalling hate speech" and calling on the BBC "to explain how these scenes came to be broadcast," according to media reports. Danny Cohen, a former BBC director, wrote in the Daily Telegraph on Sunday that the BBC was violating its own guidelines on hate speech and called on the government to take more action. "The BBC has repeatedly shown itself unable to get its own house in order on antisemitism," he wrote, citing, "consistent Jew-hate and bias from reporters on BBC Arabic" and a recent "debacle" surrounding a tainted documentary about Gaza. British Jewry's umbrella organization, the Board of Deputies, said in a statement that it would "continue to seek answers from the BBC about how that hateful content was allowed to be broadcast and to ensure there can be no repetition of this in the future." It also condemned Glastonbury Festival, saying "its professed commitment to 'peace, unity, respect and hope' rings hollow when its stage is used to promote chants calling for death." "What happened at Glastonbury is a symptom of a sickness in British society," said Nicole Lampert, a U.K.-based journalist and activist against antisemitism. "For me, and I say this with great sadness as a Brit and also as someone who spent many years as an entertainment journalist, this starts with the BBC." Lampert said the BBC, which Britons pay for via their taxes, offers "very little nuance in the reporting" of the conflicts in the Middle East. "There are meant to be rules in place which means that the BBC and its journalists are strictly neutral, but social media has shown that to be a lie," she said, adding "every day on every Jewish group I'm on, someone is saying 'I can't stay here.'" In a post on X, Israeli Minister for Diaspora Affairs Amichai Chikli urged British Jews to "leave the country." "The BBC has a long history of severe bias against Israel, but today a dark line was crossed by broadcasting calls for the murder of IDF soldiers," he wrote, adding that "when such incitement is normalized, those who fail to act, those who do nothing to stop it, bear responsibility for the blood of Jews and Israelis living in Britain." Like the prime minister, the BBC belatedly released a statement saying it "should have pulled" the livestream of the performance and that Vylan's performance contained "utterly unacceptable" and "antisemitic sentiments." "Millions of people tuned in to enjoy Glastonbury this weekend across the BBC's output, but one performance within our live streams included comments that were deeply offensive," the BBC said. The British government did not immediately respond to Fox News Digital questions.

WARNING: Disturbing content A woman jailed for having sexual intercourse with her mother's dog and accessing child abuse material will have four months shaved off her sentence after winning an appeal. Jennifer Cook pleaded guilty to one count each of using a carriage service to access child exploitation material, using a carriage service to transmit and make available child exploitation material, and committing an act of bestiality with an animal in April last year. A video of Cook engaging in sexual intercourse with her mother's dog was found on her phone as well as the phone of her former partner and co-offender Benjamin Day after their home was raided by the Australian Federal Police in September 2022. Cook had also accessed child abuse material (CAM) between 2020 and 2022, including animations or cartoons, videos, and a real image. Further details of the offending are too disturbing to publish. Cook was ultimately jailed for 3½ years, with a non-parole period of two years. She has since turned to NSW's Court of Criminal Appeal (CCA) to challenge parts of her sentence, arguing the judge made a mistake in determining the seriousness of the charge related to accessing CAM. A recently published judgment on the appeal confirmed that the statement of agreed facts incorrectly stated two images found on Cook's devices depicted real children when there was only one. While this was raised by Cook's counsel at sentencing and conceded by the prosecution, the facts were not formally corrected. Justice Stephen Rothman found this meant the sentencing judge determined the seriousness of the offence 'based on a mistake of fact'. 'It is unfortunate that the sentencing judge was misled in the agreed facts and the correction was not formalised,' Justice Rothman said in the judgment. 'A mistake of fact is an identifiable error and permits the court on appeal to intervene in the sentence imposed.' Cook challenged her sentence in the Court of Criminal Appeal. Cook also argued in her appeal that her sentence was 'manifestly excessive' and the judge had erred in determining the threshold for a custodial sentence was met. Justice Rothman found the threshold was passed in each offence 'given the seriousness and depravity of the offending', even when it did not involve an image of a real child. The Crown ultimately argued that Cook's entire appeal should be dismissed, and if it was allowed, a lesser sentence was not warranted. Justice Rothman decided that Cook's original sentence should be quashed and a fresh one of three years and two months' jail, with a non-parole period of two years and 10 months, dated to March 25, 2023, be imposed. This sentence will be four months shorter than Cook's initial sentence. She will be eligible for parole on June 24, 2025. Justice Rothman noted in his judgment that Cook suffered emotional abuse and struggled with substance abuse and mental health disorders. Cook's co-accused has also lodged an intention to appeal his sentence; however, no dates have been set at the time of publication. He was charged with several bestiality and CAM offences and sentenced to an aggregate term of three years and nine months' jail, with a non-parole period of two years and six months. The private equity (PE) and mergers and acquisitions (M&A) partner Iqbal Khan of a full-service law firm J Sagar Associates (JSA), along with their team of about 18 to 20, is set to join the Mumbai office of Cyril Amarchand Mangaldas (CAM). An alumnus of the London School of Economics and Political Science and Columbia University School of Law, Khan began his career with the US-headquartered firm Paul, Weiss, Rifkind, Wharton & Garrison LLP in 2008, later moving to Kirkland & Ellis LLP. In August 2013, he joined the Indian full-service firm Khaitan & Co., and in 2015, he transitioned to Shardul Amarchand Mangaldas & Co. (SAM & Co). Last year in June, he had joined JSA along with his team of about a dozen-and-a-half lawyers to JSA. Mumbai: Top-tier law firm Cyril Amarchand Mangaldas (CAM) has appointed Mihir Rale as partner and co-head of its newly consolidated Digital+ practice. Rale, who will be based in the firm's Mumbai office, was most recently the general counsel at Star and Disney India, where he spent 15 years overseeing legal strategy, regulatory policy, competition issues, and intellectual property across the entertainment and digital ecosystem.
