Bakkt Announces Pricing of $75 Million Public Offering

ALPHARETTA, Ga.--(BUSINESS WIRE)--Bakkt Holdings, Inc. ('Bakkt' or the 'Company') (NYSE: BKKT) today announced the pricing of its previously announced underwritten public offering of 6,753,627 shares of Class A common stock and pre-funded warrants to purchase up to 746,373 shares of Class A common stock at a public offering price of $10.00 per share and public offering price of $9.9999 per pre-funded warrant, which represents the per share public offering price of each share of Class A common stock less the $0.0001 per share exercise price for each pre-funded warrant. The offering is expected to close on or around July 30, 2025, subject to customary closing conditions. The gross proceeds from the offering, before deducting underwriter discounts and commissions and other estimated offering expenses, are expected to be approximately $75 million. Bakkt intends to use the net proceeds from the offering to purchase Bitcoin and other digital assets in accordance with its investment policy, for working capital and for general corporate purposes. Bakkt has granted the underwriters a 30-day option to purchase up to an additional 1,125,000 shares of Class A common stock and/or pre-funded warrants at the public offering price, less underwriting discounts and commissions.
