Cenomi Retail Signs Share Purchase Agreement to Sell 49.95% Stake to Al-Futtaim

Cenomi Retail, Saudi Arabia's leading retail brand partner, today announced that its founding shareholders have signed a share purchase agreement (SPA) with Al-Futtaim, one of the region's most prominent and diversified private business groups. Pursuant to the SPA, Al-Futtaim will acquire a 49.95% stake in Cenomi Retail from the selling shareholders, namely, Fawaz Abdulaziz Alhokair, Abdul Majeed Abdulaziz Alhokair, Salman Abdulaziz Alhokair, Saudi FAS Holding Company, and FAS Real Estate Company. The shares are priced at SAR 44 each, valuing the transaction at more than SAR 2.5 billion. As part of the completion conditions of the agreement, Al-Futtaim and Cenomi Retail are currently negotiating a shareholder loan agreement pursuant to which Al-Futtaim will extend a shareholder loan of an amount not less than SAR 1.3 billion, upon completion of the transaction, to help strengthen Cenomi Retail's balance sheet and support its next phase of growth, the entry of which is a completion condition for the private transaction between the selling shareholders and Al-Futtaim. This landmark deal represents a major milestone for Cenomi Retail, introducing Al-Futtaim as a long-term strategic shareholder and signaling strong confidence in the company's growth trajectory and market leadership in Saudi Arabia's dynamic retail sector. 20 July 2025 17:49 ABU DHABI (ALETIHAD)UAE business group — Al Futtaim Group — has acquired a 49.95% stake in Saudi Arabia's leading retail brand partner, Cenomi Retail, in a landmark deal valued at approximately Dh2.45 billion (SAR2.5 billion). The transaction, executed at SAR 44 per share, marks one of the largest foreign direct investments by a UAE private sector entity into Saudi Arabia's retail part of the agreement, Al Futtaim is also negotiating a shareholder loan of no less than Dh1.27 billion (SAR1.3 billion), which will significantly strengthen Cenomi Retail's balance sheet and support its future growth trajectory. Closing Bell: TASI closes the week in green at 11,244, climbing 1.03%

RIYADH: Saudi Arabia's Tadawul All Share Index concluded Thursday's trading session at 11,244.45 points, marking an increase of 114.81 points or 1.03 percent. The total trading turnover of the benchmark index was SR5.625 billion ($1.5 billion), as 139 of the listed stocks advanced, while 110 retreated. The MSCI Tadawul Index also increased by 19.52 points, or 1.37 percent, to close at 1,443.46. The Kingdom's parallel market Nomu reported a decrease, losing 88.34 points, or 0.32 percent, to close at 27,287.50 points. This comes as 37 of the listed stocks advanced while 38 retreated. The index's top performer, Fawaz Abdulaziz Alhokair Co., saw a 9.85 percent increase in its share price to close at SR29. Other top performers included Saudi Ceramic Co., which saw a 6.26 percent increase to reach SR31.90, while Halwani Bros. Co.'s share price rose by 5.55 percent to SR44.86. Middle East Healthcare Co. also recorded a positive trajectory, with share prices rising 5.09 percent to reach SR57.80. Al-Rajhi Co. for Cooperative Insurance was TASI's worst performer, with the company's share price falling by 2.91 percent to SR123.30. Saudi Industrial Export Co. followed with a 2.51 percent drop to SR2.33. Ades Holding Co. also saw a notable decline of 2.32 percent to settle at SR13.06. Americana Restaurants International PLC and Naseej International Trading Co. were among the top five poorest performers, with shares dropping by 2.08 percent to settle at SR2.35 and 1.96 percent to sit at SR100, respectively. On the announcement front, Riyad Bank announced its intention to issue tier 2 trust certificates denominated in US dollars under its updated international trust certificate issuance program, the bank said on Thursday. According to the bank's statement on Tadawul, the issuance — approved by its board on August 9 — is expected to be carried out through a special purpose vehicle and offered to eligible investors both in Saudi Arabia and internationally. The offering is part of the bank's broader capital-raising initiative aimed at general banking purposes, and its size and terms will be determined based on prevailing market conditions at the time of issuance. The Saudi lender has appointed Standard Chartered Bank, HSBC Bank, Merrill Lynch International, and J.P. Morgan Securities, as well as SMBC Group, Mizuho International, DBS Bank Ltd, and Riyad Capital as joint lead managers for the proposed offer. The proposed issuance of trust certificates will proceed following approvals from relevant regulatory bodies and will comply with all applicable laws and regulations. Riyad Bank's share price traded 2.54 percent higher on Thursday to close at SR28.36.

RIYADH: Saudi Arabia's Tadawul All Share Index slipped on Tuesday, as it shed 17.66 points, or 0.16 percent, to close at 10,832.43. The total trading turnover of the benchmark index was SR3.55 billion ($946 million), with 123 of the listed stocks advancing and 106 declining. The Kingdom's parallel market Nomu gained 65.84 points to close at 27,049.84. The MSCI Tadawul Index edged down by 0.08 percent to 1,383.41. The best-performing stock on the main market was Fawaz Abdulaziz Alhokair Co., with its share price surging by 6.71 percent to SR17.50. The share price of Naseej International Trading Co. also rose by 6.14 percent to SR83. Saudi Research and Media Group also saw its stock price rising by 5.92 percent to SR150.40. Conversely, the share price of United Carton Industries Co., dropped by 3.98 percent to SR41. On the announcements front, Meyar Co. said that it received a contract worth SR1.67 million from the Municipality of Unaizah. In a Tadawul statement, the company revealed that the agreement includes the supply of curbs stones and interlock tiles to the municipality. It added that there are no related parties involved in the deal. The share price of Meyar Co. edged up by 0.93 percent to SR54. Dar Almarkabah for Renting Cars Co. said that it signed a chauffeur-driven car rental contract valued at SR6.98 million with Wareed Health Medical Co. In a Tadawul statement, the company revealed that the contract period is valid for 24 months, adding that the impact of the deal will be visible in the firm's financials during the second quarter of this year. The share price of Dar Almarkabah for Renting Cars Co. was unchanged at SR2.47.
