Gold Mountain Mining Corp. Obtains Additional Funding Under Secured Convertible Debenture
VANCOUVER, BC / ACCESS Newswire / July 11, 2025 / Gold Mountain Mining Corp. ('Gold Mountain' or the 'Company') (TSX:GMTN)(OTCQB:GMTNF)(FRA:5XFA) is pleased to announce that it has obtained an additional $600,000 in funding (the 'Additional Funding') pursuant to an amended and restated secured convertible debenture (the 'Amended Debenture') dated as of July 11, 2025. The Amended Debenture amends and restates the terms of a secured convertible debenture (the 'Original Debenture') dated as of June 18, 2024 that the Company issued to Nhwelmen Construction Limited Partnership ('Nhwelmen' the contract miner at the Company's Elk Gold Mine), pursuant to which the Company owes Nhwelmen $5,000,000 (see the Company's news release dated June 18, 2024 for further details respecting the Original Debenture). The Amended Debenture amends the terms of the Original Debenture to increase the aggregate principal amount owing by the Company to Nhwelmen from $5,000,000 to $5,600,000. All other terms of the Original Debenture remain the same, including: the Amended Debenture is convertible at Nhwelmen's option into common shares of the Company at a conversion price of $0.08 per share (with an aggregate of 70,000,000 common shares being issuable if the full $5,600,000 is converted); the Amended Debenture matures on June 18, 2028; the principal amount of the Amended Debenture accrues interest at the rate of 12.0% per annum, calculated monthly and payable in cash in arrears on each anniversary date from the date of issuance of the Original Debenture; and the Amended Debenture may be prepaid in whole or in part, at the option of the Company. The Amended Debenture is secured by a second priority security interest over all of the assets of the Company including its current and after acquired property, as evidenced by the general security agreement dated effective March 10, 2024 between the Company and Nhwelmen. The Company will use the Additional Funding for general working capital, which will provide the Company with financial flexibility to support its ongoing operations and strategic initiatives. Closing Bell: ASX loses steam, paring back gains to add just 0.08pc
ASX hits the breaks, adding just 0.08pc Info tech also contracted, adding 0.54pc compared to more than 1pc earlier in the session Profit taking drives materials, banks lower 3pm slump has ASX yawning to close The ASX 200 pulled back from early gains that saw the bourse climb about 0.2% before lunch, adding just 0.08% by the end of the day. Things were kicking along with plenty of energy until around 2pm AEST when the All Tech index went sideways, shedding much of its momentum. The info tech sector added just 0.54%, despite leading gains with a more than 1% jump earlier in the day. Gold stocks, the broader resources index and the ASX 200 Banks failed to show their usual strength, leaving the ASX to end just about flat for the second day in a row. KPO is developing five natural gas power plants in conjunction with data centre locations, incorporating carbon capture and sequestration technologies to lower emissions. This quarter, Kalina was awarded 180MW of power within the Alberta grid – which the company intends to transfer to a third party – and moved to offload its 60 MW Saddle Hills project site as well as one or more of its Canadian subsidiary's 170 MW project sites. ASX sectors in the green The ASX 200 has climbed 0.19% in the first half hour of trade, with 10 of 11 sectors making gains this morning. The script has flipped from yesterday; big gains in materials on Thursday have turned to profit taking today, driving the sector down more than 1%. That's being handily outweighed by gains in every other sector. Info tech has taken a place at the front of the pack, adding 1.11%. Morning, and welcome to Stockhead's Top 10 (at 11… ish), highlighting the movers and shakers on the ASX in early-doors trading. With the market opening at 10am sharp eastern time, the data is taken at 10.15am, once trading kicks off in earnest. In brief, this is what the market has been up to this morning. ASX runs for cover as US bombs Iran The ASX is slumping in the first hour of trade, down 0.63% as of about 10:30 am AEST. US President Donald Trump took to Truth Social to announce that US forces had hit several nuclear sites in Iran. At this stage, there's been no retaliation from Iran, although threats have been flying all weekend. Oil markets haven't ignited as some might have expected. Brent Crude oil is up 2.8% to about US$79.17 a barrel at present, a solid lift that puts it back to January levels. That may change if things escalate, but for now the oil market is biding its time. Back at home, only 3 sectors are in the green at start of trade. Energy is unsurprisingly leading gains, up 0.75%, while Info Tech languishes, shedding 1.24%. BirdDog (ASX:BDT), a software enabled video solution company, has postponed a shareholder vote on the company's voluntary delisting from the ASX until July 22. BDT intends to buyback public shares at a 112% premium to its 15-day VWAP at $0.07 a share. The board reckons it's the best move for the company as its share price has been underperforming at low levels of liquidity, at a price point they don't believe reflects BDT's inherit value. Activeport (ASX:ATV) has unveiled version 3.0 of its cloud gaming GPU orchestration solution, a network infrastructure tool provided for Radian Arc that enables GPU-based edge computing. In other words, the technology uses a network of distributed computers to process complex data, enabling users to play high-end games on low-end computers that wouldn't normally be capable of running them. The technology already nets ATV about $1m per year in licensing, with that revenue set to grow as the company deploys a further 1,600 GPUs to support its latest cloud gaming contract with Radian Arc. Nelson Resources (ASX:NES) reckons it could be sitting on a larger gold system than originally thought at the Yarri gold project's Hidden Treasure prospect, after maxing out its rock chip sampling scanner on chips grading more than 8 g/t gold. NES has sent the samples for a more fulsome assay in the lab, unable to determine their true grade with limited equipment in the field. Some of the chips come from fresh rock within the mafic volcanic unit, highlighting potential for new areas of exploration. China's Zijin Mining opens gold and copper stock fund to Hong Kong investors
Gold Mountain Asset Management, an overseas unit of China's Zijin Mining Group, has opened its gold and copper-focused fund to professional investors in Hong Kong seeking to tap into the upbeat sentiment for these metals. The wholly owned unit of one of China's largest gold and copper miners previously sourced investments from within the group's companies and its employees. 'We are bullish on gold, because the price will be supported by ongoing geopolitical uncertainties and unresolved trade frictions,' Lisa Liu Sha, managing director and portfolio manager of Hong Kong-based Gold Mountain, said in an interview last week. Gold could hit US$4,000 an ounce this year due to a weakening US dollar and rising demand from investors and central banks for the precious metal, she said.
