Karl E. Held Dies: A Producer Of Broadway-Bound ‘Kowalski' Was 63
Karl E. Held, a longtime arts advocate who was a producer on the Tony Award-nominated 2009 Broadway production of Ragtime and most recently on the Off Broadway hit Kowalski, died of a heart attack June 23 in New York City shortly after attending a performance at Carnegie Hall. He was 63. His death was announced by a spokesperson for Kowalski. Gregg Ostrin's comedy, about the first meeting between Tennessee Williams and Marlon Brando, ran in January and February at Off Broadway's Duke on 42nd Street. Producers recently announced their intentions to move Kowalski to Broadway. In 1990 he joined Emmy Award-winning producer Roger Englander and Freddie Gershon of Music Theatre International to create an acclaimed video series capturing the conception and creation of Broadway shows with their original creators. The series featured conversations about musicals including George Gershwin's works, Stephen Sondheim's Assassins and Into the Woods, Kander and Ebb's And the World Goes Round, She Loves Me, Starting Here, Starting Now, Forever Plaid, Claude-Michel Schönberg's Les Misérables, and George Abbott's The Pajama Game and Damn Yankees. Throughout his career Held collaborated on various projects with Lincoln Center for the Performing Arts, Carnegie Hall, Tanglewood, the Spoleto Festivals (Charleston, SC, and Spoleto, Italy), Leonard Bernstein, Stephen Sondheim, Seiji Ozawa, John Williams, Frank Wildhorn, Yo-Yo Ma, Harry Belafonte, Betty Buckley, Elaine Stritch, and the Van Cliburn International Piano Competition. He also produced projects with the New York Philharmonic, Boston Symphony Orchestra, Philadelphia Orchestra, New Jersey Symphony, Princeton University, Princeton Theological Seminary, Gettysburg College, Westminster Choir College, and the American Boychoir School. In 2009 Held joined the Broadway producing team of the Terrence McNally-Stephen Flaherty-Lynn Ahrens Ragtime. Tony-nominated for Best Musical, the production took home four Tonys (Best Book, Best Score, Best Orchestrations and, for Audra McDonald, Best Featured Actress/Musical). Other New York theater credits included Into the Woods (1989) and White's Lies (2010). Beyond the theater, Held's producing work extended to major civic and cultural events, serving clients such as the governors of Pennsylvania, New York, and New Jersey, the Pennsylvania Governor's Arts and Humanities Councils, the Congressional Medal of Honor Society, Citizens for the Arts, the National Trust, and the Boston Symphony Orchestra. In 2005, Held led the renovation and gala reopening of the Gettysburg's historic Majestic Theater, transforming the 1925 vaudeville house into a state-of-the-art performing arts facility. He also spearheaded the creation and launch of the Gettysburg Festival, a ten-day interdisciplinary arts festival, and founded The Ambassadors Series, an international concert and lecture series at Gettysburg College. In 2007, he produced the Governor's Arts Awards at the Majestic at the invitation of then-Governor Ed Rendell. Other projects included a four-CD box set of Sondheim's works for the composer's 80th birthday, and a 15-year archival project with composer Alice Parker, supported by the NEA. He also served on national councils for The John F. Kennedy Center for the Performing Arts, including its 25th Anniversary Celebrations in 1996. From 2005 to 2010, he was instrumental in bringing the Leonard Bernstein Center for Artful Learning from the Grammy Foundation in Los Angeles to Gettysburg College. Held served as President and CEO of The American Boychoir School and was the founding executive director of the Princeton Center for Arts and Education. He also served as Senior Advisor to the President of Gettysburg College from 1997 to 2009, working with three administrations, and held leadership roles with the Adams County Arts Council, the National Trust for Historic Gettysburg, the Lincoln Bicentennial Commission, and the Nassau Club in Princeton. He is survived by brother Michael Held of Las Vegas. Memorial services will be held in both New York City and Gettysburg. In lieu of flowers, donations may be made to the Adams County Arts Council or any organization supporting the arts. EARLY WARNING REPORTS ISSUED PURSUANT TO NATIONAL INSTRUMENT 62-103 SHAREHOLDERS ANNOUNCE FILING OF UPDATED EARLY WARNING REPORTS
TORONTO, June 30, 2025 /CNW/ - Michael Held, the Chief Executive Officer and Director of LifeSpeak Inc. (" LifeSpeak" or the " Company") and Nolan Bederman, the Executive Chair and Director of LifeSpeak (each of Mr. Held and Mr. Bederman, an " Shareholder"), announce that, on June 26, 2025, the Company completed the previously announced plan of arrangement (the " Arrangement") under Section 192 of the Canada Business Corporations Act (" CBCA"), pursuant to which 17104944 Canada Inc., an entity originally incorporated under the Business Corporations Act (Ontario) as 1001180076 Ontario Inc. and continued under the CBCA, acquired all of the issued and outstanding common shares in the capital of the Company. The Arrangement, which was announced on April 17, 2025, was approved by the Company's shareholders at the special meeting held on June 23, 2025. The Company obtained a final order from the Ontario Superior Court of Justice (Commercial List) in respect of the Arrangement on June 25, 2025. In connection with the Arrangement and pursuant to the terms of a rollover agreement (the " Rollover Agreement"), Mr. Held and Mr. Bederman exchanged certain of their Common Shares for common shares of the Purchaser on a 1:1 basis under the Arrangement steps. Also pursuant to the Arrangement, all of Mr. Held and Mr. Bederman's options to purchase Common Shares were vested and cancelled for no consideration. Prior to the completion of the Arrangement, Mr. Held had ownership of, or exercised control or direction over, 12,077,395 Common Shares (comprised of 1,446,041 Common Shares held directly, and control or direction over 10,631,354 Common Shares held by certain related entities) representing approximately 20.4% of the issued and outstanding Common Shares and held options to acquire an additional 1,400,000 Common Shares (all of which vested in connection with the Arrangement and were cancelled). Assuming exercise of all of such options, Mr. Held would have had ownership of, or exercise director or control over, 22.26% of the Common Shares (on a partially diluted basis). Prior to the completion of the Arrangement, Mr. Bederman had ownership of, or exercised control or direction over, 5,691,674 Common Shares (comprised of 1,043,390 Common Shares held directly, and control or direction over 4,648,284 Common Shares held by certain related entities) representing approximately 9.62% of the issued and outstanding Common Shares and held options to acquire an additional 1,400,000 Common Shares (all of which vested in connection with the Arrangement and were cancelled). Assuming exercise of all of such options, Mr. Bederman would have had ownership of, or exercise director or control over, 11.71% of the Common Shares (on a partially diluted basis). Following the completion of the Arrangement, neither Shareholder holds, nor exercises control or direction over, any Common Shares or options to acquire Common Shares. It is expected that the Company's common shares will be delisted from trading on the Toronto Stock Exchange on June 30, 2025. The Company will submit an application to cease to be a reporting issuer under applicable securities laws. PHOENIX (AP) — Rookie Lexi Held scored a season-high 24 points, Satou Sabally had 19 points, seven rebounds and five assists and the Phoenix Mercury closed on an 18-1 run to beat the Golden State Valkyries 86-77 on Thursday night. Phoenix trailed 76-68 with 4:04 remaining. Held put the Mercury ahead 77-76 with 1:11 remaining on a deep 3-pointer. After Golden State went 1 for 2 at the free-throw line, Sabally rebounded her own miss and put it in while being fouled. Sabally made the free throw for a three-point play and an 80-77 advantage with 33.3 left. Golden State guard Veronica Burton missed a wide-open layup at the other end and Sabally was fouled before making two free throws for a five-point lead. The Valkyries turned it over on their next two inbound plays, and the Mercury made four straight free throws to seal it. Held was 7 for 15 from the field, including 4 for 9 behind the arc, and 6 for 6 at the free-throw line for the best scoring output by a rookie this season, passing Paige Bueckers' mark of 21. Phoenix (6-3) improved to 5-1 at home — a franchise best to begin a season.
