GOLDEN SHIELD ANNOUNCES CLOSE OF OVER-SUBSCRIBED PRIVATE PLACEMENT
VANCOUVER, BC, June 27, 2025 /CNW/ - Golden Shield Resources Inc. (CSE: GSRI) (FRA: 4LE0) (the " Company" or " Golden Shield") is pleased to announce that it has closed its over-subscribed financing (the " Financing") through the issuance of 6,596,333 common shares (the " Shares") of the Company at a price of $0.15 per Share, for gross proceeds of $989,450. No finder's fees were paid on the Financing. The Company intends to use the net proceeds from the Offering corporate and general working capital purposes, as well as for exploration expenditures at the Company's Marudi Mountain Property. Securities issued under the Offering are subject to a statutory hold period which will expire four months and one day from the date of closing of the Offering. In connection with the Financing, insiders of the Company subscribed for 1,653,333 Shares and a former director subscribed for 24,000 Shares in a shares for debt exchange for an aggregate total of $248,000 of debt fulfilled. Each subscription under the Financing by an insider is considered to be a "related party transaction" for purposes of Multilateral Instrument 61-101 – Protection of Minority Security Holders in Special Transactions ("MI 61-101"). The Company did not file a material change report more than 21 days before the expected closing date of the Financing as the details of the Financing and the participation therein by the insiders were not settled until shortly prior to the closing of the Offering, and the Company wished to close the Financing on an expedited basis for sound business reasons. The Company relied on exemptions from the formal valuation and minority shareholder approval requirements available under MI 61-101. The Company is exempt from the formal valuation requirement in section 5.4 of MI 61-101 in reliance on section 5.5(b) of MI 61-101 as the Company is not listed or quoted on a "specified market" (as defined in MI 61-101). Kane Biotech Provides Further Corporate Update
WINNIPEG, Manitoba, June 18, 2025 (GLOBE NEWSWIRE) — Kane Biotech Inc. (TSX-V:KNE) (the 'Company', 'Kane' or 'Kane Biotech') provides updates on its reorganizational phase. The Company has terminated its exclusive distribution agreement with ProgenaCare Global LLC ('ProgenaCare') dated April 18, 2023 due to various material breaches by ProgenaCare of the agreement. Activities to resecure distribution for its products in the United States are underway. The Company recently received a notice of default from Prairies Economic Development Canada ('PrairiesCan'). The notice relates to the Contribution Agreement between Western Economic Diversification Canada (now PrairiesCan) and Kane Biotech dated August 6, 2019, in which PrairiesCan provided the Company with repayable contributions of $2,491,266. The contributions are repayable in 59 consecutive monthly installments of $42,000 and one final instalment of $13,266 on an unsecured, interest-free basis which commenced on April 1, 2023. Kane has made all required repayments from April 1, 2023 to date excepting that of the payment due June 1, 2025. The Company has been in communication with PrairiesCan prior to the notice whereby it requested a restructuring of the timing of the remaining loan repayments with the intention of repaying the outstanding balance in full. Kane previously advised on April 28, 2025, that an unsecured demand loan of $1 million (the 'Loan') from an insider of the Company was entered into and funds received. The lender has agreed to convert the Loan to a five-year, unsecured convertible debenture in the principal amount of $1 million (the 'Debenture') all of which is subject to the approval of the TSX Venture Exchange. Interest on the Debenture shall accrue at the rate of three percent (3%) per annum, compounded annually and payable at maturity. The Debenture is convertible into common shares of Kane at the option of the holder at a price of $0.10 per common share. There are no broker fees or commissions related to this matter. The conversion of the Loan to the Debenture is a 'related party transaction' as defined under Multilateral Instrument 61-101 – Protection of Minority Security Holders in Special Transactions ('MI 61-101'). Mines D'Or Orbec Announces Closing of Second and Final Tranche of Private Placement
Brossard, Quebec--(Newsfile Corp. - June 9, 2025) - Further to its news release dated April 24, 2025, Mines D'Or Orbec Inc. (TSXV: BLUE) ("Orbec" or the "Company") is pleased to announce that it has completed the second and final tranche of its non-brokered private placement consisting of the sale of 8,600,000 units (the "Units") at a price of $0.05 per Unit, for aggregate gross proceeds of $430,000 (the "Offering"). Each Unit was comprised of one common share in the capital of the Company (a "Share") and one-half of one Share purchase warrant (each whole warrant, a "Warrant"). Each Warrant will entitle the holder to acquire an additional Share (a "Warrant Share") at a price of $0.075 per Warrant Share for a period of 18 months following closing of the Offering. In total, and including the first tranche of the Offering, the Company issued 19,500,000 Units and 714,284 common shares issued on a "flow-through" basis at a price of $0.07 per common share, for aggregate gross proceeds of $1,005,000. Fairchild Announces Upsizing of Its Private Placement
Vancouver, British Columbia--(Newsfile Corp. - May 28, 2025) - Fairchild Gold Corp. (TSXV: FAIR) ("Fairchild" or the "Company") is pleased to announce it has upsized its previously announced non-brokered private placement. The Company intends to raise up to an additional $1,000,000 (the "Offering") through the issuance of up to 16,66,666 units (each, a "Unit") at a price of $0.06 per Unit. The Company previously closed a first tranche of the Offering on April 22, 2025 for gross proceeds of $810,000. Each Unit is comprised of one common share (a "Common Share") in the capital of the Company and one common share purchase warrant (a "Warrant"), whereby each whole Warrant shall be convertible into an additional Common Share at an exercise price of $0.15 for a period of sixty (60) months from the date of issuance. The Warrants include an acceleration clause to the effect that if the daily volume weighted average closing price of the common shares on the TSX Venture Exchange is at least $0.50 per Common Share for a period of five (5) consecutive trading days, 12 months after the closing date of the Offering (the "Triggering Event"), the Company may, within 5 days of the Triggering Event, accelerate the expiry date of the Warrants by giving notice thereof to the holders of the Warrants, by way of news release, and in such case the Warrants will expire on the first day that is 10 calendar days after the date on which such notice is given by the Company announcing the Triggering Event.
