Sapura Energy to convene EGM for shareholders' approval of regularisation plan
KUALA LUMPUR: Sapura Energy Bhd (SEB) will convene an extraordinary general meeting (EGM) on July 30, 2025, for shareholders to vote on its proposed regularisation plan aimed at restoring the company's financial health and exiting Practice Note 17 (PN17) status. In a filing with Bursa Malaysia today, SEB outlined four key components of the plan, which include capital reconstruction, debt restructuring, fundraising, and a proposed exemption for Malaysia Development Holding Sdn Bhd (MDH) and its partners from making a mandatory general offer. SEB said the capital reconstruction exercise involves a 99.99 per cent reduction and a 20-to-1 share consolidation, but neither exercise will affect the percentage shareholding of existing shareholders. The company also plans to reduce its borrowings from RM10.8 billion to RM5.6 billion under the debt restructuring proposal, which is expected to cut annual interest costs by 60 per cent or more than RM500 million. Meanwhile, MDH will subscribe up to RM1.1 billion in redeemable convertible loan stocks (RCLS) to help settle outstanding vendor payments in the local oil and gas ecosystem. The final component of the plan seeks to exempt MDH and its persons acting in concert from making a mandatory offer should they fully convert their RCLS. SEB said a dedicated shareholders' help desk will be set up from July 15 to assist with queries regarding the proposed regularisation plan. With shareholders' approval, the company aims to strengthen its equity position, improve liquidity and contract execution, restore market credibility, and eventually apply to exit its PN17 status upon recording two consecutive quarters of profit post-restructuring. Group chief executive officer Muhammad Zamri Jusoh described the proposals as a decisive step in shaping the company's future and determining whether it can transform into a resilient, profitable enterprise. "By addressing legacy liabilities, enhancing our equity base and securing strategic support, we are rebuilding the foundation for future profitability and shareholder returns. "We recommend that all shareholders vote in favour of these proposals and support SEB's recovery and value creation journey,' he added. - Bernama

Chief Minister Datuk Seri Hajiji Noor said this initiative, spearheaded by Yayasan Sabah in collaboration with the State Forestry Department, aligns perfectly with creating a conducive research environment while ensuring sustainable forest management. 'I wish to reiterate the State Government's full support to conservation and research efforts such as this,' Hajiji said during the facility's opening ceremony, with his speech delivered by Deputy Chief Minister cum Works Minister Datuk Shahelmey Yahya. Hajiji expressed confidence that with multi-stakeholder support, including from the Federal Government, conservation areas like Danum Valley and the entire DaMaI (Danum Valley, Maliau Basin and Imbak Canyon) Rainforest Landscape would continue serving as global biodiversity treasures while functioning as premier research, education and conservation centres. Hajiji pointed out the significance of the location, saying the surrounding restored forest demonstrates successful conservation efforts. 'Many are unaware that the forest we passed through today is a restored forest, the result of years of dedicated effort. This proves that forest restoration can succeed with vision and commitment,' he said. The facility will also serve educational purposes, supporting environmental programs conducted by the Sabah Nature Club, which has adopted several Lahad Datu schools under Yayasan Sabah Group supervision. Looking ahead, Hajiji called for increased Federal Government support, particularly through the National Conservation Trust Fund for Natural Resources and the upcoming 13th Malaysia Plan. Langom Research Station Reflects State Govt's Commitment To Biodiversity Conservation
LAHAD DATU, June 24 (Bernama) -- The opening of the Langom Control Centre and Research Station in the Danum Valley Conservation Area reflects the Sabah government's commitment to biodiversity conservation and research, said Chief Minister Datuk Seri Hajiji Noor. He said the initiative by Yayasan Sabah, in collaboration with the State Forestry Department, was in line with efforts to create a conducive research environment while ensuring sustainable forest management. 'Therefore, I would like to reiterate the state government's full support for such conservation and research efforts. 'I sincerely hope the Federal Government will consider providing greater support, particularly through continued funding under the National Conservation Trust Fund for Natural Resources (NCTF) and in the upcoming 13th Malaysia Plan,' he said when officiating the centre here today. His speech text was read out by Deputy Chief Minister III Datuk Shahelmey Yahya, who is also the State Public Works Minister. Hajiji said the establishment of the centre, through an allocation of RM5.6 million from the Ministry of Natural Resources and Environmental Sustainability under the 12th Malaysia Plan, was in line with the thrust of the Sabah Maju Jaya (SMJ) Development Plan, particularly in environmental conservation and sustainable development. He expressed confidence that with support from all parties, including the federal government, conservation areas such as the Danum Valley and the entire DaMaI Rainforest Landscape (comprising the Danum Valley, Maliau Basin and Imbak Canyon) would continue to be preserved as global biodiversity treasures and serve as premier centres for research, education and conservation in the country. He also commended Yayasan Sabah for its outstanding achievements in managing and preserving the Danum Valley Conservation Area and other similar sites, which have played a key role in protecting forest reserves while elevating Sabah's name on the international stage. Hajiji said the research station, established in the Ulu Segama-Malua Forest Reserve under the Sabah Forestry Department Management Committee and involving Universiti Malaysia Sabah (UMS), is strategically located between the Innoprise Face the Future Project area and the Danum Valley Learning Centre.

Chief Minister Datuk Seri Hajiji Noor said having another scientific facility showed the commitment of the Sabah government to conservation and biodiversity research efforts in the state. He said the initiative by Yayasan Sabah, in collaboration with the Sabah Forestry Department, augurs well for the goal of creating a conducive research environment while ensuring sustainable forest management. Hajiji said, with support from all quarters, including the federal government, conservation areas like Danum Valley and the whole of the DaMaI (Danum Valley, Maliau Basin and Imbak Canyon) Rainforest Landscape would remain as one of the world's biodiversity treasure troves. At the same time, he said, it would make it the country's foremost research, education and conservation centre. "I am hopeful that the federal government will consider channeling more support, particularly in the form of continuous funding through the National Conservation Trust Fund for Natural Resources (NCTF) as well as in the upcoming 13th Malaysia Plan," he said. Hajiji said this at the opening of the Langom Control Centre and Research Station here today in a speech delivered by Deputy Chief Minister Datuk Shahelmey Yahya. 'As a state rich in natural resources, research on the management and conservation of these resources is significant. This includes research on how these resources can be used sustainably for the benefit of the people and the nation, as well as the impact on the environment,' he said.
