How to build a B2B payments behemoth

Bottomline Technologies sells business payments and digital banking services to banks, which in turn use them to offer corporate customers non-branded technology for online banking and cash-management services. Bottomline says about one million companies use its platforms to make $16 trillion in annual payments, with customers including 90% of the Fortune 100 businesses. It also contends it's the world's third-largest Swift service bureau owing to a large cross-border payments business in Europe. In May, Bottomline introduced embedded access for banks to offer a proprietary payment network, Paymode, as part of their digital banking platforms. This network for large companies contains about 600,000 vendors for which Bottomline has verified the identity and bank account details of each. That information allows for any company to pay these vendors, regardless of the bank they use, and prevents fraud, CEO Craig Saks said, calling the 'closed loop environment' Bottomline's 'most interesting business.' Bottomline has 2,500 employees and dual headquarters in Portsmouth, New Hampshire and Theale, England, with its operations focused on North America, the United Kingdom and Europe. Saks, a former ACI Worldwide senior executive, joined Bottomline as chief executive officer in May 2022, when private equity firm Thoma Bravo closed on its $2.6 billion cash purchase of the company and took it private. Saks spoke with Payments Dive on July 23. Editor's note: This interview has been edited for clarity and brevity. There is a massive opportunity. The U.S. business payments volume in aggregate, is tens and tens and tens of trillions of dollars. No one has got a material share of that. We're pretty big and we still think we've got so much headroom to go. We are still growing incredibly fast, because there's this huge white space in the addressable market. The U.S. does need at least one or two large-scale business payment networks to emerge. It doesn't have a large scale, de facto standard for a business payment network like it has in the card brands or in the big merchant acquirers. There just isn't anyone who's got to that breakthrough scale. And I think that is necessary in the U.S., and it's inevitable. There are a lot of reasons why payment networks emerge at different speeds around the world. One is the level of regulatory push. The U.S. doesn't have a history or culture of decree: This is the new business-payment standard, and thou shalt all do it. Europe and the rest of the world tends to do that. The other thing that slows these things down a little bit in the U.S. is just the pure scale and complexity. Building payment networks takes a lot longer when there are thousands of banks than if there are dozens of banks. It takes a lot longer with millions of businesses. It obviously takes a lot longer when there are lots of states with different state regulations and so on. And so I think the scale and complexity of the U.S. just makes it take a little bit longer to gel together. I'd say it's inevitable for a few reasons. First of all, the efficiency that a scaled payment network brings to an economy is undeniable. When I look at where we play best, it's in the upper part of the mid-market enterprise and above, and typically in the larger bank ecosystem. And it's also not dependent on cards. It's dependent on any type of electronic payment. In that realm, relatively few (companies) play, and there are relatively few that have advanced as far as we have, but absolutely some of the names you threw out there. Fiserv and FIS, or the big card associations or some of the big ERP (enterprise resource planning) players, they all expressed interest at serving that community with different strategies...I think the U.S. is big enough for a small handful. I get asked this question a lot, and it's obviously speculative in terms of who would find us attractive and who wouldn't. Our company is fairly sizable and very rapidly growing and a very profitable company. And so it would absolutely need to be bought by a larger player. This is going to be a fairly significant acquisition for someone. I think the ideal player would be someone who is interested in an industrywide network and in network dynamics. They could be anyone who's got a payment network or a network of customers within the banking or commercial corporate space. I think it's unlikely that any one of the big (bank) participants in the network would want to buy it, because that would then turn you from being a 'member of the club' to a competitor in the club. And I think that that would actually probably not work for the other banks. It's not to say that it's impossible, and it's not to say that some wouldn't think about it, but I do think that it's more likely that it will be a third party that serves the banking industry and has the opportunity to bring more scale and more amplification to the industry level value proposition, because of the network dynamic that we have. Do I think that stablecoin could make inroads into Swift volumes or other cross border volumes? Absolutely, it's a better widget. And the reason I say it's a better widget is it's still just dollars at the end of the day, if it's backed by dollars, right? So it's got certain technological and security advantages and all the other good things about a modern technology. What people often forget is that payment types and methods are not just about the rail. It's about 10 million other things that happen in the institutions on each side and in all of their customers, and around security rules and protocols and around trust. Nothing's going to just walk in and say, 'I'm going to replace the trust for the Swift correspondent banking network.' And 'I'm going to just replace all the understanding of the 10,000 ways people have tried to steal money from Swift in the last five decades,' instantly. I've always seen that the evolution of payment types is actually a very long and drawn out journey. So do I think that it could end up being a dominant payment type? Absolutely. Do I think it'll take as long to get rid of everything else as it's taken us to get rid of checks? Most likely. Saks Clashes With Onetime Financing Partner Pathlight in Court Over HBC Deal That Cleared the Way for Neiman's Acquisition

Since Saks Global completed its acquisition of Neiman Marcus Group in December, it's had to wrestle with vendors unhappy over new payment terms and sooth the nerves of bondholders who didn't have as much collateral as they thought. Even without that, bringing the two companies together is a big project that involves cutting some $600 million in costs over time, setting up shop on Amazon, resetting the luxury department store model and more. It's a legal dispute that could, if it goes to trial, shed some light on exactly how the long-suffering Hudson's Bay went under. The dispute started with the complicated negotiations that cleared the way for the Neiman's acquisition. Saks needed to restructure some debt from its partner Pathlight Capital in order to separate from its former parent company, Hudson's Bay Co., as Neiman's was brought on board. Pathlight agreed to amend a credit facility and give Hudson's Bay a $65.6 million term loan in return for a $5 million payment, which Saks made in January. But Saks also agreed to two further payments totaling $8.8 million to Pathlight if the term loan to Hudson's Bay was not repaid. Saks did not make the two additional payments, claiming that Pathlight did not support its effort to refinance the loan to Hudson's Bay, precipitating the Canadian retailer's slide into the equivalent of bankruptcy and then into liquidation. Pathlight sued Saks in New York State Court in May, claiming that it 'fully performed its obligations,' and was due its $8.8 million. In its reply to that suit on Tuesday, Saks denied Pathlight's allegations. The retailer said in connection with the acquisition it paid back $370 million in loans to Pathlight, rolled over its remaining debt into the term loan and agreed to pay more than $6 million in fees. 'Pathlight's claims are barred by its breach of the implied covenant of good faith and fair dealing,' Saks said in its response filed with the court. 'Pathlight agreed that Saks Global would not be required to pay the second and final installments to the extent that HBC had repaid the term loans. 'Pathlight, however, refused to cooperate or otherwise take any actions that would have allowed HBC to address its liquidity needs and repay the term loans,' Saks said. 'In fact, when asked for basic cooperation, Matt Williams, a Pathlight principal, at one point stated bluntly: 'I don't care. I'm not interested in being helpful.' 'Accordingly, through its actions and inactions, Pathlight has violated the implied covenant of good faith and fair dealing, including its implied duty to act in good faith to facilitate and/or not inhibit HBC's efforts to repay the term loans and thereby discharge any obligation to pay the second and final installments.' Saks also claimed that Pathlight 'fraudulently induced' Saks to enter the side agreement, knowing that 'it would never cooperate with HBC as necessary to satisfy the term loans such that the Saks Global's obligation to pay the second installment and final installment would be relieved.' While the case does not seem central to the bigger picture at Saks and its efforts to remake luxury retailing, it is something of a coda for Hudson's Bay — which had years of ups and downs and ranks as North America's oldest company, founded in 1670 as a fur trader. Hudson's Bay liquidated, but the name is due to live on. The Canadian Tire Corp. agreed to buy the intellectual property of Hudson's Bay for 30 million Canadian dollars in May. B.C. billionaire hosts job fair in Toronto amid bid for Hudson's Bay leases

Social Sharing A British Columbia billionaire seeking to acquire dozens of former Hudson's Bay leases held a job fair in Toronto this weekend to attract people to work at the properties— despite not yet leasing the retail spaces in the city. Ruby Liu signed deals with Hudson's Bay in May to buy up to 28 leases across Canada belonging to the defunct retailer and its sister banner Saks. So far, only three leases have been transferred. Liu hosted the job fair at the Intercontinental Hotel on Saturday, drawing workers, vendors and former Hudson's Bay employees, who were hopeful and uncertain about the future of the store. "If she pulls this off, she will be a Canadian hero," said Sandi Kveton, who worked at Hudson's Bay for 27 years. "We're hopeful that she can get the leases. She's still fighting in court, so we really don't know if we have jobs or not." The three spaces in B.C. were transferred to Liu last month after receiving court approval. The Bay has yet to seek that assent for up to 25 more in properties held by other landlords, who are overwhelmingly opposed to Liu moving in because they say she's yet to provide detailed business plans. An Ontario judge adjourned a court hearing last Tuesday initiated by a creditor of Hudson's Bay seeking to terminate Liu's purchase agreement. The judge urged Liu, who is now parting ways with two law firms, to hire a lawyer to represent her and her plans to buy the leases. For more on the new Bay benefactor, we're joined by retail analyst Carl Boutet. Speaking through her CEO and translator, Linda Qin, Liu expressed optimism about the outcome of the hearing. "She's very confident that we are going to get the stores," said Qin on Saturday. "We want to prepare for the store openings." "It's very obvious that Ruby Liu is a qualified bidder." Plan faces pushback A Toronto lawyer said the different Bay creditors are still unsure if this is in the best interest of their financial situation. "It's a disagreement about whether or not the information that's been provided so far offers enough comfort as it relates to whether or not this is in the best interest of the different creditor groups," said Sherena Hussain, lawyer and founder of Academic Collaboration Consulting. "In many cases, they're looking to recover cents on the dollar." Liu has budgeted $84 million to transform former Bay spaces into Asian-style department stores offering shopping, dining, and entertainment. She plans to use the properties to open a department store named after herself. But retail expert Jim Danahy said this could be a challenge for Liu. "These are big square boxes without windows and not easily redeveloped," said Danahy, who's the CEO of CustomerLab. "She's got some experience renting retail space, not operating retail space." 30 years on, 'Clueless' is still defining fashion trends – here's how

Power plaids, matching sets, athleisure – all fashion mainstays now, but in the summer of 1995, they weren't exactly on trend when the murky flannels and shredded denim of grunge ruled. Until a fizzy comedy starring an 18-year-old Alicia Silverstone set at a Beverly Hills, California, high school rolled into theatres like a white Jeep Wrangler with a monster sound system. No, you're not totally buggin', friends, it's the 30th anniversary of Clueless . Directed by Amy Heckerling, who loosely based her screenplay on Jane Austen's Emma , the teen classic centres on Cher (Silverstone) and her well-intentioned matchmaking in the halls and malls of Beverly Hills. Cher's circle of friends includes her bestie Dionne (Stacey Dash); her frenemy Amber (Elisa Donovan); Christian (Justin Walker), her crush; and Tai (Brittany Murphy), her protegee. But from the opening scene, the film's fashion vibrates with main character energy – and that's exactly what Heckerling and costume designer Mona May intended. 'We had to create these girls that are authentic but have a certain kind of fashion sense that wasn't out there' at the time, said May, who drew on her childhood in India, a European sensibility and an encyclopedic knowledge of runway shows to create the film's bold styles. 'Cher's looks were completely over-the-top in the best way,' Silverstone wrote in an email. 'But that's what made her iconic!' Of Cher's impact, Silverstone added: 'She gave people permission to look like they cared about their fashion.' The costume designer had a clear vision, Silverstone recalled, adding, 'Looking back it's funny because they were the adults but were much more tapped into youth culture and fashion than I was.' 'Growing up, there wasn't a lot of film fashion that a young designer could fall in love with, and Clueless was that,' he said. 'Everybody wanted to dress like Cher.' On a video call from her home in Los Angeles, May, dressed in a bright pink top, hat and necklace, broke down the film's most influential looks. Here are excerpts from her comments. Cher's back-to-school ensemble The look: The starting point was the Catholic schoolgirl uniform. How would Cher interpret it? It's the schoolgirl uniform on steroids. I looked for suits. I got a blue one that looks great on blondes, and then out of the corner of my eye I see on the rack in Neimans or Saks, the yellow (Jean Paul Gaultier) suit. And I grab it. Alicia walks into the fitting in her sweatpants, with her dogs. She tries the blue. It's beautiful, but it's nothing. It's just pretty. So Alicia puts the yellow on, and this is the moment that's magic. She became the queen bee. She became the ray of sunshine. We knew immediately. The lasting influence: Plaid is timeless. I love Vivienne Westwood – it's not grunge; it's kind of punk. The yellow was so impactful. Dior just did it two years ago. Kim Kardashian wore a yellow plaid outfit with her daughter North. That was incredible. That's all Amy wrote. It's my task as a costume designer to figure out what that is. We found this Calvin Klein dress. It was perfect in so many ways because it looked like a slip. It was off-white, so a little bit bridal. She's a virgin sacrifice (laughs). We probably tried 50 dresses. But again, it came together at the fitting. This is pre-Spanx. We want to make sure Alicia's feeling comfortable because she has to exude confidence in that scene. It's the perfect body-hugging dress without being skintight. The material is more cotton. The lasting influence: It's a perfect shape for every kind of occasion. You can wear it with Birkenstocks to the beach, or dress it up with diamonds and red lipstick. That's why it will never go out of style. Cher's layered look The look: It's a pivotal emotional moment for Cher, because she's always so sure of herself. But she didn't pass her (driving) exam, and she finally realises she loves Josh (Paul Rudd). The blouse is a matte silk chiffon with ruffles, and I put her 'very capable' vest over it to make sure she looks proper for the test. We did the argyle silver skirt and Mary Janes, as always. The colour was very muted because it was where she was: Nowheresville. The lasting influence: The white shirt is timeless. Now girls are wearing the big, oversized shirts. I think we should all have one in the closet. Cher's gym attire The look: Amy said we got to do black and white. We were on Melrose (Avenue), shopping at the rave shops, trying to find all the different categories, starting with Cher. There was nothing like this in the stores. No crazy cool yoga clothes or designers like Balenciaga making spandex. I think I may be the one who started the T-shirt (under) the spaghetti strap tank trend. I had eight weeks to prep. So we found a bunch of black-and-white stuff, whatever we could get our hands on. Amber has a 1920s swimsuit or wrestler's outfit. And Dionne is in a tuxedo shirt with white little ruffles. The lasting influence: I created the water bottle (carriers in the film). I want to claim that Karl Lagerfeld in his next collection (for Chanel) did that. His runway shows inspired Clueless , too. Dionne's photo-shoot outfit The look: The burgundy dress with the white cuffs and collar was Stacey's favourite. It is a stretch velvet two-piece, actually, a skirt and a top. The white cuffs and collar with the white knee-highs and headband – don't you think of 1960s Brigitte Bardot? France is always on my mind because they are truly the most chic people in the world. The lasting influence: Stacey Dash was a little older than everybody else. She lived in New York City. She was super punk rock, self-assured. And she understood these clothes. Stacey said she gets stopped to this day by women telling her how (Dionne's fashion) changed their lives. We didn't set out to do it. It was never a conversation at the fitting. We were just creating these amazing characters. There's something about matching, too; something that is simple is really beautiful. Amber's take on knits The look: Pippi Longstocking was my favourite film (character) growing up. She was the coolest, most self-sufficient girl. I wanted to pay homage to her. This look was very Missoni-inspired. We actually had to buy the fabrics and match different stripes. Amber was savvy about fashion; she just took it to another level. The lasting influence: If you look at that outfit or her sailor outfit or the army outfit, you could wear it, especially now that everything is so quirky. Now we wear everything with jeans. It was very fresh, mixing high and low. The film also helped set trends in menswear. Photo: Collection ChristopheL via AFP Christian and Cher's mall garb The look: When we meet (Christian) we cannot know that he's gay. We have to hide his identity. So how do we do this? When I saw a picture of Justin Walker, I was mesmerised. I thought immediately: James Dean. Rat Pack 40s, 50s and a little bit of rockabilly. We dressed him in period pants with pleats, gabardine jackets, gabardine shirts. In the end, he becomes the best friend of Cher. Only a fashionista with very sophisticated taste can go shopping at the mall with her. The lasting influence: I think men will always look good in those clothes. You can go preppy with it – khaki pants with a white T-shirt – or a very nice polo and a good leather jacket. The sage green minidress was Alicia's favourite. Because it's so comfortable. It comes back to Emma , what women wore during the Regency period – empire waist, the little puffy sleeves, the lower necklines. I don't know anybody who looks bad in that at any age. They're there for each other, even if it's making Tai over. Brittany Murphy was so wonderful. She was an incredible actress at 17. She came on the set with her mom, and she knew immediately how she wanted to approach the character, with this kind of sadness and vulnerability. She said, 'Mona, I really want to be as grungy as I can. I don't want to look pretty.' She becomes this mini Cher. But it's the mall version. It's not tailored so perfectly. Maybe the colour palette is a little bit off. And then she's trying to find herself at the party with the overalls. This is something Brittany was so brilliant at. You really see that arc, and the clothing supporting her all the way to the end, where she's this California girl, sporty and feminine. The lasting influence: She's learned, from the pieces, who she was.
