France's Capgemini to buy outsourcing firm WNS for $3.3 billion

(Reuters) -French IT services firm Capgemini has agreed to buy technology outsourcing company WNS for a cash payment of $3.3 billion to capitalize on their Agentic AI offerings for companies seeking to transform their business processes.
The price translating to $76.50 per WNS share represents a 17% premium compared to the last closing price on July 3 and does not include India-based WNS's financial debt, Capgemini said on Monday.
With this acquisition, Capgemini aims to create a consulting business service focused on guiding enterprises on how to reform their operations through Generative AI and Agentic AI, which it said would attract "significant" investments.
"WNS brings ... its high growth, margin accretive and resilient Digital Business Process Services ... while further increasing our exposure to the US market," Capgemini CEO Aiman Ezzat said in the statement.
WNS provides services including business process outsourcing and data analytics, and its customers include large organizations such as Coca-Cola, T-Mobile and United Airlines.
Capgemini expects the deal to be immediately accretive to its revenue and operating margin, it said in a press statement.
It said the transaction would increase its normalised earnings per share by 4% before synergies in 2026, and by 7% in 2027 post-synergies. Its financial guidance for this year was unchanged.

Longer-dated U.S. Treasury yields rose. Trump on Monday began telling trade partners including Japan and South Korea that the higher U.S. tariffs will start August 1. Trump in April capped all of the so-called reciprocal tariffs with trading partners at 10% until July 9 to allow for negotiations. Only two agreements, with Britain and Vietnam, have been reached. "Trade, inflation and earnings are going to be the next three catalysts that will drive the market higher or lower, depending on how they unfold," said Adam Sarhan, chief executive of 50 Park Investments in New York. "But markets like certainty, and today's news increases the level of uncertainty, hence the selloff," he said. Tariffs are expected to increase prices and to slow down growth, though uncertainty over the ultimate policies may be a bigger drag as it leads businesses to postpone decisions. S&P 500 companies next week are expected to begin reporting results on the second quarter. The Dow Jones Industrial Average fell 422.17 points, or 0.94%, to 44,406.36, the S&P 500 fell 49.37 points, or 0.79%, to 6,229.98 and the Nasdaq Composite fell 188.59 points, or 0.91%, to 20,412.52. U.S.-listed shares of Japanese automotive companies fell, with Toyota Motor down 4% and Honda Motor off by 3.9%. Also, electric vehicle maker Tesla shares fell 6.8% after CEO Elon Musk announced the formation of a U.S. political party named the "American Party." MSCI's gauge of stocks across the globe fell 5.80 points, or 0.63%, to 919.93. The pan-European STOXX 600 index closed up 0.44%. The yield on benchmark U.S. 10-year notes was last up 5.7 basis points on the day at 4.397%. The interest rate sensitive two-year yield rose 1.9 basis points to 3.901%. The dollar's rise was most notable against the yen. It was up 1.09% at 146.130. The euro slipped 0.57% to $1.172 having rallied over 13% so far this year. The dollar index, which measures the currency against six major counterparts, rose 0.517% to 97.467, reaching a one-week high. Minutes of the last Federal Reserve meeting are also due this week. Investors are weighing how many times the Fed is likely to cut interest rates this year after jobs data for June on Thursday showed that employers added more jobs than economists had forecast. Oil prices rose as signs of strong demand offset the impact of a higher-than-expected OPEC+ output hike for August and concerns about possible tariff impacts. Brent crude futures rose $1.28, or 1.9%, to settle at $69.58. U.S. West Texas Intermediate crude gained 93 cents or 1.4%, to settle at $67.93. Deloitte's survey of chief financial officers at major British firms showed a net balance of plus 2% of respondents saw the United States as an attractive place to invest, down from plus 59% in late 2024, shortly before President Donald Trump took office. The report tallied with official US data last month that showed inward foreign direct investment fell sharply in early 2025, a drop that coincided with high business uncertainty over Trump's tariff plans. By contrast, Deloitte said British company executives warmed to their own market, with the balance for the United Kingdom rising to plus 13% from minus 12%, ranking top with India for investment attractiveness. The United States remained more attractive than the rest of developed Europe or China, both of which had negative readings in Deloitte's survey. 'These results reveal a shift in sentiment with the United Kingdom now viewed as a leading global investment destination,' said Richard Houston, senior partner and chief executive of Deloitte UK. 'This renewed confidence, coupled with a rise in risk appetite, is welcome and underscores the considerable investment potential the United Kingdom offers.' In 2023, Britain was the fourth-biggest direct investor into the United States by ultimate beneficial owner, with a position of US$636bil, according to official US data. The Deloitte survey showed British executives reported an uptick in business confidence compared with the previous survey published in April. While still subdued, the optimism index ticked up to minus 11% from minus 14% in the previous quarter. British business surveys generally point to weak economic growth, a problem for Finance Minister Rachel Reeves, who is likely to raise taxes again at the next budget, according to market expectations. RIO DE JANEIRO: Prime Minister Datuk Seri Anwar Ibrahim said Monday (July 7) that his official visits to Italy, France and Brazil have successfully met their intended objectives. Besides reinforcing bilateral ties, he said the visits also contributed to efforts to attract investments and boost Malaysia's trade relations. Speaking at a press conference at the conclusion of the three-nation visit which began in Italy on July 1, he said it also raised Malaysia's visibility in its capacity as Asean Chair for 2025. He underscored that the mission opened up wider networks for Malaysian companies to expand internationally. The visit to Italy alone generated over RM8bil in potential investments, while the engagements in France brought in RM4bil. Anwar was accompanied by five Cabinet ministers - Foreign Minister Datuk Seri Mohamad Hasan, Transport Minister Anthony Loke, Agriculture and Food Security Minister Datuk Seri Mohamad Sabu, Defence Minister Datuk Seri Mohamed Khaled Nordin, and Investment, Trade and Industry Minister Tengku Datuk Seri Zafrul Abdul Aziz. Deputy Minister of Energy Transition and Water Transformation Akmal Nasrullah Mohd Nasir was also part of the delegation. The Prime Minister was also joined by a business delegation comprising representatives from leading Malaysian corporates and innovative enterprises, including Petronas, Khazanah Nasional Bhd, Tenaga Nasional Berhad (TNB), Maybank, FGV, YTL Power and Sunway. Anwar's inaugural official visit to Italy came at the invitation of Italian Prime Minister Giorgia Meloni, aimed at deepening bilateral relations across a broad range of sectors. While investment and trade were key priorities, Anwar, who is also Finance Minister, said the trip also provided an opportunity to address geopolitical issues. Anwar stressed that Malaysia's firm stance on humanitarian issues in the Middle East was conveyed clearly, especially on the situation in Gaza and attacks on Iran. He noted that Meloni, French President Emmanuel Macron, and Brazilian President Luiz Inacio Lula da Silva were aligned in their calls to end the violence in Gaza, which has reportedly claimed some 56,000 lives. "Macron has already issued his statement. As for Meloni, she agreed on the need to stop the attacks. She specifically mentioned Israeli aggression and supports peace efforts and the two-state solution, meaning she recognises Palestine as a state," said Anwar. Responding to claims that the visits benefited European nations more - particularly in relation to aircraft purchases - Anwar said the deals would yield long-term benefits for Malaysia. "These aircraft orders were made by airlines, including AirAsia and Malaysia Airlines, but the government also wants the country to benefit," he explained. Malaysia, he said, is seeking to position itself as a hub for aircraft manufacturers such as Airbus and Embraer, particularly in areas like maintenance, repair and overhaul (MRO), training, and supply chain activities. In Brazil, during the 17th BRICS Leaders' Summit, Malaysia drew attention when Anwar was invited to speak at the BRICS Business Forum attended by the Brazilian President. "The forum was opened with a keynote session by the President. Malaysia was given priority even though we are not a full member (of BRICS)," Anwar said. He said that he used the opportunity to stress the need for justice between developed and developing nations, and to raise concerns over the governance of artificial intelligence technologies. The visit to Brazil also allowed Anwar to meet with several world leaders and heads of international organisations. In Rio de Janeiro, the second biggest city in Brazil, the Prime Minister held discussions with South African President Cyril Ramaphosa and three counterparts namely Narendra Modi (India), Pham Minh Chinh (Vietnam), and Mostafa Madbouly (Egypt). Following a meeting with New Development Bank President Dilma Rousseff, Anwar said Malaysia's potential membership in the bank would be considered after a detailed assessment by Bank Negara Malaysia. He added that several Malaysian companies, including Petronas and Yinson Production, have already made inroads into the Brazilian market. - Bernama
