Riot announces that on June 9, 2025 it sold 1,748,200 common shares (the " Sold Shares") of the Company representing approximately 0.31% of the issued and outstanding Common Shares (the " Common Shares") of the Company (based on the information contained in the Company's management information circular filed on June 9, 2025 (the " Company's Circular").
The Sold Shares were sold through normal course sales on the Nasdaq Stock Market and other open market trades for a weighted average price of approximately US$0.90 per Sold Share (equivalent to approximately C$1.23 per Sold Share based on the daily exchange rate posted by the Bank of Canada on June 9, 2025 (the " Exchange Rate")) at a price range per Sold Share of approximately US$0.88 to US$0.92 (equivalent to approximately C$1.21 to C$1.26 based on the Exchange Rate) for an aggregate amount equal to US$1,576,351.94 (equivalent to approximately C$2,157,079.99 based on the Exchange Rate).
Immediately prior to the sales of Common Shares giving rise to the issuance of this press release, Riot beneficially owned 81,249,679 Common Shares, representing approximately 14.61% of the issued and outstanding Common Shares (based on the information contained in the Company's Circular). Following completion of the aforementioned sales, Riot beneficially owned 79,501,479 Common Shares, representing approximately 14.30% of the issued and outstanding Common Shares as at the date hereof (based on the information contained in the Company's Circular).

In March 2023, Flair Airlines filed a $50-million lawsuit against Irish-based Airborne Capital Inc. and a trio of affiliated leasing corporations, alleging they 'secretly' found a better deal for the Boeing 737 Max aircraft with a third party and then set up Flair for default. Flair said at the time it received no notice over the 'unlawful' seizures, which took place at airports in Toronto, Edmonton and Waterloo, Ont., precluding the airline from alerting or rebooking customers. 'The lessors sent agents to seize the aircraft in the middle of the night as passengers were boarding planes for spring break vacations,' Flair's statement of claim said. But Airborne Capital has said that Flair 'regularly' missed payments over the previous five months, prompting the plane seizures, and that it had been in regular contact with Flair's representatives about its obligations. None of the allegations in Flair's lawsuit or the countersuit have been tested in court. In new court documents, the lessors deny any breach of contract or duty to act in good faith, saying the seizures were necessary to protect the value of the aircraft. They said the seizures took place at Canadian airports to avoid stranding passengers overseas and were timed overnight to prevent disruption during busier daytime hours. 'For months, Flair failed to make rent and other payments when due under the leases. It ignored repeated default notices in which the lessors expressly reserved their rights and remedies under the leases, including to terminate the leasing of the aircraft and repossess the aircraft.' The leasing companies said they 'repeatedly advised that the continuing arrears were unacceptable.' They also denied that the seizures were related to a more profitable deal with a third-party. Companies pull animal welfare campaigns in Calgary
CALGARY, AB, July 4, 2025 /CNW/ - Animal protection organizations are raising the alarm about mounting censorship efforts by major advertising companies and media groups as the Calgary Stampede kicks off. While the Stampede is heavily promoted across Canada as a national celebration, the darker side of its animal events is increasingly hidden from public view. When animals are inevitably injured or killed—a grim annual tradition —the live broadcast quickly cuts away, leaving announcers to fill the silence while the arena is cleared. Increasingly, animal welfare advocates say that corporate advertising companies are going further to block even mild criticism from reaching the public. This year, the Vancouver Humane Society (VHS) attempted to run a billboard with Astral Media Outdoor, owned by Bell Media. The billboard would have been placed along the Stampede parade route, pointing out that distressing moments—like when a rope tightens around a calf's neck—are typically edited out of rodeo highlights. Sharing this fact proved too much for Bell Media, despite initially approving the sign. Just days before launch, Bell Media abruptly demanded last-minute changes before cancelling the billboard altogether. The company rejected the VHS's photo-based ads in 2024, while Pattison Outdoor Advertising, another major ad company, refused all "animal advocacy advertising." After Bell withdrew, other approved ad campaigns began to unravel. Rogers Media, which had sent radio ad contracts and collaborated on script development, reversed course, stating that the ads would "diminish the value of the Rogers' brands." The Calgary Stampede is one of Rogers Sports & Media's properties, a representative noted. RedPoint Media Group, which had agreed to place online ads in Avenue Calgary, also rejected designs mentioning animal welfare concerns and offered to run general ads about the VHS instead. Their production team said they do not accept "political" messaging—despite one of the rejected ads stating only: "Like dogs, calves suffer stress and injuries from rough handling." "We've been advocating for an end to cruel practices at the Calgary Stampede for decades, but this year we've had three advertising companies backtrack on ads with signed contracts," said VHS Communications Director Chantelle Archambault. "We're extremely concerned that companies are keeping animal welfare messaging from reaching the public." "These moves to silence even mild criticism show an alarming imbalance, where an event that routinely sees animal deaths and injuries is shielded from scrutiny by powerful corporations," said Alexandra Pester, Calgary-based staff lawyer at Animal Justice. "Frankly it's also insulting to Calgarians, suggesting they can't be trusted to make up their own minds about controversial events."
