CASE ALLEGATIONS: On September 7, 2021, Compass Diversified announced the acquisition of a majority interest in Lugano Holdings, Inc., a designer, manufacturer, and marketer of high-end jewelry, in a deal with an enterprise value of $256 million (excluding working capital and certain other adjustments upon closing).
The Compass Diversified class action lawsuit alleges that defendants throughout the Class Period made false and/or misleading statements and/or failed to disclose that: (i) Lugano had violated applicable accounting rules and acceptable industry practices with respect to its financing, accounting, and inventory practices during Compass Diversified fiscal 2024; (ii) Lugano's 2024 financial results had been artificially distorted by these irregularities; (iii) Compass Diversified had failed to implement effective internal controls over Compass Diversified's financial reporting; and (iv) as a result, Compass Diversified's reported 2024 financial results did not reflect the actual financial results of Compass Diversified and such reported results were materially misstated.
On May 7, 2025 Compass Diversified issued a press release titled 'Compass Diversified Discloses Non-Reliance on Financial Statements for Fiscal 2024 Amid an Ongoing Internal Investigation into its Subsidiary, Lugano Holding, Inc.' revealing that Compass Diversified 'has preliminarily identified irregularities in Lugano's non-CODI financing, accounting, and inventory practices. After discussing with senior leadership and investigators, the Audit Committee of CODI's Board has concluded that the previously issued financial statements for 2024 require restatement and should no longer be relied upon.' Compass Diversified's release also announced that Compass Diversified intended to delay the filing of its first quarter 2025 Form 10-Q. On this news, the price of Compass Diversified's stock fell more than 62%.

UN Nuclear Inspectors Quit Iran
The International Atomic Energy Agency (IAEA) said its inspectors have departed Tehran and arrived safely to Vienna after Iran suspended cooperation in the wake of attacks on its nuclear program by Israel and the United States. Newsweek has reached out to the Iranian Foreign Ministry for comment. The move is a sign of the increasing uncertainty over Iran's nuclear program, with Tehran signaling it will press ahead with its nuclear program - including uranium enrichment - despite recent U.S. and Israeli strikes that damaged key nuclear facilities. The departure of the inspectors means a reduction in international monitoring of what Iran is doing. It comes a day after Iranian President Masoud Pezeshkian signed a law suspending cooperation with the IAEA, after parliament had voted in favor of the bill previously. "An IAEA team of inspectors today safely departed from Iran to return to the Agency headquarters in Vienna, after staying in Tehran throughout the recent military conflict," the agency said in a statement on X. IAEA Director Rafael Grossi has "reiterated the crucial importance of the IAEA discussing with Iran modalities for resuming its indispensable monitoring and verification activities in Iran as soon as possible." According to The Wall Street Journal, the withdrawal of the inspectors from Iran is due to safety concerns. Months before Israel and the U.S. attacked, Iran had threatened to expel IAEA inspectors and suspend cooperation. The IAEA had assessed in June that Iran did not comply with its obligations. After the attacks, Iran has responded by saying it will establish a new facility for enriching uranium, which can be a step towards nuclear weapons. Iran says it is committed to the Non-Proliferation Treaty (NPT) commitment not to seek nuclear weapons. Through the NPT's safeguards agreements, the IAEA monitors and verifies that signatories are meeting their obligations not to acquire a nuclear weapon. A spokesperson for the International Atomic Energy Agency (IAEA) told Newsweek on Wednesday: "The IAEA is awaiting further official information from Iran." Iranian Foreign Minister Abbas Araghchi wrote on X Wednesday: "Iran remains committed to the NPT and its Safeguards Agreement. In accordance with the new legislation by Majlis, sparked by the unlawful attacks against our nuclear facilities by Israel and the U.S., our cooperation with @iaeaorg will be channeled through Iran's Supreme National Security Council for obvious safety and security reasons." U.S. State Department Spokesperson Tammy Bruce told reporters: "First of all – and I want to get this correct here – it is – we'll use the word "unacceptable" – that Iran chose to suspend cooperation with the IAEA at a time when it has a window of opportunity to reverse course and choose a path of peace and prosperity. Iran must cooperate fully without further delay." No talks are currently scheduled but Iran may use its suspension of IAEA cooperation as leverage in future nuclear negotiations. Total revenue and reserve income from continuing operations soared 58% year-over-year (YOY), reaching $578.6 million. Operating income from continuing operations climbed 77% YOY to $92.9 million. Adjusted EBITDA showed healthy growth as well, increasing 60.6% to $122.4 million. Net income expanded by 33% YOY, settling at $64.8 million. On an earnings per share basis, unaudited pro forma EPS came in at $0.29. Meanwhile, the company ended the quarter with a robust cash and cash equivalents position of $1.1 billion, providing ample liquidity for continued operations and growth initiatives. Looking ahead, analysts forecast a challenging second quarter. EPS for Q2 fiscal 2025 is projected to decline sharply by 100%, settling at -$1.89. The full fiscal year 2025 EPS is also expected to fall significantly by 100%, projected at -$1.32. However, optimism returns for fiscal 2026, where EPS is anticipated to increase by 134% to $0.45, reflecting a recovery and growth phase. These numbers suggest a transitional period marked by near-term pressure but an underlying confidence in the company's longer-term financial trajectory. In line with Needham's bullish stance, Bernstein initiated coverage on Circle with an 'Outperform' rating, setting a price target of $230. The analyst views Circle as a stablecoin 'category leader' and a critical player in the evolving payments landscape. Similarly, Canaccord Genuity assigned a 'Buy' rating on CRCL, targeting a price of $247 per share. CRCL stock currently holds a 'Moderate Buy' consensus rating. Out of the 12 analysts covering the stock, six analysts advocate for a 'Strong Buy,' one favors a "Moderate Buy," four recommend a 'Hold' rating, and one advises a 'Strong Sell.' The average price target of $193.12 represents marginal 3% potential upside. Meanwhile, the Street-High target of $250 suggests a potential climb of 32% from current levels. These evaluations underscore the market's expectation that Circle will continue to capitalize on accelerating stablecoin adoption and expand its foothold in the market.
