Aptose Announces Results from Annual and Special Meeting of Shareholders

SAN DIEGO and TORONTO, May 27, 2025 (GLOBE NEWSWIRE) — Aptose Biosciences Inc. ('Aptose' or the 'Company') (TSX: APS; OTC: APTOF), a clinical-stage precision oncology company developing a tuspetinib (TUS) based triple drug frontline therapy to treat patients with newly diagnosed acute myeloid leukemia (AML), today announced the voting results from the Company's annual and special meeting of shareholders held today, May 27, 2025 (the 'Meeting'). A total of 1,477,794 common shares of the Company, representing 57.90% of the common shares of the Company entitled to be voted, were voted by shareholders present or represented by proxy at the Meeting.
The Company is pleased to announce that all of the nominees listed in the proxy statement dated April 28, 2025 (the 'Proxy Statement'), were re-elected as Directors. The results of the vote are provided below:

The Company has adjourned the Meeting to a later date and time to permit the Company to complete its search for a successor auditor to KPMG LLP. Once the new meeting date is determined, Aptose will issue a press release with the details and provide shareholders with information about the proposed new independent auditor. At the reconvened meeting, shareholders will be asked to vote on the appointment of the successor auditor and the authorization of the board of directors to set such auditor's remuneration.

CALGARY, Alberta--(BUSINESS WIRE)--DevvStream Corp. (Nasdaq: DEVS) (' DevvStream ' or the ' Company '), a leading carbon management firm specializing in the development, investment, and sale of environmental assets, today announced that it has entered into a securities purchase agreement for the issuance of up to (US)$300 million in senior secured convertible notes (' Senior Notes '), advancing its strategic initiative to build a blockchain-based treasury and launch a tokenization platform for sustainability-linked infrastructure. The securities purchase agreement provides for the issuance of up to (US)$300 million in Senior Notes with Helena Partners, which issuances will be funded in multiple tranches. An initial funding of (US)$10 million was completed on July 18, 2025. Key Highlights: Under the agreement, DevvStream will allocate 75% of the net proceeds (70% of the initial tranche) toward the purchase of liquid digital assets that offer 24/7 liquidity, serve as non-correlated stores of value, and may be used as collateral for future credit facilities. This program complements DevvStream's core business of developing, acquiring, and monetizing environmental assets in coordination with its objective to expand investor access to tokenized sustainability infrastructure. The Company is also actively exploring the tokenization of its existing environmental asset portfolio and anticipates further announcements as its platform scales. Additionally, the strategy is expected to provide opportunities to generate multiple revenue streams, including staking yields, while reducing reliance on equity financing through crypto-backed credit options. A pair of reports from the Bank of Canada say tariff-related uncertainty continued to put a damper on business and consumer sentiment in the second quarter, but the worst-case trade scenarios previously anticipated seem less likely. The central bank's business outlook survey said 28 per cent of firms are now planning for a recession in Canada, down from 32 per cent last quarter but still up from 15 per cent over the previous two quarters. Sales outlooks remain pessimistic overall due to widespread concerns about the effects of a slowing economy, but the report says recent monthly surveys suggest some improvement in firms' outlooks, especially among exporters because few have been directly affected by current tariffs. Meanwhile, the Canadian survey of consumer expectations says spending intentions have weakened further because of persistent tariff threats. Consumers also continue to see the labour market as soft amid 'elevated' fears of job loss. LAVAL - Alimentation Couche-Tard Inc. says it's restarting its share buyback program after it announced last week that it had ended its efforts to acquire the owner of the 7-Eleven chain. Laval, Que.-based Couche-Tard says the Toronto Stock Exchange had approved its program to buy back up to 10 per cent of outstanding shares that, based on its current price, represents about $5.8 billion in shares. The company says the potential repurchasing of about 77.1 million shares is an appropriate use of its cash and an efficient way to create long-term shareholder value. Couche-Tard had been keeping funds on-hand as it tried for more than a year to land a friendly takeover of Japan-based Seven & i Holdings Co. Ltd. in a deal that could have been worth more than $60 billion. The company said last Wednesday it had withdrawn its proposal, citing a lack of constructive engagement from Seven & i. Seven & i said it had engaged in good-faith discussions, but had also expressed concerns about antitrust hurdles and the broad shifts in the global economy that would challenge the prospects of any deal.
