
U Consumer Finance S.A.E., Known Under the Trademark of Valu Announces its Intention to Float on The Egyptian Exchange

U Consumer Finance S.A.E. ('Valu'), the leading universal financial technology powerhouse in Egypt, announced today its intention to proceed with the trading of its shares on the Egyptian Exchange (the 'EGX'), following the completion of an in-kind dividend distribution* by EFG Holding S.A.E. ('EFG Holding') (the 'Dividend Distribution'). Valu was listed on the EGX on 21 May 2025 (the 'Listing,' and together with the Dividend Distribution, the 'Transaction'). Valu's shares will be admitted to trading on the EGX following registration with the Egyptian Financial Regulatory Authority (the 'FRA'), the completion of the Dividend Distribution and the ratification of the trading disclosure report by the FRA**.
The Dividend Distribution was approved by the Ordinary General Assembly meeting of the shareholders of EFG Holding on 24 May 2025 (the 'OGM'). The OGM approved the utilization of EGP 335,322,346 out of the distributable retained earnings of EFG Holding, which figure is based on the financial statements of EFG Holding for the financial year ending on 31 December 2024, for the purposes of an in-kind dividend distribution (in lieu of a cash dividend distribution) to the shareholders of EFG Holding, in the form of shares in the share capital of Valu, which shares represent 20.488% of the share capital of Valu.
The Dividend Distribution is based on Valu's book value according to the consolidated financial statements for the financial year ending on 31 December 2024. The ratio of the number of Valu shares that will be allocated to the shareholders of EFG Holding is 1 Valu share per3.3273 EFG Holding shares (with fractional shares allocated to minority shareholders).
As announced earlier today, EFG Holding has determined that the record date is set on 12 June 2025, for the owners of shares of EFG Holding and the purchasers of shares of EFG Holding, as of the end of the trading session held on the Thursday 12 June 2025, which accordingly will become direct shareholders in Valu, after completing the necessary procedures.
The commencement of trading on the Valu shares on the EGX is expected to take place during the week commencing on 22 June 2025, subject to receipt of the relevant regulatory approvals.
Valu and EFG Holding engaged EFG Hermes Promoting and Underwriting S.A.E. to act as sole financial advisor in connection with the Transaction, and Zulficar & Partners to act as legal counsel. EFG Holding also engaged Gibson, Dunn & Crutcher LLP to act as legal counsel to EFG Holding in connection with the international aspects of the Transaction.

Saudi Arabia, IFAD Partner to Fight Hunger
Amid a widening global food gap and the mounting impacts of climate change, the International Fund for Agricultural Development (IFAD) has underscored the vital importance of boosting support for agricultural and food-related activities to drive sustainable development in rural areas. The UN agency praised its strong and multifaceted cooperation with Saudi Arabia, highlighting key areas of focus that include food security, rural development, and strengthening resilience to environmental changes. IFAD is also ramping up efforts to promote the 'blue economy' as part of its broader strategy to support sustainable development, particularly in rural and coastal communities, a senior official told Asharq Al-Awsat. Naoufel Telahigue, IFAD's Regional Director for the Near East, North Africa and Europe, said the Rome-based UN agency is working to scale up sustainable use of oceans, seas, and water resources to drive economic growth, improve livelihoods, and safeguard marine ecosystems. 'The blue economy is an emerging development approach that recognizes the economic potential of our marine and aquatic resources—when used sustainably,' he said. According to Telahigue, IFAD has implemented more than 100 projects across 35 countries over the past four decades, with total investments exceeding $3.4 billion, of which the Fund contributed $1.5 billion. These projects have reached over 80 million beneficiaries, including fishers, aquaculture farmers, seafood processors, traders, as well as women, youth, Indigenous peoples and persons with disabilities. Currently, over 75 active IFAD-supported projects target fisheries, aquaculture, and livelihoods in coastal zones. The blue economy spans a range of sectors, including sustainable fishing, aquaculture, coastal tourism, marine renewable energy, maritime transport, and waste management. Telahigue said IFAD is focused on helping rural populations reduce poverty, boost food security, improve nutrition, and build resilience to environmental shocks. Since its establishment in 1978, IFAD has provided more than $25 billion in low-interest loans and grants to fund development projects in low- and middle-income countries. Telahigue pointed to a set of challenges hampering IFAD's mission, including limited funding amid rising global crises, the growing impact of climate change on livelihoods, and poor infrastructure in targeted regions. As a founding member of IFAD, the Kingdom has contributed more than $485 million since 1977, reflecting its long-standing commitment to poverty reduction and strengthening food systems in developing countries, said Telahigue. He described the opening of IFAD's liaison office in Riyadh in 2019 as a pivotal step toward deepening partnerships with Gulf Cooperation Council (GCC) countries, facilitating knowledge exchange, and rolling out innovative initiatives. Egypt to Enhance Cooperation with Türkiye in Transport Sector
Egypt hopes to strengthen its partnerships with Türkiye across maritime, land, rail, and air transport to establish efficient trade and navigation corridors linking Asia, Africa, and Europe, thereby facilitating the movement of goods and people. Egyptian Deputy Prime Minister for Industrial Development and Industry and Transport Minister, Kamel el Wazir, affirmed on Saturday that Egyptian-Turkish cooperation can play a pivotal role in advancing development across Africa. 'This can be achieved via joint projects such as port development, the establishment of cross-border railway lines and the launch of new logistics corridors to boost intra-African trade and open new markets for the continent's products,' Wazir said. Speaking at the 2025 Global Connectivity in Transport Forum held in Istanbul, the Minister said, 'Egypt is working to realize a leap in its transportation sector through a national strategy aiming to have smart and sustainable transport, boost infrastructure, and promote regional-international connectivity.' Egypt is considered Türkiye's number one trading partner in Africa. Turkish Ambassador to Egypt Salih Mutlu Sen earlier said the volume of new Turkish investments in the Egyptian market reached $500 million this year. 'There are multiple areas of partnership in the field of maritime transportation between Egypt and Türkiye,' said Professor Mohammed Ali Ibrahim, Director of the School of Transportation and Logistics at the University of Istanbul.
