Vizsla completes royalty acquisition on Panuco silver-gold project in Mexico

Vizsla Royalties, a precious metals-focused royalty company, has acquired the previously announced additional 3% net smelter return (NSR) royalty from Grupo Minero Bacis on the Silverstone Concessions in Sinaloa, Mexico.
The acquisition increases the company's NSR on the Silverstone Concessions to 3.5% from 0.5%, expanding its stake in the flagship Panuco-Copala silver-gold project within the Silverstone Concessions.
The company has exercised its right to repurchase 50% of the 3% royalty for $1.95m and acquired the remaining 50% for $38.05m, a total cash consideration of $40m.
Owned and operated by Vizsla Silver, the Panuco project is recognised as the 'largest undeveloped high-grade primary silver resource' globally.
It is progressing towards production following a 2024 preliminary economic assessment (PEA), with initial silver output anticipated in the second half of 2027.
The funds have been transferred to Vizsla Royalties' subsidiary in Mexico, with the formal completion of the transaction pending the release of funds to the vendor.
Final approval for the transaction from the TSX Venture Exchange is still pending.
Additionally, Vizsla Royalties has announced the closure of a bought deal offering, raising C$63.02m through the issuance of 31.51 million common shares at C$2 each. A portion of the proceeds were used to complete the transaction.
The offering was led by CIBC Capital Markets and included other underwriters.
Rising global demand for silver, coupled with a scarcity of new primary silver assets expected to enter the market up to 2040, underscores the significance of the Panuco project within the industry, the company said.
In January 2025, Vizsla entered into a purchase agreement with Siyata Mobile to acquire a 49% joint venture interest in Siyata Mobile in five claims, part of the Woodjam Project in south-central British Columbia, Canada.

Canadian mineral exploration and development company Vizsla Silver has signed an agreement with Canaccord Genuity to sell 33.34 million common shares at $3 each to raise approximately $100m. Facilitated by Canaccord Genuity as the sole bookrunner, this offering is expected to close around 26 June 2025, pending regulatory approvals. The net proceeds from this offering are earmarked for the advancement of Vizsla Silver's 100%-owned Panuco silver-gold project, in Sinaloa, Mexico, encompassing exploration, drilling, and development activities. The funds will also support working capital and general corporate purposes. The underwriters have been granted an overallotment option, which allows them to purchase up to an additional 15% of the offering within 30 days post-closing to manage overallotments. In the event this option is fully exercised, the gross proceeds could reach approximately $115m. The common shares are being offered in Canada, excluding Quebec, through a prospectus supplement, as part of Vizsla Silver's base shelf prospectus dated 28 April 2025. Vizsla Silver concluded a preliminary economic study for its Panuco project in July 2024, demonstrating significant potential with an estimated annual production of 15.2 million ounces (moz) of silver equivalent over an initial mine life of 10.6 years. The study forecasts a post-tax net present value (NPV) at a 5% discount rate of $1.1bn, an internal rate of return (IRR) of 86%, and a rapid payback period of nine months, based on silver and gold prices of $26/oz and $1,975/oz, respectively. The Company has also amended its omnibus equity incentive compensation plan (the "Omnibus Plan"), that was originally adopted by the Company's board of directors on April 1, 2025, to increase the fixed amount in additional equity that includes performance share units, deferred share units and restricted share units from a maximum issuable of 2,800,589 to a maximum issuable of 5,322,798. The purpose of the Omnibus Plan is to: (i) promote a significant alignment between officers, directors, and employees of the Company and the growth objectives of the Company; (ii) to associate a portion of participating employees' compensation with the performance of the Company over the long term; and (iii) to attract, motivate and retain the critical employees to drive the business success of the Company.
