Tata Capital rights issue pricing raises valuation to ₹1.38 trillion
Tata Sons, the holding company of the Tata group, participated in its financial services arm Tata Capital's rights issue last week at ₹343 per share — a 22 per cent premium to the earlier rights issue price of ₹281 per share in March. This latest investment has raised initial public offering (IPO)-bound Tata Capital's valuation by 31 per cent to ₹1.38 trillion, up from ₹1.05 trillion in March, according to company filings with stock exchanges. Last week, Tata Capital allotted additional equity shares of ₹10 each, aggregating ₹1,752 crore, on rights issue basis, the company said. With the rights issue, the paid-up equity share capital of the company rose from ₹3,983.79 crore to ₹4,034.87 crore, the company said. After this, the valuation of Tata Sons, which holds 93 per cent stake, went up from ₹98,175 crore to ₹1.28 trillion. Tata Capital is planning to come out with an IPO by September to raise up to $2 billion (₹17,259 crore). The IPO pricing for the company will be decided prior to the issue, depending upon the investors' response and market conditions, say bankers. Proceeds from Tata Capital's listing are expected to bolster Tata Sons' war chest as it ramps up investments in emerging sectors such as semiconductor manufacturing, and electronics. In 2023-24 (FY24), Tata Sons' standalone operating income rose 25 per cent to ₹43,767 crore, with nearly 95 per cent coming from TCS (Tata Consultancy Services) dividend, and buyback flows. For FY25, dividend receipts from TCS are expected to fall to ₹32,722 crore from ₹34,053 crore. Meanwhile, Tata Sons — now debt-free and tagged as upper-layer non-banking financial company (NBFC) — has sought to exit the Reserve Bank of India's (RBI's) NBFC-UL framework and has filed for reclassification, people said. The application is pending with the RBI. As of March 2025, Tata Capital reported a consolidated tangible net worth of ₹32,892 crore, up from ₹24,069 crore the previous year, supported by a ₹1,500 crore capital infusion from Tata Sons during FY25. Consolidated gearing improved slightly to 6.04x from 6.16x, Care Ratings said in May this year. As of September 2024, Tata Capital maintained a healthy capital structure, with a tangible net worth of ₹25,480 crore, and gearing of 6.35x. The company's standalone capital adequacy ratio (CAR) stood at 16.91 per cent, well above the regulatory threshold, the rating firm said. It added that Tata Capital's capital structure continues to benefit from the strong backing of the Tata group, which provides both financial flexibility, and a demonstrated track record of capital support. The rating firm said it expects Tata Capital's gearing to remain within the 6.0x-6.5x range over the medium term.

Titan to acquire 67% stake in Dubai-based Damas for $283 million in strategic Gulf expansion
Tata-owned Titan Company Ltd on Monday announced acquisition of 67% stake in Dubai-based luxury jewellery retailer Damas LLC (UAE) for $283.2 million (around Rs 2435.5 crore) in an all-cash deal to expand its presence in the six Gulf Cooperation Council (GCC) countries including the world's fifth largest gold market, United Arab Emirates. The acquisition will be undertaken by Titan's wholly owned subsidiary, Titan Holdings International FZCO, as per its stock exchange filing. Titan said the purpose is to acquire the entire jewellery business including the brand Damas. ET first broke the story on February 18, where it had indicated that the cost of acquisition will be around Rs 2,500 crore. Both the companies were negotiating on the valuation for quite some time. An industry executive said that talks had once failed earlier over valuation as Mannai Corporation had asked for Rs 3,000 crore. Fresh talks began again at the end of 2024. Damas LLC is the holding company for the entire jewellery business of Qatar-based Mannai Corporation QPSC. The company operates 146 stores across the six GCC countries such as UAE, Saudi Arabia, Qatar, Oman, Kuwait and Bahrain with the market size currently valued at $14.11 billion and projected to reach $24.04 billion by 2033. Titan said the deal will be financed through a combination of debt, cash balances and internal accruals. The company will also have the right to acquire the remaining 33% stake in Damas after December 31, 2029, subject to conditions agreed upon. Titan said the proposed acquisition will be completed on or before 31st January, 2026 subject to antitrust and other local approvals. Live Events C.K. Venkataraman, managing director of Titan, said in a press release that with the Damas acquisition, Titan is stepping out from its diaspora focus into other nationalities and ethnicities. He said the company's ambitions for a global jewellery play is moving to the next stage after a presence in the Gulf and USA. 'The acquisition not only creates a significant new global opportunity for Titan, but also enhances Titan's overall position in the jewellery market in the GCC countries and brings in multiple synergy benefits in talent, retail networks and supply chain,' he said. Titan's jewellery chain Tanishq already operates 13 stores in the region with 10 in the UAE, two in Qatar, and one in Oman. Last December, it opened a flagship boutique in Dubai Gold Souk. Other leading Indian jewellery chains currently present include Kalyan Jewellers, Malabar Gold & Diamonds and Joy Alukkas, though they are building their presence organically. While the deal was announced post trading hours, the Titan scrip closed at a gain of 0.92% at Rs 3433.3 a piece on Monday at the BSE when the benchmark Sensex was up 0.54%. As per the proposed transaction, Signature Jewellery Holding Limited will become a holding company after acquiring the fully-paid shares of Damas LLC and all the entities under Damas LLC (UAE) will become step-down subsidiaries of Signature Jewellery. The consolidated turnover of Damas LLC as of December 2024 was AED 1,461 million. The current Graff Monobrand franchisee business of Damas LLC will be discontinued before completion of the transaction. Alekh Grewal, group chief executive officer of Mannai Corp, said Mannai will continue to own a minority stake in Damas for the next four years as the growth plans for Damas are taken forward.

Reliance wants to go solo in its fight with Blinkit, Zepto and others; CFO says: It is difficult to ...
Reliance wants to go alone and is not keen on an acquisition in Quick Commerce space. This means that the company is not planning to go the acquisition route in its fight with the likes of Blinkit, Swiggy Instamart, Tata-owned BigBasket and Zepto. Tired of too many ads? go ad free now According to a report in Economic Times, Reliance Industries said that based on an analysis of the cost structures of some of the players in the Quick Commerce market, acquisition does not make sense. In the past one year, India's Quick Commerce sector emerged as the biggest retail success story. The industry has scaled rapidly into a $10 billion gross merchandise value market with 30 million monthly users. The quick commerce sector accounted for over two-thirds of all e-grocery orders last year. "The dramatic rise of quick commerce (i.e., delivery in less than 30 minutes) has been one of the most defining hallmarks of India's e-retail market over the last two years," according to a report by consultancy firm Bain and e-commerce giant Flipkart. However, so far, metros drive 80% of the total sales. Also, despite large players in ecommerce including JioMart , Flipkart and Amazon; the quick commerce space so far is largely dominated by Zepto, Blinkit and Instamart. Reliance Retail CFO: Planning no acquisition and will only open Dark Stores where it has no stores Reliance Retail said that the company's own stores will be the backbone of its quick service model and dark stores will supplement and help fill the gaps. Initially, Reliance was focusing on the next day delivery, however, the company realized that customers want convenience and more quicker delivery. During post-earnings all, Dinesh Taluja, CFO at Reliance Retail, said, "We do not want to leave any pocket where we are not competitive. Tired of too many ads? go ad free now Organic versus inorganic is an interesting one. It is very difficult to integrate somebody with your existing network. We have been focusing on building our network organically. And we have a big customer base which is already there with us." He further added that the company only sets up dark stores where there is enough order volume, but its stores are not able to support it, or have no presence. "So, economics is much better for me because I am able to leverage existing infrastructure. And most of my dark stores are in places where the order volumes are high and dark stores are a positive contribution margin from day one," he said. During the quarter ended June, Reliance said its daily orders in the quick hyperlocal commerce grew 68% quarter-on-quarter and 175% from a year ago.
