SEBI aims to deepen equity market, flags concerns over derivatives frenzy
ADVERTISEMENT "Very short-term derivatives continue to dominate equity derivative volumes, especially expiry-day index options. This is an imbalance that is obviously unhealthy and may have potential for adverse consequences," said SEBI Whole-Time Member Ananth Narayan.
He was addressing the 11th Capital Markets Conclave organised by the CII.
"I would strongly endorse the view that, towards this end, we must look for ways to further deepen our cash equities markets, even as we look to improve the quality of our derivatives market by extending the tenure and maturity of the products and solutions on offer. We need constructive engagement from all stakeholders to achieve this," he said.Citing the market regulator's own research, Narayan pointed out that 91 per cent of individual traders in futures and options (F&O) incurred net losses in FY25 - collectively losing over Rs 1 lakh crore - funds that could otherwise contribute to responsible investing and capital formation. He highlighted that the Indian derivatives market is unique, with expiry-day index option turnover often exceeding the cash market by as much as 350 times.
ADVERTISEMENT "Unlike longer-term derivatives, these short-term products contribute little to capital formation and may actually add to market volatility," Narayan said.
While acknowledging that exchanges, brokers, and other intermediaries have significant revenue dependence on such trading volumes, the SEBI official questioned the sustainability of this trend.
ADVERTISEMENT "Is all this at all sustainable?" he asked.SEBI has already introduced regulatory measures in October 2024 and May 2025 aimed at curbing excesses in this space, which Narayan said are showing some early signs of moderation. However, he emphasised the need for continuous engagement with stakeholders to ensure that both capital formation and market health are protected.
ADVERTISEMENT "We must look for ways to deepen our cash equities markets while improving the quality of derivatives through longer-tenure products," Narayan said, urging industry collaboration.Responding to a question, he underscored the advantages of listing, particularly in the current environment where valuations are "very, very attractive.
ADVERTISEMENT Going public can unlock substantial value and enable companies to raise capital in a "very meaningful manner," acting as a "force multiplier" for achieving scale and growth.SEBI is working to boost participation and innovation across asset classes by enhancing transparency in corporate bonds, InvITs, REITs, municipal bonds, and expanding commodity derivatives. It has urged all stakeholders to support these efforts.Narayan underscored that preserving trust is the key ingredient for healthy capital markets."Our funds ecosystem has grown significantly with substantial growth in both issuances and investments. Something good is underway around capital formation," he noted. However, he warned that unchecked speculation, governance failures, technology lapses, market manipulation, or flawed market design (Type I errors) could destroy investor trust and "kill the goose that is laying golden eggs.At the same time, he cautioned against over-regulation (Type II errors) that might stifle legitimate business or capital formation."We in SEBI look at both risks very closely and undertake extensive consultations to minimise both together," he assured.Narayan urged exchanges, clearing corporations, and depositories to maintain strong operational resilience and risk management while balancing commercial interests with public trust. He also called upon intermediaries and industry players to act as trusted advisors."When you see something wrong, please say something. And when you seek regulatory relief, please engage with us openly on how risks of potential Type I errors will be mitigated," he said.
Narayan also emphasised that compliance with disclosure and governance standards associated with being a listed entity enhances long-term sustainability, likening transparency to "sunlight" being the "best disinfectant.
He expressed a personal hope to see more micro, small, and medium enterprises (MSMEs) list and grow into large national champions, though he reiterated that the choice ultimately rests with promoters.

According to the official, this project is being sponsored by the Shillong-based North Eastern Council (NEC), a regional planning body, and implemented by the Indian Institute of Entrepreneurship (IIE), Guwahati. The NEC is the nodal agency for the economic and social development of the northeastern region, which consists of the eight states -- Arunachal Pradesh, Assam, Manipur, Meghalaya, Mizoram, Nagaland, Sikkim and Tripura while the IIE is an organisation under the Union Ministry of Skill Development and Entrepreneurship. Nagaland University's Kohima campus has been designated as one of the four incubation centres in the northeastern region, the official said, adding that a total of 44 beneficiaries would be incubated in the first batch of incubatees. The 44 beneficiaries include 16 from Arunachal Pradesh, six from Assam, four from Manipur, with the remaining 18 from Nagaland. On-boarding of the incubates would be done in July 2025. Nagaland University Vice-Chancellor Jagadish K. Patnaik said that the varsity is the only Central university in the state, and has been selected to host one of the four incubation centres in the northeastern region under a prestigious Central government initiative. "This opportunity reaffirms the university's commitment to academic excellence and nation-building through innovation, research, and inclusive development. We expect to collaborate with stakeholders across academia, industry, and government to make this endeavour a resounding success," he added. Additionally, an effort has been made to foster an entrepreneurial mindset and intent among the youthful population of the state through the conduct of numerous awareness camps in various institutions and villages." The selection of the incubates was finalised in Financial Year 2024-25 through the 30 entrepreneurship development cells established under the project. A total of 145 beneficiaries were selected by the experts appointed by the nodal agency across the northeastern region, with 44 beneficiaries assigned to the Nagaland University Incubation Centre.

Supreme Court dismisses Byju's settlement plea
New Delhi: The Supreme Court on Monday dismissed pleas filed by the BCCI and Riju Raveendran — brother of Byju Raveendran — seeking withdrawal of insolvency proceedings against Byju's and to consider the settlement between the beleaguered edtech company and the BCCI. A Bench of Justices JB Pardiwala and R Mahadeven refused to interfere with the April 17 order of the National Company Law Appellate Tribunal (NCLAT) which had ruled that since the settlement proposal was filed after the formation of Committee of Creditors (CoC), it required the approval of the lender's body under the provisions of section 12 A of the Insolvency and Bankruptcy Code. Earlier in February 2025, the National Company Law Tribunal (NCLT) had directed the petitioners to place their settlement offer before the new CoC, in which US-based Glas Trust, the trustee for lenders to which Byju's owes $1.2 billion, is a member. The Corporate Insolvency Resolution Process (CIRP) against Byju's was initiated in July last year by the NCLAT, admitting a Rs 158.90 crore claim from the BCCI as an operational creditor of edtech major. An Interim Resolution Professional (IRP) was also appointed in this matter. Later, a settlement was reached between the parties, and Byju Raveendran approached the NCLAT. The appellate tribunal set aside the insolvency proceedings against Byju's on August 2, 2024, after approving a dues settlement with the BCCI, which had entered into a Team Sponsor Agreement with the cricket body in 2019. This was challenged by Glas Trust before the Supreme Court. A Bench headed by then Chief Justice of India (CJI) DY Chandrachud halted the NCLAT order and directed the BCCI to deposit the amount in question in a separate escrow account till further orders. Meanwhile, Byju's Alpha, a special purpose financing vehicle established by Byju's in the US to receive proceeds of a $1.5 billion Term Loan B, has sued Byju Raveendran, co-founder and his wife Divya Gokulnath for "orchestrating theft of $533 million". Byju's Alpha said that following the $533 million judgment of the United States Bankruptcy Court for the District of Delaware against Riju Ravindran and Byju's ultimate corporate parent in India, the company has now filed a lawsuit against Byju Raveendran, his co-founder and wife Divya Gokulnath, and his consigliere (advisor), Anita Kishore. The lawsuit states that each of them co-orchestrated and executed a lawless scheme to conceal and steal $533 million of loan proceeds (the 'Alpha Funds'), according to a press release. They further stated that "it is clear that Byju, Divya, and Anita deliberately hid the assets of Byju's Alpha and repeatedly were deceptive about the location of the money in order to steal funds rightfully owed to the Lenders".
