
Sebi mulls easing rules for issuers of non-convertible securities
The relaxation from sending physical copies of financials will result in cost savings and prevent paper wastage. Also, this would lead to regulatory consistency and ease of doing business.
In its consultation paper, Sebi suggested that issuers should send a letter providing the quick response code and web link, including the exact path, where complete details of the annual report are available, to holders of non-convertible securities.
The provision of a QR code is proposed to be incorporated to facilitate ease of access for the debenture holders, the regulator said.
Additionally, Sebi proposed specifying timelines for issuers having listed non-convertible securities regarding the requirements of sending a copy of financials to the debenture holders.
'Unlike entities having listed specified securities, there are issuers having listed non-convertible securities, which are not constituted under the Companies Act, 2013, and hence, the timelines specified under the Companies Act, 2013, with respect to sending of copy of financials to the debenture holders are not applicable upon them. Therefore, there is a need to specify timelines within which the issuer is required to comply with the said requirements," Sebi said.
To provide a timeline for the issuer, Sebi proposed that for listed entities, which are companies, the timelines specified under the Companies Act, 2013, should be applicable.
For listed entities, which are constituted under some other Act or statute, the relevant provisions of their parent Act or statute should be applicable. In the absence of any such provision, a timeline of 21 days in line with the provisions of the Companies Act, 2013, should be provided.

'Have Always Been There For Maldives As First Responder': Indian High Commissioner

'The ties are historical; we have been there for Maldives as a first responder. We have had wonderful relations despite the changes in the domestic politics. Our national interests coincide," the High Commissioner said, a day after the two sides held delegation-level meetings and signed a host of agreements, including a new Rs 4,850 crore credit line for Maldives by India. 'It is a pleasure to have PM Modi invited as Guest of Honour at the Independence Day celebrations here. This is the first head of state who is visiting Maldives under the presidency of Mohd Muizzu as a state guest. So, this is very important. This is a significant milestone that both countries have achieved on the 60th anniversary of diplomatic relations between them," Balasubramanian told CNN-News18. He explained how the relationship encompasses political, cultural, trade and economic relations. 'There is a huge connection between both the countries. This visit will I am sure give further fillip to these ties," he said. Amagi Media Labs files IPO papers with Sebi; eyes Rs 1,020-cr via freshissue
New Delhi, Jul 26 (PTI) Amagi Media Labs, which offers cloud-based software as a service (SaaS) solution for broadcast and video content, has filed preliminary papers with Sebi seeking its approval to raise funds through an initial public offering. The proposed IPO of the Bengaluru-headquartered company combines a fresh issue of shares worth Rs 1,020 crore along with an offer for sale (OFS) of 3.41 crore shares by the selling shareholders, according to the draft red herring prospectus (DRHP) filed on Friday. As part of the OFS, investors — PI Opportunities Fund I, PI Opportunities Fund II, Norwest Venture Partners X, Mauritius, Accel India VI (Mauritius) Ltd, Accel Growth VI Holdings (Mauritius) Ltd, Trudy Holdings, AVP I Fund– and certain individual shareholders will be offloading shares. Amagi may consider raising Rs 204 crore through a pre-IPO placement. If such placement is undertaken, the fresh issue will be reduced to the extent of such pre-IPO placement. The company proposes to utilize proceeds from the fresh issue worth Rs 667 crore towards investment in technology and cloud infrastructure, a portion will be used for funding inorganic growth through unidentified acquisitions and general corporate purposes. Founded in 2008, Amagi is backed by leading venture capital firms, including Accel, Avataar Ventures, Norwest Venture Partners, and Premji Invest. The company works with more than 45 per cent of the top 50 listed 'media and entertainment' companies by revenue. Amagi is a SaaS firm that connects media companies to their audiences through cloud-native technology and helps content providers and distributors upload and deliver video over the internet (streaming) through smart televisions, smartphones and applications. Its business is organized across three key divisions – cloud modernization, streaming unification, and monetization and marketplace. Amagi reported revenue from operations of Rs 1,162 crore in FY25, recording a compound annual growth rate of 31 per cent from FY2023 to FY2025. Kotak Mahindra Capital Company, Citigroup Global Markets India, Goldman Sachs (India) Securities Private Limited, IIFL Capital Services, and Avendus Capital have been roped in to manage the company's IPO. The equity shares of the company are proposed to be listed on BSE and NSE.
