OSR Holdings to acquire South Korea's medical device company Woori IO
Under the agreement, WORIO will be acquired by OSRH's Korean affiliate, OSR Holdings Co., Ltd (OSRK).
WORIO will become OSRK's wholly owned subsidiary, with the shareholders of the former receiving new OSRK shares.
These shares may be convertible into OSRH common stock on Nasdaq, subject to a $10 per OSRH share condition and other terms.
WORIO shareholders have the option of converting their OSRK shares into OSRH shares at a fixed ratio.
This conversion is contingent upon OSRH's stock price, hitting a minimum of $10.00 at any point within three years after the term sheet is executed.
Should this price target not be achieved within the specified timeframe, both parties are committed to entering into renegotiations.
A six-month exclusivity period is part of the agreement, during which OSRK will carry out confirmatory legal and financial due diligence. The goal is to conclude the acquisition within this timeframe.
Via its subsidiaries, OSRH is involved in various healthcare sectors, including regenerative biologics, immuno-oncology, and the distribution of medical devices.

WORIO's platform is said to leverage near-infrared spectroscopy (NIRS) for the measurement of glucose levels, eliminating the need for finger pricks from diabetes patients.
The technology has already undergone a proof-of-concept trial with the Korea University Hospital (Guro) to validate its prototype devices.
WORIO is preparing for a larger confirmatory study to seek approval from the Korean Ministry of Food and Drug Safety (MFDS).
The company's technology is also seen as a potential addition to wearable glucose monitoring devices such as smartwatches.

A big cybersecurity deal that fired up investors earlier this week is now official. Palo Alto Networks (PANW) on Wednesday said it would acquire CyberArk (CYBR) in a cash-and-stock deal that values the latter company at about $25 billion. The deal has Palo Alto paying $45 in cash, as well as 2.2005 shares of its stock, for each CyberArk share; that comes out to about a 9% premium to CyberArk's Tuesday's close. (Visible Alpha data puts CyberArk's market value at a bit under $22 billion.) Palo Alto said it expects the deal to close in the second half of its next fiscal year, which starts in August. Gucci owner Kering's Q2 2025 revenue plummets 18%
French luxury group Kering, owner of Gucci and Yves Saint Laurent, has reported a 18% downturn in its revenue for the second quarter (Q2) of 2025 to €3.7bn ($4.27bn), with a comparable basis decrease of 15%. This reported revenue includes a negative impact from currency fluctuations amounting to 3%. The company's directly operated retail network experienced a 16% drop in sales on a comparable basis, consistent with its first-quarter performance for the year. Within regional markets, North America saw a 10% reduction and Asia-Pacific witnessed a 19% decrease in sales, both showing some improvement over the previous quarter. However, Western Europe's sales decreased by 17%, and Japan faced a steeper decline of 29%, largely due to a significant fall-off in tourism. The French luxury house posted net income attributable to the group of €474m in the first half (H1) of the year. During the second quarter of 2025, Gucci experienced a 25% decrease in sales on a comparable basis, with its directly operated retail network sales falling 23%. Yves Saint Laurent also reported a downturn in the same period, with sales dropping 10% on a comparable basis and a 12% decline in its directly operated retail outlets. Conversely, Bottega Veneta saw a slight increase in revenue, with a 1% rise on a comparable basis. Kering's Other Houses showed a 16% decrease in revenue on a comparable basis during the second quarter, with varying results across individual brands.
