StanChart faces RBI scrutiny over lapses in derivatives sales that can cause significant losses
Standard Chartered Plc is facing regulatory scrutiny in India after lapses were spotted in the sale of derivatives and problems identified in the bank's risk controls, according to people familiar with the matter.
ADVERTISEMENT The Reserve Bank of India raised concerns about processes at the London-based lender following sales to small and medium-sized enterprises of target redemption forwards, a product that can cause significant losses, the people said. Buyers of those contracts were not adequately informed about the risks involved, they said, asking not to be identified discussing private information.
The RBI's review of Standard Chartered is ongoing, with focus on derivative products and risk governance, according to the people. There is no indication of any formal enforcement actions at this time, they said.
The banking regulator has also flagged issues relating to Standard Chartered's maintenance of reserves and the accounting treatment of forward rate agreement trades in previous financial years, the people said.'The RBI conducts annual inspection of banks,' a Mumbai-based spokesman for Standard Chartered said in an emailed statement. 'While we don't want to comment on specifics, observations, if any, are highlighted and addressed as part of normal process.'It's part of the RBI's routine examination of all banks in India to ensure compliance and soundness of the financial system. While inspection reports are not made public, it's not too uncommon for the RBI to issue directives or actions on their findings.

Standard Chartered has been operating in India for more than 165 years, making it one of the oldest foreign banks in the country, according to its website. It operates a network of 100 branches across 42 cities with its primary business segments in the country being corporate and investment banking, as well as wealth and retail banking.

Torrent to buy 46.39 pc stake in JB Chemicals for Rs 11,917 crore
In a significant acquisition in the pharmaceutical sector, Torrent Pharmaceuticals Ltd on Sunday entered into definitive agreements to acquire controlling stake of 46.39 per cent stake in J. B. Chemicals and Pharmaceuticals from global investment firm KKR for Rs 11,917 crore at a price of Rs 1,600 per share. Torrent will also make a mandatory open offer to acquire another 26 per cent of JB Pharma shares from public shareholders at an open offer price of Rs 1,639.18 per share. After the open offer, the total cost of acquisition will come to Rs 13,556 crore. The acquisition was made at an equity valuation of Rs 25,689 crore (on fully diluted basis), followed by a merger of the two entities. The transaction marks a significant step in Torrent's ambition to create a future-ready, diversified healthcare platform combining a deep chronic segment heritage with emerging international CDMO (contract development and manufacturing organization) capabilities. As per the approval given by the board of directors of both companies, after the merger of JB Pharma with Torrent, every shareholder holding 100 shares in JB Pharma will receive 51 shares of Torrent. In addition to this, Torrent has also expressed its intent to acquire up to 2.80% of equity shares from certain employees of JB Pharma at the same price per share as KKR. The merger between Torrent and JB Pharma will be through a scheme of arrangement. KKR, a US-based private equity giant, acquired about 54 per cent stake in JB Chemicals and Pharmaceuticals, one of the oldest pharma companies in India, for Rs 3,100 crore in July 2020. It acquired the stake from the founding Mody family at a purchase price of Rs 745 per share and made an open offer for an additional 26 per cent of the company. Samir Mehta, Executive chairman, Torrent, said: 'Torrent's deep India presence and JB Pharma's fast growing India business, combined with the CDMO and international footprint offers immense potential to scale both revenue and profitability. This strategic alignment furthers our goal of strengthening our presence in the Indian pharma market, and build a larger diversified global presence. Moreover, the CDMO platform provides a new long-term avenue of growth for Torrent.' Torrent Pharma, which has a market valuation of Rs 1.13 lakh crore, closed higher by 3.68 per cent at Rs 3344.40 on the BSE on Friday. JB Chemicals, with a market capitalisation of Rs 28,080 crore, reported a revenue of Rs 3,722 crore in FY25. Its shares closed 2.72 per cent higher at Rs 1799.35 on the BSE. Torrent Pharma, with annual revenues of more than Rs 11,500 crore, is the flagship company of the Torrent Group, with group revenues of Rs 45,000 crore. It is amongst the top 5 in the therapeutics segments of cardiovascular (CV), gastro Intestinal (GI), central nervous system (CNS) and cosmo-dermatology. It is a specialty-focused company with 76 per cent of its revenues in India from chronic and sub- chronic therapies. It has presence in 50 plus countries. Torrent has 8 manufacturing facilities, of which 5 are USFDA approved. JB Pharma is one of the fastest growing pharmaceutical companies in India and a leading player in the hypertension segment. Exclusive: Greenko founders buy Orix Corp.' 20% in Greenko Energy for $1.4 billion, announcement on Monday
AM Green B.V., owned by Greenko Group founders Anil Chalamalasetty and Mahesh Kolli, has purchased Japanese financial services firm Orix Corp.'s 20% stake in Greenko Energy Holdings in a $1.4 billion equity deal, two people aware of the development said. The transaction, one of the largest deals in India's green energy sector that values Greenko Energy at $7.5 billion, will be announced on Monday, the people cited above said on the condition of anonymity. Under the terms of the deal, Orix gets $650 million in cash, plus $750 million worth of stock amounting to 10% in AM Green through convertible notes. Chalamalasetty and Kolli will own the remaining 90% stake in AM Green. The deal is part of Orix's capital recycling strategy. Once the transaction is concluded, Chalamalasetty and Kolli will hold 28% stake in Hyderabad-based Greenko Energy, through their personal stakes as well as the stake held by AM Green, while sovereign wealth funds GIC Holdings Pte. Ltd, and Abu Dhabi Investment Authority (ADIA) will hold 58% and 14% respectively. The deal has been in the works for some time, and saw Orix terminating the deal on 25 April for not meeting conditions precedent. AM Green Group president and Greenko Group president and joint managing director Mahesh Kolli declined to comment. 'A private credit debt of $650 million was raised for the deal. The initial plan was to complete the deal by end March; but a lot of conditions precedent were not met, that had led to the announcement of the termination of the deal," said one of the two people cited above. Queries emailed to the spokespersons of Orix, Greenko, GIC, ADIA and AM Green on Friday evening remained unanswered. Analysts say having GIC as a promoter has helped Greenko. 'Greenko's rating benefits from financial support and strategic oversight from 58% owner Singapore sovereign wealth fund GIC, which holds four of 13 board seats. GIC approves investment plans, oversees operations and manages risks," Fitch Ratings wrote in a 16 March report. Mint earlier reported about GIC and Malaysia's Gentari Sdn Bhd investing $1.75 billion in AM Green Ammonia Holdings, a deal that ranked among the world's largest in energy transition. While Gentari will invest $1.5 billion for 30% in AM Green Ammonia Holdings, the founders will hold the balance 70% along with GIC, which will invest $250 million. 'This is an integrated play wherein Greenko takes care of upstream renewable power generation, and midstream storage through pump storage projects; wherein AM Green works on the downstream part involving molecule and materials manufacturing. While for the promoters, the first 15 years was about building a green energy business, the next 10 years is about the green energy transition business," said the first person. Greenko has a 12 giga watt (GW) operational portfolio of wind, solar, hydro, and pumped storage projects; with another 20 GW under construction. It is also eyeing new areas of business including nuclear power, and participated in Nuclear Power Corp. of India Ltd's (NPCIL) process called for setting up small modular reactors for captive consumption. Greenko is also jointly developing India's largest electrolyzer plant of 2 GW annual production capacity with John Cockerill in Kakinada. AM Green, on its part, has been putting the downstream piece together and is setting up production facilities for green molecules; including green hydrogen, green ammonia, biofuels, e-methanol, sustainable aviation fuels, and various downstream high-value chemicals, for decarbonization in hard-to-abate industries. It plans to produce 5 million tonnes per annum (mtpa) of green ammonia, with the first 1 mtpa project in Kakinada expected to be commissioned in 2026. The project, which includes a green hydrogen unit and ammonia conversion plant at a repurposed urea facility acquired earlier this year, will cost about ₹12,500 crore. AM Green has already signed offtake agreements with major buyers including Uniper, Yara, and Keppel. AM Green is also investing in logistics to export its green ammonia abroad. In May, it signed an agreement with the Port of Rotterdam Authority to build a green energy supply chain between India and Northwestern Europe. In January, it partnered with global logistics major DP World to set up advanced logistics and storage infrastructure for green hydrogen and green ammonia exports. It has also partnered the world's second largest miner Rio Tinto through AMG Metals & Minerals to set up the biggest global green energy based aluminium production facility in India at an investment of around $6 billion for a 1 million tonne per annum (mtpa) aluminium smelter and a 2 million tonne alumina production facility in India. India's green energy space has witnessed tremendous interest, given its green energy transition trajectory. India has an installed renewable energy capacity of 226.9 GW; of which solar and wind power account for 110.9 GW and 51.3 GW respectively. India's playbook is to add 50GW of green energy capacity annually to reach 500GW renewable capacity by 2030. Attracted by India's green energy transition trajectory, there are several green energy deals in play including the Philippines' Ayala Corp.'s ACEN and UPC Renewables joint venture (JV) green energy platform— UPC Renewables India—plans to sell a significant stake in its upcoming 1GW projects in India; in a deal potentially valued at an enterprise value of around $600 million, as reported by Mint earlier. However, there have also been some emerging concerns such as solar energy tariffs taking a nose dive, power demand in India's top six industrialized states flattening in April and cooling in May, power transmission evacuation constraints, and states not inking power purchase agreements (PPAs) and power supply agreements (PSAs) for awarded projects due to drop in tariffs in the subsequent bids. Mint earlier reported about renewable power capacity totalling nearly 30GW has failed to find buyers; with a capacity of at least 15GW is yet to find PPAs, while at least 14GW is awaiting PSAs.

Indian Railways to now prepare reservation charts 8 hours before train departure
New Delhi: In a major move to enhance passenger convenience, Indian Railways on Sunday announced that it has decided to prepare the reservation chart 8 hours before the train's departure, instead of the current practice of 4 hours. This change is aimed at reducing the uncertainty faced by passengers, especially those with waitlisted tickets. The decision was taken after Railway Minister Ashwini Vaishnaw reviewed the progress of reforms in the ticket booking system. He stressed that the entire ticketing experience should be smart, transparent, and efficient, keeping passenger convenience at the centre. As per the new plan, for trains that depart before 2 p.m., the reservation chart will be prepared the night before at 9 p.m. This change will be implemented in a phased manner to ensure a smooth transition without any disruption. The move will especially benefit passengers coming from remote areas or the suburbs of big cities, as they will now get more time to check their ticket status and make alternative travel arrangements if needed. Passengers with waitlist tickets will get early updates on their ticket confirmation status, making their travel plans more predictable. Along with this, Indian Railways is also working on upgrading its Passenger Reservation System (PRS), which is expected to be completed by December 2025. The new PRS is being developed by the Centre for Railway Information Systems (CRIS) and will be capable of handling ten times the current load. Once implemented, it will allow booking of over 1.5 lakh tickets per minute and handle more than 40 lakh ticket enquiries per minute. The upgraded PRS will offer a user-friendly and multilingual interface, with new features such as fare calendars, seat preference options, and integrated support for Divyangjan, students, and patients. Additionally, starting from July 1, only authenticated users will be allowed to book Tatkal tickets on the IRCTC website and mobile app. By the end of July, Tatkal bookings will require OTP-based authentication using Aadhaar or any other verified government ID linked to the user's DigiLocker.
