LOS ANGELES--(BUSINESS WIRE)--Kerrigan Advisors, the leading sell-side advisor and thought partner to auto dealers nationwide, represented Los Angeles, California-based US Auto Trust in the sale of its Jaguar Land Rover ('JLR') dealerships in Los Angeles, Newport Beach and San Jose and Land Rover dealership in Pasadena to Sonic Automotive (NYSE: SAH), the 6 th largest automotive retailer in the United States by 2024 new unit sales. The transaction marks the most valuable JLR sale in automotive history and makes Sonic the leading JLR retailer in the US. The sale also represents Kerrigan Advisors' 401 st franchise sold nationally since 2015, cementing the firm's position as the leading sell-side advisor to higher value dealerships.
US Auto Trust's JLR platform represents some of the highest volume JLR franchises ever sold in the US. Land Rover Los Angeles ranked #1 in California and #5 in the US and serves the affluent Beverly Hills market. Jaguar Land Rover Newport Beach is one of the top franchises in California and ranked #2 in the US and Jaguar Land Rover San Jose is the highest volume Jaguar Land Rover dealership in Northern California. The group will retain ownership of its Aston Martin, Cadillac and Lotus dealerships in Southern California after the sale.

Apple's head of AI models, Ruoming Pang, is leaving the company to work at Meta, Bloomberg reported on Monday. This marks the latest high-ranking AI executive Meta CEO Mark Zuckerberg has scooped up to lead his new AI superintelligence unit. Pang previously ran Apple's in-house team that trained the AI foundation models that underpin Apple Intelligence and other on-device AI features, according to the report. Apple's AI models haven't exactly been a huge success — they're far less capable than what OpenAI, Anthropic, and even Meta offer. Sources told Bloomberg that Pang's departure might be the first of many in Apple's troubled AI unit. Nevertheless, Pang could bring expertise in designing small, on-device AI models to Meta, joining an array of talent Zuckerberg has poached in recent months, including leaders from Google DeepMind, OpenAI, and Safe Superintelligence.

Penguin Solutions Completes Redomiciliation to the United States

MILPITAS, Calif., June 30, 2025--(BUSINESS WIRE)--Penguin Solutions, Inc., a Delaware corporation (Nasdaq: PENG) ("Penguin Solutions" or the "Company") today announced the completion of the redomiciliation process to change the parent company of the Penguin Solutions group of companies from a Cayman Islands company to a Delaware corporation. The redomiciliation was accomplished by way of a Cayman Islands Scheme of Arrangement and was approved by an overwhelming majority of Penguin Solutions' shareholders at a Scheme Meeting held on June 16, 2025. The Grand Court of the Cayman Islands sanctioned the Scheme on June 25, 2025, and on the same date, the Scheme of Arrangement became effective in accordance with its terms upon the delivery of the Sanction Order to the Cayman Islands Registrar of Companies. The redomiciliation was completed following the close of trading on June 30, 2025. At completion, all issued ordinary shares and preferred shares of Penguin Solutions, Inc., a Cayman Islands exempted company ("Penguin Solutions Cayman"), were exchanged on a one-for-one basis for newly issued shares of common stock and shares of preferred stock, respectively, of the Company. The former shareholders of Penguin Solutions Cayman are now the stockholders of the Company, which is the parent company of the Penguin Solutions group of companies. The common stock of the Company will begin trading on the Nasdaq Global Select Market on July 1, 2025, with its trading symbol of "PENG" remaining unchanged. The Company does not anticipate any material impact to its employees or its day-to-day business as a result of the completion of the redomiciliation.
