NCLAT stays order against Vedanta's power business demerger

has granted an interim stay on an order of the National Company Law Tribunal (
NCLT
) rejecting demerger of
Vedanta
's power business and its merger with resultant entity Talwandi Sabo Power Ltd (TSPL).
The order came as a relief to
Vedanta Ltd
which is in the process of demerging its businesses into separate entities.
In a filing to BSE, Vedanta said the NCLAT order dated May 27, 2025 granted an interim stay on the order passed by the NCLT's Mumbai bench dated March 4, 2025 "to the extent it relates to the rejection of the scheme", subject to fulfilling the conditions mentioned in the order.
Vedanta said that it remains committed to its strategic reorganisation plan and continues to work towards unlocking long-term value for all stakeholders.
A two-member NCLAT bench said "the issues raised before us need to be considered at length and presently in view of the submissions made the scheme is severable and thus in case the stay is not granted to the impugned order, it may affect the second motion application filed in respect of other three transferor companies pending in different tribunals".
The matter has been listed for the next hearing on August 4.
Earlier, the Mumbai bench of NCLT had dismissed the petition of TSPL on the demerger scheme after objections were raised by SEPCO, a creditor of TSPL.
The NCLT had observed "material facts have not been disclosed by the applicant company, violating Section 230 (2)(a) of the Companies Act, 2013, which in our considered opinion is bound to prejudice the public interest at large".
The NCLT's ruling came after China-based SEPCO Electric Power Construction Corporation objected to the demerger, saying the power unit had deliberately excluded their outstanding debt of ₹1,251 crore from the list of creditors.
SEPCO alleged that TSPL had concealed the information about its liabilities.
"This has been done deliberately to defeat SEPCO's rights," the NCLT had said.
According to a Vedanta spokesperson, the NCLT ruling pertained only to the TSPL application and the power business undertaking and does not impact or alter the progress of the other business undertakings proposed to be demerged.
SEPCO was listed as an unsecured creditor to the extent of ₹1,251 crore, which would constitute more than 75 per cent of the unsecured debt by value, and as a result of the same, the vote by SEPCO itself would have been against the scheme, potentially impacting the interest of TSPL.
The tribunal had said that the non-disclosure of such a significant liability could prejudice the interests of creditors and shareholders, and the valuation of TSPL conducted without factoring in SEPCO's claim was flawed and could impact public interest.
The scheme, filed under Sections 230 to 232 of the Companies Act, 2013, involved the demerger of Vedanta's business verticals into five separate entities-- Vedanta Aluminium Metal, Talwandi Sabo Power, Malco Energy, Vedanta Base Metals and Vedanta Iron and Steel.
It was aimed to create independent, globally competitive companies, each focusing on its core business and attracting specialised investors and stakeholders.
The boards of the respective companies had approved the scheme between September and October 2023.
Anil Agarwal-led Vedanta Ltd is expecting to complete the demerger of its businesses by September-end this year. PTI

Kolkata: Gold loans appear to have emerged as the best bet for microfinance companies planning to increase the share of secured portfolio , although the regulator has tightened rules for lenders to the yellow metal. Companies like Arohan Financial Services and Uttrayan Financial Services are among the notable ones which have taken definite steps to explore this market segment. New gold loan norms, to be implemented from April 2026, have been made borrower-friendly, however. Loans against property (LAP) is the other preferred assets class for non-banking finance companies-microfinance institutions ( NBFC-MFI ), which are exploring opportunities outside the realm of microfinance to reduce the concentration risk taking advantage of a recent RBI directive allowing them to reduce the qualifying asset to 60% from 75% earlier. In other words, this new rule means NBFC-MFIs can have a 40% non-microfinance portfolio. Microfinance is unsecured, collateral-free loans offered to low-income households with annual income of less than ₹3 lakh. "We will explore secured assets like gold loans, micro LAP amongst others. This will help secure a better credit rating , portfolio diversity and better security and profitability," Arohan managing director Manoj Kumar Nambiar told ET. Uttrayan , on the other hand, on Wednesday unveiled its first dedicated gold loan branch near Kolkata. Arohan has prepared a concept note on foraying into the gold loan business which will be put up in the next board meeting. "The RBI guideline change on qualifying assets ratio to 60/40 is a welcome change as it helps board will discuss the proposal," said Nambiar, who is the chairman of industry body Microfinance Institutions Network. "People are primarily planning to venture into the gold loan business," said Alok Biswas, managing director at Kolkata-based Janakalyan Financial Services. Gold loans carry minimum risk as these are backed by gold ornaments. However, setting up a gold loan business needs a special eco-system for valuing the gold ornaments to be pledged and also to store them securely. Washington DC [US], July 1 (ANI): External Affairs Minister S Jaishankar on Tuesday emphasised the need to stabilise India's relationship with China by creating a balanced 'equilibrium' that is fair to New Delhi's interests. During a fireside chat with Newsweek, Jaishankar outlined India's strategic approach to navigating its position in the Indo-Pacific amid growing tensions between the US and China. He acknowledged the competitive edge in the US-China relationship and its implications for India, noting that both nations have strategic views and tactical approaches toward each other, and India assesses how its interests can be advanced in this landscape. The EAM noted that the relationship between the US and China has acquired a sharper competitive edge, and India is assessing how to advance its interests in this landscape. 'There are certain realities of the landscape. One of them is that the relationship between the US and China is not what it used to be. That is, it has acquired a much sharper competitive edge... There'll be an element of tactics to it. There's a larger strategic view that they have of each other that we would look, quite honestly, to see in what way our interests are furthered in this landscape,' he stated. Jaishankar highlighted the need to create an equilibrium in the India-China relationship that is fair to India, while also working on convergences with the United States to maximise benefits. 'In many ways we have very strong convergences with the United States. At the same time, we are China's largest neighbour... We want stable relations with China. They're a very large trade partner as well, a very imbalanced trade, but still a very large trade account. For how to steady the China relationship, create an equilibrium that is fair to us. At the same time, how do you work the convergences with the United States and get the most out of it that's frankly the way we would approach it,' Jaishankar added. The India-China relationship is expected to have reached normalcy after both countries had reached an agreement in October last year on patrolling arrangements in the Depsang Plains and Demchok, two friction points along the Line of Actual Control (LAC). The understanding was reached after earlier disengagement in other friction points in eastern Ladakh following meetings at diplomatic and military levels. Turning to India's role in the Indo-Pacific, Jaishankar elaborated the significance of the QUAD alliance, a strategic partnership comprising India, the US, Japan, and Australia, in fostering stability and prosperity in the Indo-Pacific region--noting that the first international meeting of the Trump 2.0 administration was a Quad meeting, underscoring its importance. Jaishankar outlined the Quad's objectives, declaring the Quad as an equal partnership among four nations positioned at the 'four corners of the Indo-Pacific', working collaboratively to foster stability and prosperity in region and that the grouping had worked on several issues unrelated to the group's primary concern over China's dominance in the region. 'The quad is a very interesting mechanism, partly because it was an international commitment which resurfaced during President Trump's first administration... It was a new commitment made by the United States under President Trump. There's been a lot of progress since 2017 when it was restarted and again, it was interesting that the first international meeting of the Trump 2.0 administration started with a quad meeting,' the EAM noted. He outlined the QUAD's objectives, including maritime safety and security, connectivity, technology, pandemic preparedness, and education, with a focus on creating a stable and prosperous Indo-Pacific region. 'There are a lot of issues that we need to discuss in the Indo-Pacific. Issues about maritime safety and security, issues about connectivity, issues of technology, issues of pandemic preparedness, and issues of education. You have four countries in a way - four corners of the Indo-Pacific - who have decided that they have a shared interest in creating a stable more prosperous Indo Pacific and are willing to work on a very practical basis. It's a kind of equal arrangement where everybody pays their fair share as you go along,' he added. The Quad is a diplomatic partnership among Australia, India, Japan, and the US, committed to supporting an open, stable, and prosperous Indo-Pacific region that is inclusive and resilient. The Quad's origins date back to the collaboration in response to the December 2004 Indian Ocean tsunami. (ANI)
