Oasis Harvest to buy Chef Wan-branded restaurant, cafe chains for RM30.8 mil

KUALA LUMPUR: Oasis Harvest Corporation Bhd, a Bursa Malaysia-listed food and beverage (F&B) player, has proposed to acquire the entire equity interest in Metta Food & Lifestyle Sdn Bhd (Metta) for RM30.8 million.
Metta is the operator of banquet-themed restaurants and cafes under the brands De.Wan 1958 by Chef Wan and Cafe Chef Wan.
In a statement today, Oasis Harvest executive director Ch'ng Eu Vern said the acquisition includes a profit guarantee from the vendors, ensuring Metta achieves a cumulative audited profit after tax of at least RM5.6 million over two years ending June 30, 2026.
This reflectes strong confidence in the long-term growth and profitability of the enlarged group, he said.
"This acquisition perfectly aligns with our strategic vision to diversify and strengthen our offerings in the F&B, travel, leisure, and hospitality sectors. Chef Wan's prominent brands will significantly complement and expand our existing portfolio," he added.
According to Ch'ng, the strategic acquisition will enable Oasis Harvest to broaden its culinary offerings, benefiting from Metta's market recognition, operational expertise, and the prestigious reputation of international celebrity chef Datuk Redzuawan Ismail, famously known as Chef Wan.
Post-acquisition, Oasis Harvest intends to streamline Metta's operations with existing brands such as Uncle Don's and Verona Trattoria.
In a filing with Bursa Malaysia yesterday, Oasis Harvest said the purchase will be financed partly by reallocating existing proceeds from a proposed property disposal (RM6 million) and supplemented by bank borrowings (RM24.8 million).
The proposed acquisition is deemed as a related party transaction as Datuk Seri Tan Ooi Han, who is Oasis Harvest executive director and major shareholder, is also a vendor as well as a director and shareholder of Metta.
SCS Global Advisory (M) Sdn Bhd has been appointed as the independent adviser to advise the non-interested directors and non-interested shareholders of the company in relation to the proposed acquisition.

KUALA LUMPUR: Nasdaq-listed Grab's plan to buy Indonesia's GoTo to create a dominant Southeast Asian ride hailing and food delivery company is back on. Sources said this follows Grab's announcement of a US$1.25 billion issuance of convertible bonds. "Grab is gearing up for something big. The bond issuance is a signal that the company is preparing for a major expansion," one source said. "Indonesia is the natural next frontier - huge consumer base and a mobile-first population." Reuters reported in May that Grab was looking to strike a deal to buy GoTo in the second quarter of 2025 and had hired advisers to work on the proposed acquisition. A deal could value GoTo at around US$7 billion. Last month, Grab said it stood by its previous statement that it was not involved in any discussions for a potential transaction with GoTo and had not entered into any definitive agreements. The sources said the timing could not be better. "GoTo is facing its own problems because the Indonesian Attorney General's Office is investigating a corruption probe connected to the Ministry of Education's procurement of Chromebooks. "GoTo itself is not implicated but the investigations may weaken the resolve of the Indonesian champion. "In short, the stars are aligning - Grab has the capital, the momentum and now, a window of opportunity, to make its move in Indonesia," the source added. GoTo is 73.9 per cent-owned by foreign investors, including SoftBank Group and Taobao China Holding, a unit of China's Alibaba Group, with the rest owned by Indonesian investors, Reuters said, quoting its 2024 annual report. SoftBank's SVF GT Subco (Singapore) Pte Ltd and Taobao are GoTo's top two shareholders, holding 7.65 per cent and 7.43 per cent stakes respectively, the report showed.

PETALING JAYA: UUE Holdings Bhd earnings for the first quarter ended May 31, 2025 fell to RM1.69mil from RM5.56mil recorded in the same period a year earlier due to weaker topline. In a filing with Bursa Malaysia, the company noted revenue for the quarter fell to RM32.4mil from RM38.96mil in the previous corresponding period due to weaker contributions from its core business segments, namely underground utilities engineering solutions and the manufacturing and trading of high-density polyethylene (HDPE) pipes. Revenue from the underground utilities engineering segment declined to RM28.11mil from RM33.59mil, while the HDPE manufacturing and trading division posted RM4.3mil in revenue, compared with RM5.4mil a year ago. 'The lower revenue was primarily attributable to the slowdown of Singapore projects during the current quarter due to transition to new projects,' the group said. However, UUE noted that new projects in Singapore had commenced and are expected to contribute to revenue in the coming quarters. Looking ahead, UUE remains cautiously optimistic about its performance amid concerns over external factors including the United States' recent tariff hikes on goods from the rest of the world. 'Despite a weaker performance in the current quarter compared to the corresponding quarter, the group expects to maintain resilient performance for the rest of the financial year,' it said. UUE added it would continue to adopt prudent operational and financial strategies to ensure long-term resilience while remaining vigilant to potential market challenges. Basic earnings per share for the quarter amounted to 0.3 sen. No dividend was declared for the quarter.

BURSA Malaysia closed in the red on Friday after two consecutive sessions of gains as investors adopted a wait-and-see stance amid ongoing negotiations between Malaysia and the United States to secure a 20 per cent tariff rate. At 5 pm, the FBM KLCI shaved 6.56 points, or 0.43 per cent, to close at 1,533.76, compared to yesterday's close of 1,540.32. The benchmark index opened 1.66 points lower at 1,538.66 and moved between 1,525.98 and 1,539.82 throughout the trading session. In the broader market, losers led gainers 601 to 356, while 479 counters were unchanged and 1,090 untraded, with 44 suspended. Turnover slipped further to 2.86 bil worth RM2.16 bil from 2.97 bil shares worth RM2.3 bil on Thursday. —July 25, 2025
