MakeMyTrip to raise up to $3 billion to buy back Trip.com's stake in company

Online travel agency MakeMyTrip has said that it plans to raise up to $3 billion to repurchase shares from one of its key stakeholders, China-based Trip.com, according to a filing with the New York's Nasdaq stock exchange.
The funds will be raised through a combination of equity and convertible senior notes, the company said.
'We are offering 14,000,000 ordinary shares, par value $0.0005 per share in this offering. Our ordinary shares are listed on the Nasdaq Global Market under the symbol 'MMYT.' We will receive all of the net proceeds from this offering,' the 16 June filing stated.
The issue of 14 million shares could also be increased to 16.1 million shares, the company added.
The shares were trading at $92-100 apiece over the past two trading days before publishing, which could bring in over $1.2-1.6 billion in proceeds. 'Concurrently with this offering, we are offering, US $1.25 billion aggregate principal amount of convertible senior notes, plus up to US $187.5 million aggregate principal amount of our convertible senior notes…'
MakeMyTrip did not respond to a request for comment.
The company will use all proceeds from the equity and notes offering to repurchase Class B shares from Trip.com, with the goal of reducing the Chinese company's voting power from 45.34% to 19.99%.
'On June 16, 2025, we entered into a share repurchase agreement with Trip.com pursuant to which Trip.com has agreed to sell, and we have agreed to purchase, a portion of the Class B Shares at a price per share equal to the Repurchase Price. Although we and Trip.com intend to reduce Trip.com's total voting power in our company to 19.99% following our purchase of Class B Shares from Trip.com pursuant to the terms of the share repurchase agreement, there is no assurance that Trip.com's voting power will be reduced in such manner,' the company said.
MakeMyTrip (MMT) is an online travel company that was founded in 2000 by Deep Kalra. It provides various travel-related services such as flight bookings, hotel reservations, holiday packages, and more, with the goal of simplifying travel planning for consumers.

Bengaluru: Shruti Pai, founder and director of Sagework Design, has bought a luxury duplex for ₹ 64 crore in a boutique condominium complex in Bengaluru in one of the most expensive residential deals in the city. The 12,800 square foot apartment is spread across two floors in a project named Savyasachi Sarayu in the Jayamahal Extension area. The property was sold at ₹ 64,457 per sq. ft on the carpet area, as per documents accessed by real estate platform Zapkey. The sale deed was signed in June. Before Sagework, Shruti Pai was creative director at Manipal Education & Health Group. She is married to Dr. Ranjan Pai, chairman of the Manipal Education and Medical Group. Mumbai, India's most valuable property market, and Gurugram have topped the charts for a record number of luxury deals so far, including many ₹ 100 crore transactions. However, Bengaluru, which has always been a more affordable city for housing, is catching up. 'This deal reflects a growing trend in Bengaluru's high-value property market. Previously, the ₹ 50 crore-plus segment was dominated by bungalows, but we are now observing a clear rise in luxury apartment transactions at this level. This segment will likely expand as more developers cater to the demand for premium, amenity-rich gated living,' said Sandeep Reddy, co-founder of Zapkey. The sale of homes in the ₹ 40-60 crore category in Bengaluru has picked up in recent months, driven by non-resident Indians, family offices and wealthy locals looking for modern homes. Last year, Bengaluru-based Quess Corp chairman and managing director Ajit Isaac bought a 10,000 sq. ft property worth ₹ 67.5 crore in the prime Koramangala area, making it the most expensive residential transaction in the city. For the first time, Bengaluru's ₹ 10 crore and above luxury market crossed the ₹ 1,000 crore mark in annual sales in 2024-25, marking a new benchmark for the city's premium housing sector, according to an April report by India Sotheby's International Realty and CRE Matrix. The report highlighted strong interest in apartment sizes from 5,000 to 7,000 sq. ft, reflecting the growing appetite for spacious, high-end living.

India's smartphone market saw a healthy recovery in the second quarter of 2025, with total shipments reaching 39 million units, which is a 7 per cent year-on-year (YoY) increase. The rebound follows a quiet first quarter and was largely driven by a slew of new launches and improved channel activity. According to a report by Canalys (now part of Omdia), while Chinese brands continued to dominate the top five spots, Apple stood out with over half its shipments driven by the iPhone 16 series, despite finishing sixth led the market during the quarter, shipping 8.1 million units and securing a 21 per cent share. The company's success was supported by strong offline campaigns and deeper distribution, especially in Tier 1 and Tier 2 cities. 'Vivo's new launches were widely embraced by channels, driven by strong partnerships,' said Sanyam Chaurasia, Principal Analyst at Canalys. The company's V50 series performed well in larger cities, while the Y-series remained a popular pick in smaller followed in second place with 6.2 million units shipped and a market share of 16 per cent. Oppo and Xiaomi tied at 13 per cent market share each, with 5 million units sold. However, compared to the previous quarter, Oppo's shipments have grown by 24 per cent, while Xiaomi's have plummeted by 25 per cent. Finally, realme came in at the fifth spot, with 3.6 million smartphones shipped and a market share of 9 per cent. Apple's sixth-place finish may not seem impressive at first glance, but there was clear interest in its current-generation models. The iPhone 16 series made up more than 55 per cent of Apple's total shipments in the quarter. However, the iPhone 16e — the most affordable version in the lineup — did not perform as well. 'The iPhone 16e lost momentum post-launch, as consumers questioned the value of its single-camera design and largely unrealised Apple Intelligence features,' Chaurasia brands have also contributed to the mid-range and premium smartphone space in India. Motorola, which ranked seventh, focused on expanding its reach in smaller cities. Infinix gained popularity among young buyers, especially with its design-forward marketing and gaming campaigns. Nothing continued its growth story, with a 229 per cent YoY jump driven by models like the Phone 3a Pro and CMF Phone 2 forward, the Indian smartphone market will likely depend more on channel activity than new product launches in the second half of 2025. Chaurasia noted that 'brands are actively locking inventory with distributors and retailers through channel incentive programs ahead of the upcoming festive season.' Canalys expects these efforts to boost short-term sales, but projects a modest overall decline for the full year due to structural demand challenges.- Ends

One97 Communications (OCL), the company which operates the Paytm brand, reported a turnaround with a consolidated profit of Rs 122.5 crore in the April-June quarter of financial year 2026 (Q1FY26), from a net loss of Rs 838.9 crore recorded in Q1FY25. Paytm had posted a net loss of Rs 539.8 crore in Q4FY25. While it was in Q2FY25 when Paytm had reported a profit, it was due to the sale of its ticketing business to Zomato. Q1FY26 marks the first-ever PAT-positive quarter for the company, driven by operational profit. The Noida-based fintech firm's revenue from operations grew 27.7 per cent to Rs 1,917.5 crore in Q1FY26, from Rs 1,501.6 crore in Q1FY25. Sequentially, revenue from operations remained stagnant compared to Rs 1,911.5 crore in Q4FY25. Paytm has been cutting down on its expenses in recent quarters, which has helped it turn profitable in Q1FY26. The company reported total expenses of Rs 2,016.1 crore in Q1FY26, an 18.6 per cent reduction from Rs 2,476.4 crore in Q1FY25. Total expenses were down 6.4 per cent from Rs 2,154.9 crore in Q4FY25. The company has slashed its marketing and promotional costs from Rs 221.4 crore in Q1FY25 to Rs 99.8 crore in Q1FY26, a 54.9 per cent cut on a year-on-year (YoY) basis. Sequentially, these costs were down 30 per cent from Rs 142.7 crore in Q4FY25. Segmental Revenue from Operations Paytm's revenue from payment services grew 18 per cent to Rs 1,044 crore in Q1FY26, from Rs 884 crore in Q1FY25, though it was slightly lower than Rs 1,046 crore in Q4FY25. The number of registered merchants with Paytm grew 11 per cent on a YoY basis to 45 million in Q1FY26 from 41 million in Q1FY25. Sequentially, this count grew 3 per cent from 44 million in Q4FY25. The company reported an all-time high of 13 million merchant subscriptions, including payment acceptance devices, in Q1FY26. This number has grown from 10.9 million in Q1FY25 and 12.4 million in Q4FY25. Revenue from the distribution of financial services doubled to Rs 561 crore in Q1FY26 from Rs 280 crore in Q1FY25. This marginally grew by 3 per cent from Rs 545 crore in Q4FY25. The company said a majority of its merchant loans were disbursed under a non-DLG (default loss guarantee) model, with more than 50 per cent of loans disbursed to repeat customers. A DLG model is a contractual arrangement between a fintech and a lender where the former guarantees to compensate the lender for losses arising from defaults by borrowers. A non-DLG model excludes such arrangements. However, the company expects slower sequential growth in revenue from the distribution of financial services compared to disbursement growth. It also expects a higher share of non-DLG disbursements in the future, which 'reduces upfront DLG costs and also lifetime revenue by the corresponding amount'. The company's cash balance at the end of Q1FY26 stood at Rs 12,872 crore, compared to Rs 8,108 crore at the end of Q1FY25 and Rs 12,809 crore at the end of March 2025. The increase in the cash balance can be attributed to the company's sale of its entertainment ticketing business in August 2024 to Zomato for Rs 2,048 crore and its sale of stock acquisition rights in Japan-based PayPay in December 2024 for Rs 2,364 crore. Employee Costs Paytm's indirect expenses stood at Rs 1,079 crore in Q1FY26, down 30 per cent from Rs 1,548 crore in Q1FY25. Sales employee costs grew 19 per cent to Rs 266 crore in Q1FY26 from Rs 224 crore in Q1FY25. The company said it is expanding into Tier II and III regions to increase monetisation. However, its non-sales employee costs declined 28 per cent to Rs 346 crore in Q1FY26 from Rs 482 crore in Q1FY25. The decline comes on the back of the firm utilising artificial intelligence (AI) to improve productivity. The Paytm stock hit a 42 month high and closed 3.37 per cent higher at Rs 1,052.60 on the BSE on Tuesday, ahead of the Q1 results that were announced post market hours. The stock, however, is still well below its November 2021 IPO price of Rs 2,150 per share
