
PTA Global Holding seeks additional 12.5% stake in Lotte Chemical via public offer
LOTCHEM disclosed the development in its notice to the Pakistan Stock Exchange (PSX) on Friday.
'This is a public offer by PTA Global Holding Limited with Liberty Daharki Power Limited and Daewoo Pakistan Express Bus Service Limited acting in concert (PAC) to acquire up to 189,173,552 ordinary shares of Lotte Chemical Pakistan Limited comprising 12.49% of the issued ordinary share capital of target company at an offer price of Rs22.37 per ordinary share pursuant to the Securities Act, 2015 and the Listed Companies Regulations, 2017,' read the notice.
PTA Global Holding replaces AsiaPak, Montage as acquirer of Lotte Chemical Pakistan
The move follows the earlier acquisition of a 75.01% majority stake in the company by AsiaPak Investments Limited and Montage Oil DMCC through a share purchase agreement (SPA), subsequently assigned to PTA Global Holding Limited.
Back in February, AsiaPak Investments Limited and Montage Oil DMCC, together, entered into an SPA with the sponsors of LOTTE Chemical Pakistan Limited for the purchase of 1,135,860,105 ordinary shares of LOTTE Chemical at a price of Rs16.78 per ordinary share.
Following this, the Competition Commission of Pakistan (CCP) in May approved the acquisition.
AsiaPak Investments Limited is a private investment company incorporated in the British Virgin Islands, with investments in infrastructure, energy, logistics, and technology. Montage Oil DMCC, based in the UAE, is engaged in the global trade of oil and petrochemicals.

AKD Group Holdings acquires key stake in Pearl Continental Hotels chain
AKD Group Holdings (Private) Limited, formerly known as Aqeel Karim Dhedhi Securities (Private) Limited, has acquired a significant 27.95% stake in Pakistan Services Limited (PSL), the operator of Pearl Continental Hotels, for Rs6.36 billion. PSL disclosed the development in its notice to the Pakistan Stock Exchange (PSX) on Thursday. 'The company has received a letter dated July 15, 2025 from AKD Group Holding (Private) Limited, formerly Aqeel Karim Dhedhi Securities (Private) Limited, wherein they have made disclosure in term of Section 110 of the Securities Act, 2015 read with regulation 4 (2) of the Listed Companies (Substantial Acquisition of Voting Shares and Takeovers) Regulations, 2017 with respect to the acquisition of 27.95% voting shares of the company,' read the notice. As per the notice, AKD Group Holdings (Private) Limited, along with its subsidiary AKD Securities Limited, acquired on July 14, 2025, 9,089,651 voting shares of Pakistan Services Company at a rate of Rs700/- per share, which amounts to over Rs6.36 billion. On account of this acquisition, AKD Group Holdings' total shareholding in Pakistan Services Limited is 9,089,651 shares, which represents 27.95% of the total issued voting shares of the company, it said. Pakistan Services Limited is principally engaged in the hotel business and owns and manages the chain of Pearl Continental Hotels. As per the company's information available on PSX, PSL also owns a small-sized property in Lahore, operating under the budget hotel concept. PSL also grants a franchise to use its trade mark and name 'Pearl Continental'.

Fazal Cloth Mills denies knowledge of price trigger as stock soars 132% in 30 days
Fazal Cloth Mills Limited (FZCM) said that it was not aware of any matter contributing to the unusual movement in the share price of the company during the recent period. The mills dismissed the reports in a notice to the Pakistan Stock Exchange (PSX) today. 'The letter requires the company to furnish the reasons and/or any material information in the Company's knowledge which may have resulted in substantial increase in price of FZCM during the preceding period,' it wrote in its notice. In the last 30 days, the share price of Fazal Cloth Mills has risen from Rs169 to Rs391.99, a significant increase of 132%. The company, in its notice on Tuesday, said that there was no material information which has not previously been disclosed to the market in this regard. 'We assure you that the Company is fully cognizant of all applicable legal requirements with regard to dissemination of material information and if there will be any material information the same will be disseminated in accordance with the applicable requirements of the Securities Act, 2015 and Rule Book of Pakistan Stock Exchange Limited.' The mill was set up under the Companies Act, 1913 (now, Companies Act, 2018) in 1966 as a public limited company. It manufactures and sells yarn and fabric. Currently, it has seven spinning units with all of which have a captive gas-fired power generation with a capacity of 38.72 MW.
