While Priya's elevation to the top job at HUL made headlines across India, it also cast a sharp light on Kerala's own corporate boardrooms, where women at helm remain glaringly absent.

HUL Q1 Results: Hindustan Unilever Ltd (HUL) on Thursday reported a 6 per cent year-on-year rise in its consolidated net profit to Rs 2,768 crore for the first quarter ended June 30, 2025. Its revenue in April-June 2025 increased 5 per cent to Rs 16,323 crore, HUL's underlying volume growth (UVG) stood at 4 per cent and underlying sales growth (USG) at 5 per cent, according to a regulatory filing. After the announcement, shares of Hindustan Unilever Ltd (HUL) on Thursday jumped 3.9% to trade at Rs 2,533 on the NSE at 11.03 am. HUL's EBITDA (earnings before interest, tax, depreciation, and amortisation) in Q1 FY26 stood at Rs 3,718 crore, marginally down from Rs 3,744 crore in the year-ago period. Its EBITDA margin fell 130 basis points to 22.8 per cent, in line with the company's guidance, as HUL continued to step up business investments. Its profit after tax before exceptional items, however, fell 5 per cent year-on-year to Rs 2,526 crore. HUL Q1 Results: Segment-Wise Performance The Home Care segment posted a 4% USG, led by high-single digit volume growth despite facing pricing pressures. Within the category, Fabric Wash saw mid-single digit volume growth, driven by strong performance from Surf Excel, while Household Care continued its strong momentum in liquid detergents, delivering double-digit volume growth. Beauty & Wellbeing recorded a 7% USG and low-single digit UVG. Hair Care registered mid-single digit growth, while Skin Care and Colour Cosmetics saw low-single digit growth. The Personal Care division grew 6%, supported by calibrated pricing actions in response to inflation in input costs. Growth in Skin Cleansing was driven by premium soap bars and bodywash, while Oral Care delivered mid-single digit growth, with Closeup playing a key role. The Foods business reported 5% USG and mid-single digit volume growth. Tea and coffee posted double-digit growth, while Ice Cream volumes rose by high-single digits, despite adverse weather conditions. Packaged Foods and Lifestyle Nutrition continued to consolidate their market positions. Commenting on the results, HUL CEO and MD Rohit Jawa said: 'FMCG demand has continued to remain stable, with a gradual uptick in recency. Encouraged by favourable macro-economic indicators, we strategically stepped up our investments to effectively advance our portfolio transformation agenda. This has resulted in competitive, broad-based growth with a USG of 5 percent, driven by UVG of 4 percent." She changed her handle from "Priya Sachdev Kapur" to "Priya Sunjay Kapur," signaling her alignment with her late husband's legacy. Her updated bio read: 'Mother. Entrepreneur. Investor. Non‑Executive Director, Sona Comstar. Director, Aureus Investment. Carrying forward the vision of @sunjaykapur.' Shortly after making these changes, Priya deleted her Instagram account entirely, sparking speculation and highlighting growing concerns over privacy and control within the ongoing succession dispute. There are also unconfirmed reports that Priya's daughter from her previous marriage, Safira, may have dropped the surname "Chatwal" in favor of "Kapur." Observers believe this move could be linked to inheritance positioning and legal identity in the context of the family feud. Sunjay Kapur, the industrialist and former chairman of Sona Comstar, died suddenly on June 12, 2025, during a polo match in Windsor, UK. Reports suggest he suffered an anaphylactic shock—possibly caused by swallowing a bee—which led to a cardiac arrest. He was 53. His unexpected passing triggered a fierce ₹30,000 crore estate battle between his wife, Priya, and his mother, Rani Kapur, over control of the Sona Group and Sona Comstar. Boardroom rift and legal battle At Sona Comstar's Annual General Meeting on July 25, Priya was formally appointed as a non-executive director, securing 99.44% shareholder approval. However, Rani Kapur strongly opposed the move, alleging she was coerced into signing documents shortly after her son's death. She claims to be the rightful majority shareholder, citing a will dated June 30, 2015. Rani has also raised concerns over the circumstances surrounding Sunjay's death, calling it 'suspicious and unexplained.' She sought to postpone the AGM, but her request was denied, as she has not been a shareholder since 2019. The company now finds itself in the midst of a power struggle marked by legal uncertainty, governance disputes, and intense public scrutiny. The controversy has also sparked wider conversations about inheritance rights, particularly concerning biological versus step or adopted children. Sona shareholders give overwhelming thumbs up to Sanjay Kaupur's wife as director amid family feud

Rani Kapur , mother of the late Sanjay Kapur , asked Sona BLW Precision last week to postpone its scheduled Annual General Meeting on July 25, alleging several irregularities in the way the Kapur family's interests were being represented in the business after her son's sudden demise last month. Kapur was the Chairman of Sona and he passed away after an alleged bee attack while playing polo. But Sona did not heed Rani's request, the AGM went ahead as scheduled and among other decisions, the company's shareholders overwhelmingly supported the appointment of Sanjay's wife Priya Sachdev Kapur as a non-executive director. Priya's appointment is for five years. It is interesting to see that amid all the whispers of a family feud and innuendos about Priya's nomination - which is believed to be one of the reasons behind Rani Kapur's request to postpone the AGM though the matriarch has not said this publicly - an overwhelming 99.4 per cent of the shareholders who were present and voting cast their votes in Priya's favour. Also Read: Sunjay's mom challenges wife's posting as Sona Comstar director In fact, of the four director-level appointments for which voting was conducted on the AGM day, only the reappointment of MD and CEO Vivek Vikram Singh as a director received slightly higher vote share, making it clear that at least as far as shareholders were concerned, the appointment of Priya was given a thumbs up. At the AGM, the appointment of Jeffery Mark Overly as chairman was also approved; Overly succeeded Sanjay. Sona was promoted by Rani's husband, the late Surinder Kapur. As of March 31 this year, however, the promoter shareholding of 28.02 per cent in Sona was held by Aureus Investment Private Limited, a company in which Priya is a director while Rani may not hold any stake at all in Aureus. As per Sona's annual report for 2024-25, Rani Kapur held just 72 shares in it as on March 31, 2005. And in a regulatory filing, Sona has said that in May 2019, it received a declaration of significant beneficial ownership 'identifying Shri Sunjay Kapur as the sole beneficial owner of RK Family Trust, a significant shareholder of AIPL (Aureus). As per company records, Mrs. Rani Kapur has not been a shareholder of the company since at least 2019'. Meanwhile, the annual report also sheds some more light on the process of appointment of Priya as a non-executive director. First of all, her appointment is dated June 23 and is, thus, not a recent development. Also Read: Sona Comstar rejects Rani Kapur's call to defer AGM, cites compliance, governance norms Second, her appointment was done after the recommendation of the Nomination and Remuneration Committee of the board of directors and upon receipt of her nomination from one of the members in writing. Third, the appointment was subject to approval by the shareholders, which is now in place. Fourth, Priya is showcased as a highly talented individual with a diverse set of skills and vast business experience. A double masters in Mathematics and Business Management, Priya is a former investment banker and 'luxury retail pioneer'. She began her professional life with Credit Suisse First Boston in London and as per the Sona annual report, Priya has led ventures in automotive retail, insurance and high fashion. Among the board level skills listed against her name are: Strategic planning, thinking and management; global exposure; accounting and legal; and regulatory compliance. Subsequent to her appointment on the board, Priya has also been made the chairperson of Sona's CSR committee. The feud: Rani Kapur has raised questions about the ownership structure of Aureus, the company through which the Kapur family owns 28.02 per cent stake in Sona BLW Precision. Reports have suggested that the matriarch has alleged she was made to sign several documents without knowing their content and that she was suspicious of the cause of death of Sanjay. Though nothing has been said about any opposition to Priya's appointment as a director in Sona after Sanjay's demise, the very fact that Aureus' shareholding is being questioned automatically brings the spotlight on to the late Chairman's wife and her role at Sona. Vaibhav Gaggar, the lawyer representing Rani Kapur, meanwhile sought more time to respond to questions over the entire dispute.
