Fund of funds launch spree moves to hybrid, diversified equity space

The renewed activity in the fund of funds (FoF) space, previously limited to the debt-plus-arbitrage category, is now shifting towards diversified equity and hybrid offerings. At least five such equity and multi-asset schemes are lined up for launch in the coming months, according to scheme documents filed with the Securities and Exchange Board of India.

Vizag PCPIR stuck in limbo due to gaps in execution: NITI report
Visakhapatnam: Launched in 2007, Petroleum, Chemicals, and Petrochemicals Investment Regions (PCPIRs) are designated industrial zones aimed at driving petrochemical production through focused investment and infrastructure development. The Union govt approved four PCPIRs in Visakhapatnam (Andhra Pradesh), Dahej (Gujarat), Paradip (Odisha), and Cuddalore-Nagapattinam (Tamil Nadu). Despite being envisioned nearly two decades ago, the proposed PCPIR between Kakinada and Visakhapatnam remains unrealised. Spanning 640 square kilometres, its draft master plan projected 43,744 crore in investments and large-scale job creation—but momentum has stalled amid tepid investor interest. Key infrastructure, including LNG terminals at Kakinada and Gangavaram ports and a utility centre at APSEZ, as yet to take shape. According to the NITI Aayog report, the Visakhapatnam-Kakinada hub has attracted investments worth 20,000 crore, whereas the PCPIR in Gujarat attracted over 1.2 lakh crore. "Strengthening infrastructure and regulatory processes, as well as securing anchor tenants, will be essential for realising the region's full potential. Critical areas still need attention to fully unlock the PCPIR's promise. To maintain global competitiveness, the region must improve infrastructure, streamline regulatory processes, prioritise sectoral growth, and address environmental and community concerns," said the NITI Aayog report. In response to these challenges, the Andhra Pradesh govt has recently decided to update the master plan for the Visakhapatnam-Kakinada PCPIR and appointed an agency to undertake this task. This agency will also be responsible for preparing a perspective plan and a zonal development plan. Furthermore, in 2021, the state govt replaced the then-existing Visakhapatnam-Kakinada PCPIR Special Development Authority with the VK-PCPIR Urban Development Authority (UDA) through an official gazette notification. The inclusion of new villages expanded the VK-PCPIR UDA to cover a total area of 640 square kilometres, spanning seven mandals in Visakhapatnam district and three in Kakinada district. The new entity now encompasses 10 revenue mandals and 97 villages, stretching from Kurada village in Visakhapatnam district to Vakalapudi in Kakinada. Officials from the Visakhapatnam Metropolitan Region Development Authority (VMRDA) said that meetings will be held with stakeholders in key areas within the VK-PCPIR UDA, and their suggestions will be incorporated into the updated master plan. PCPIRs across the country are designed to promote investments in the petroleum, chemicals, and petrochemical industries. These regions may include one or more special economic zones (SEZs), industrial parks, free trade and warehousing zones, export-oriented units, and growth centres.

RPT rules reform: Sebi proposes turnover-linked thresholds for related party deal approvals; move aims to ease compliance for large firms
The Securities and Exchange Board of India (Sebi) has proposed a new threshold-based framework to determine the materiality of related party transactions (RPTs), aligning the compliance burden with the turnover scale of listed entities. According to a consultation paper released on Monday, Sebi suggested that for companies with an annual consolidated turnover up to Rs 20,000 crore, an RPT will be considered material if it exceeds 10% of the turnover, PTI reported. For companies with turnover between Rs 20,001 crore and Rs 40,000 crore, the proposed threshold is Rs 2,000 crore plus 5% of the turnover exceeding Rs 20,000 crore. For firms with turnover above Rs 40,000 crore, the limit will be Rs 3,000 crore plus 2.5% of the incremental turnover, or Rs 5,000 crore — whichever is lower. An absolute ceiling of Rs 5,000 crore has been proposed to safeguard the interests of minority shareholders. At present, the LODR (Listing Obligations and Disclosure Requirements) norms require listed entities to seek shareholder approval for RPTs exceeding Rs 1,000 crore or 10% of the consolidated turnover, whichever is lower. To further ease the compliance load, Sebi has suggested a simpler disclosure format for smaller RPTs. If the total value of transactions with a related party in a financial year, including ratified ones, does not exceed 1% of the annual consolidated turnover or Rs 10 crore (whichever is lower), a reduced set of disclosures may be submitted to the audit committee and shareholders. The current exemption for RPTs up to Rs 1 crore will remain unchanged. Sebi has also proposed modifications to omnibus approvals for RPTs. Approvals obtained at an annual general meeting (AGM) will be valid until the next AGM, capped at 15 months. If taken in any other general meeting, the validity will be limited to one year. Going beyond politics, Karnataka and the Union government should work together to improve Bengaluru's infrastructure, urged Ashwini Vaishnaw, Minister for Railways, Information and Broadcasting and Electronics & Information Technology. He was delivering a virtual keynote address at the opening of SAP Labs' largest campus in India at Devanahalli here on Tuesday. He said the Union government was committed to working with the State government, despite political differences, to improve the infrastructure condition of the city. Rail connectivity The Minister further said that the government was keen to improve the transportation facility within the city and outside the city. 'We are planning to double the rail connectivity within the city and to the city from outside in the next three years,' he said. Earlier, inaugurating SAP Labs India Innovation Park, on 41 acres of land at Devanahalli, Chief Minister Siddaramaiah said, 'Both Airport Metro line and suburban rail were being fast tracked to be ready by 2029. He said he was committed to balancing, decentralising, and sustainable growth beyond the core of Bengaluru.' He said that his government was happy to partner with SAP Labs in areas like digital governance, smart cities, skilling, and sustainability to empower MSMEs, and enhance government services in the State. The new SAP facility represented the global enterprise's deep trust in Karnataka's capability, the Chief Minister said. Since 1998, SAP Labs India, headquartered in Bengaluru, has grown to become SAP's largest R&D facility outside Germany. 'As we advance in clean energy, sustainable mobility, and eco-conscious growth, investments like this demonstrate how economic progress and environmental responsibility can go hand in hand,' Mr. Siddaramaiah said. On education and skill development, he said, with an ambitious ₹2,500-crore programme supported by the World Bank, his government was strengthening first-grade colleges, establishing a Centre of Excellence, and enhancing R&D capabilities to build a skilled, future-ready workforce aligned with the demands of advanced technologies.
