
Brothers who control Starbucks franchise in Ireland banned as company directors
A High Court judge imposed the restriction after finding Colm and Ciaran Butler failed to prove they acted responsibly in their operation of one of their companies, Downtul Ltd, which leased a premises on Dublin's St Stephen's Green that operated as a Starbucks.

In a judgment published on Wednesday, Ms Justice Nessa Cahill noted the brothers are directors of more than 130 companies each.
'It is plain from this fact – and from the vigour with which this application was opposed – that the declarations of restriction sought in the particular circumstances of this case would have significant implications for them, beyond the symbolic or reputational,' she said.
Her orders followed an application from the liquidator of Downtul, Patrick O'Connell. Downtul was placed into voluntary liquidation in November 2022.
Mr O'Connell later raised concerns that the brothers did not act honestly and responsibly 'with regard to their duties, responsibilities and actions' as directors of Downtul.

Arising from this, Mr O'Connell sought an order for the brothers to be restricted from acting as company directors or secretaries for five years unless the company meets certain requirements set out in the Companies Act 2014.
The Butlers opposed Mr O'Connell's application.
A hearing of the case lasted five days, with both sides calling expert witnesses.
Acceding to the liquidator's request, Ms Justice Cahill said she was not satisfied the brothers acted responsibly in relation to Downtul's affairs, but they showed they acted honestly.

Ms Justice Cahill said her findings arose primarily from the brothers' operation of Downtul, and a related company they controlled: Atercin Liffey Unlimited Company.
Downtul's function was to lease a premises at Stephen Court, St Stephen's Green, and it did not trade or carry on a business. It entered into a lease agreement for the premise in December 2013, its sole transaction.

Atercin operated a Starbucks cafe out of the Stephen's Green premises. The judge noted that Atercin operated from the premises rent-free for two and a half years and obtained Government supports to deal with the impacts of the Covid-19 pandemic.
In effect, Downtul bore the liability and cost of the lease, while Atercin occupied the leased premises and earned revenue from its trade there.

The judge said Downtul received no contribution from Atercin towards rent due on the Stephen Court premises, 'and, consequently, was unable to pay its debts as they fell due'.
'In allowing the company to enter and maintain these arrangements, and in failing to ensure an enforceable mechanism by which the company could obtain the funds necessary to discharge its liabilities as they fell due or otherwise protect its position, the respondents [the Butlers] failed to demonstrate responsible conduct with regard to the interests of the company,' the judge said.

Plans for €1bn data centre campus and solar farm in Co Westmeath
Plans are to be lodged in the coming days for a €1 billion data centre campus and solar farm on a 600-acre site in Co Westmeath. This follows Red Admiral DC Ltd, which is owned by Offaly businessman Nigel Reams and forms part of his Lumcloon Energy Group, giving notice that it is to lodge plans to Westmeath County Council for a six-unit data centre and a decentralised energy resource on townlands across Rochfortbridge, Co Westmeath. Advertisement The project is being developed in partnership with SK Ecoplant, a Korean engineering company that announced its collaboration with Lumcloon to supply power to the data centre in 2023 from solid-oxide fuel cells, which generate electricity from natural gas. The company is seeking planning permission for a 10-year period. The scheme also includes a solar farm across 166 hectares (410 acres) of the overall site and is to lie east to the data centre campus. The application to Westmeath County Council follows An Coimisiún Pleanála (ACP) in May ruling that the case is not a Strategic Infrastructure Development (SID). Advertisement SID applications are lodged direct to An Coimisiún Pleanála and the commission's ruling has resulted in the plans going before a local authority where a decision can come before ACP on appeal. The site of the planned data centre campus within a 96-acre site of the overall 60- acre landholding is located in the townlands of Kiltotan, Collinstown, Oldtown and Farthingstown, Co Westmeath. The site is immediately south-west of Rochfortbridge and occupies land either side of the R446 regional road and M6 motorway. As part of the SID evaluation process, the company told ACP that a Decentralised Energy Resource (DER) which comprises a number of power assets and technologies will generate, store and manage electricity close to the data centre, rather than relying on the existing electricity network. Advertisement The company told the commission that the DER would result in reduced transmission losses, reduced emissions and improved cost and operational efficiencies. The firm said this would enable the data centre campus to support decarbonisation through digitalisation and support a climate neutral economy. Documentation lodged with ACP said the DER has been designed to replace conventional standby diesel generators which are typically used for back-up supply. The planning application is to run concurrent with plans to ACP for high voltage lines and an electrical plant. The planning notice states that the scheme involves development that will requires an Industrial Emissions Licence from the Environmental Protection Agency (EPA).

Financial consultant 'puts hands up' over alleged misappropriation of €800,000
A financial consultant has "put his hands up" in relation to the alleged misappropriation of some €800,000 from two companies which own a Dublin pub, the High Court heard. David Kennedy, of Orwell Park Grove, Templeogue, Dublin, and who operates David Kennedy Financial Consulting Ltd based at Orwell Shopping Centre, Templeogue, "wishes to be of as much assistance as he can" in efforts to recover the money, his barrister Micheál D O'Connell SC told the court on Tuesday. Advertisement It followed an order by the court last week freezing the assets of Mr Kennedy, his wife Danielle Colgan, and the company, following claims of misappropriation by two brothers who were the ultimate owners of the pub "Quinlans", known as the Black Lion Gastropub in Inchicore. The court was told Mr Kennedy has been arrested by gardaí and charged with fraud over the matters. Mr Kennedy and the agency are now being sued by joint liquidators appointed to replace the financial consultant as liquidator of BabylonCQ Ltd and Wildemount Assets Ltd, which were respectively owned by brothers Cormac and Gavin Quinlan. Both companies were shareholders in KCR Taverns Ltd which operated the pub. KCR bought back BabylonCQ and Wildemount shares some years ago, essentially capitalising the two firms for €400,000 each. In 2024, a decision was made to release the funds in the companies for personal use. This meant the companies were voluntarily wound up and Mr Kennedy was recommended to do the job by the Quinlans' accountants. Advertisement In an affidavit seeking the freezing orders, Eoin Massey, who along with Tom Murray is a joint liquidator of the firms, said the accountants told the Quinlans Mr Kennedy was well regarded in the orderly winding-up of companies. The capitalised monies from the two companies was transferred to Kennedy Financial Consulting's client account as part of the winding-up process and so the funds could then be disbursed. However, Mr Massey said after months of broken promises to transfer the monies back, the brothers, through the companies, appointed Mr Massey and Mr Murray to replace Mr Kennedy. The brothers made complaints to the gardaí and Corporate Enforcement and in June they were informed Mr Kennedy had been arrested, charged and that further charges may be brought, Mr Massey said. Advertisement As a result of the joint liquidators' investigations, they brought the freezing of assets application because of what Mr Massey said was the behaviours, actions and failures of Mr Kennedy. Mr Justice Brian Cregan ordered the freezing of the assets of the defendants below €800,000 and returned the case to Tuesday when Mr O'Connell, for Mr Kennedy, said his client was "putting his hands up in relation to this and wishes to be of as much assistance as he can" in restoring the money. Counsel said Ms Colgan is Mr Kennedy's wife and she was joined to the case on the basis of a particular letter of appointment and is not an appropriate defendant as she says she has no liability. His side was proposing to put the case back for two weeks during which certain monies can be transferred back to the companies' accounts. The transfer of monies is prohibited under the freezing order but counsel did not think there was any difficulty with the plaintiffs' side if transfer back could be allowed. He said it had also been agreed that €12,000 could be withdrawn from the defendant account to cover living and legal expenses, for the time being. Jarlath Ryan SC, for the liquidators, said the proposals were helpful and there would be no reduction of funds but he did not think it necessary to strike out the case against Ms Colgan. Mr Justice Cregan amended the freezing orders to allow for the payment of €12,000 living expenses. He directed Mr Kennedy to provide bank statements and an affidavit and adjourned the case for two weeks.

Minister told new apartment guidelines are ‘insanity'
The Housing Minister has been told his plan to lower the cost of apartments by reducing their size is 'insanity'. The Cabinet signed off on new guidelines for apartment building brought by Minister James Browne on Tuesday. In an attempt to improve delivery costs of apartment schemes, the Government would also remove any restrictions on apartment mix. The stated aim of the measures is to improve the viability of apartment building. Mr Browne said his proposals will reduce costs by between €50,000 to €100,000 per unit. It also reduces the guidelines for the number of apartments required to have dual aspect windows. 'For the third time, a minister of Fianna Fail/Fine Gael Government has brought forward regulations to undermine and reduce standards of apartments.' Mr Ó Broin said the new guidelines would allow for 'smaller, darker apartments in sub-optimally planned residential developments'. Mr Ó Broin said the minister had also created 'huge uncertainty' in the planning and development sectors. He added: 'What I don't understand is the claim that you've made – albeit with some caveats in your press release – that these changes will result in some cases of a reduction in cost per unit of 50,000 to 100,000 euro.'
