Pine Labs files DRHP with Sebi for IPO; to raise ₹2,600 cr via fresh issue
The IPO is a combination of fresh issuance of equity shares worth ₹2,600 crore and an offer for sale (OFS) of more than 14.78 crore shares by investor selling shareholders, according to the draft red herring prospectus (DRHP) filed on Wednesday.
Under the OFS, Peak XV Partners, London-based Actis, PayPal, Mastercard Asia/Pacific, Temasek through Macritchie Investments, Invesco, Madison India Capital, MW XO Digital Finance Fund Holdco, Lone Cascade LP, and Pine Labs co-founder Lokvir Kapoor will be divesting their shares in the fintech firm.
The company plans a pre-IPO placement of shares aggregating to ₹520 crore. If the pre-IPO placement is completed, the fresh issue size will be reduced.
Proceeds from the fresh issue to the tune of ₹870 crore will be used by the company to repay debt and ₹760 crore will be used for investment in IT assets, expenditure towards cloud infrastructure, technology development initiatives and procurement of digital checkout points.
The company will use funds worth ₹60 crore for investment in its subsidiaries such as Qwikcilver Singapore, Pine Payment Solutions, Malaysia, and Pine Labs UAE for expanding the presence outside the country, and the balance for general corporate purposes, and unidentified inorganic acquisitions.
Noida-based Pine Labs is a technology company focused on digitizing commerce through digital payments and issuing solutions for merchants, consumer brands and enterprises, and financial institutions.
For the fiscal ended December 31, 2024, it has processed paytments worth ₹7,53,105 crore in gross transaction value and 3.97 billion transactions through its platforms.
The company had more than 9.15 lakh merchants, 666 consumer brands and enterprises, and 164 financial institutions, who used its platforms to enable transactions quickly, securely and easily manage their business.
According to the Redseer report, Pine Labs is one of the top five in-store digital platforms, and a prominent Bharat Bill Payment System transactions processing solutions provider in FY24.
The company competes with the likes of Paytm, Razorpay, Infibeam, PayU Payments, PhonePe in the domestic market and Adyen, Shopify and Block in the overseas markets.
For the fiscal ended December 31, 2024, the company reported a revenue from operations at ₹1,208.2 crore and profit after tax at ₹26.14 crore.
The shares of the company are proposed to be listed on the BSE and NSE.
Axis Capital, Morgan Stanley India Company, Citigroup Global Markets India, JP Morgan India, Jefferies India are the book running lead managers while KFin Technologies is the registrar for the IPO.

PSU stock Bank of Baroda declares date to announce Q1 results 2025. Details here
Public sector lender Bank of Baroda (BoB) on Thursday, July 17, announced the date for the board meeting to consider the financial results for the quarter ended June 30. The PSU stock in an exchange filing said that its board will meet next week on July 25 to approve the earnings for the first quarter of the financial year 2025-26 (Q1 FY26). "We advise that a meeting of Board of Directors of Bank of Baroda will be held on Friday, 25th July 2025 at Bank's Corporate Office, BKC, Mumbai inter-alia to consider & approve the Un-audited (Reviewed) Standalone & Consolidated Financial· Results of the Bank together with relevant segment reporting, for the quarter / three months ended 30th June 2025," the company said in a filing today. Bank of Boroda is expected to post poor results in the June 2025 quarter, with both topline and bottomline expected to contract. BoB could see a 22% year-on-year (YoY) decline in Q1 net profit to ₹ 4851 crore, according to estimates by brokerage Kotak Institutional Equities (KIE) amid an 8% YoY dip in net interest income (NII). KIE pegs Bank of Baroda's Q1 NII at ₹ 10,695 crore. "We expect operating profits to decline ~7% YoY as there would be pressure on revenue growth (slower loan growth and pressure on NII). We are building NIM to decline 10 bps QoQ to factor in the rate cut. Reported loan growth at 13% YoY (ahead of industry average) while deposits grew 9% YoY," said the brokerage. Meanwhile, Axis Securities sees a decline in Q1 PAT for Bank of Baroda, albeit smaller. It pegs PAT at ₹ 4485 crore, down 7% YoY. NII, however, is likely to fall 7.8% YoY to ₹ 11,600 by its estimates. Asset quality outlook and loan book traction, especially on the retail portfolio, will be key monitorables, as per the brokerage. Bank of Baroda shares closed 1.12% lower at ₹ 246.25 apiece on the BSE today. However, the stock is up 8% for the year. In the past one year it has lost 5% but gained 22% over a two-year period. Hexaware Technologies to acquire SMC Squared in a cash deal of ₹120 million to up its GCC play
Hexaware Technologies, a provider of IT solutions and services, has acquired SMC Squared, a player in building global capability centers (GCCs), in a cash deal of $120 million to enhance its GCC presence in India, as per a regulatory filing by the company on Thursday (July 17, 2025). Regarding the acquisition, Hexaware stated that India remained a strategic growth market for the company. The Global Capability Center (GCC) segment was experiencing exponential growth in the country, with the market projected to exceed $100 billion by 2030. 'This presents a significant opportunity for Hexaware to expand its footprint and deepen its capabilities in this space,'' it said in the filing. By acquiring SMC, Hexaware would gain established GCC expertise through SMC's proven playbook and relationships in the mid-market GCC segment, and the buyout was also expected to give a boost to its go-to-market strategy, it said on BSE. SMC has a total workforce of around 500 employees, with offices in India and delivery centers in India, in Bengaluru and Hyderabad. 'Our clients are increasingly looking for GCC partners who bring more than staffing or infrastructure,' said Amrinder Singh, President & Head – EMEA & APAC Operations, Hexaware. 'With SMC Squared, we gain proven governance, delivery credibility, and scale in areas where execution strength is non-negotiable. Irdai may curb Kiwi Insurance's retail health plans over promoter links
Insurance sector regulator Irdai may restrict Kiwi General Insurance from offering retail health products to avoid direct overlap, as the promoter of the non-life firm, WestBridge Capital, also holds a majority stake in leading standalone health insurer Star Health and Allied Insurance, sources said. Under existing regulations the same promoter cannot hold stake in two similar nature insurance firms. With about 60 per cent stake in Kiwi General Insurance, WestBridge now effectively holds a significant stake in companies that will both operate in the retail health insurance segment. It currently holds about 40 per cent stake in Star Health and Allied Insurance Company Ltd, as per information available on the BSE. However, public sector banks have got regulatory forbearance from Insurance Regulatory and Development Authority of India (Irdai) following the consolidation exercise undertaken in 2020. "This is the first time in the industry that the regulator is faced with a scenario where it not only has to prevent a private sector promoter conflict of interest but also ensure the protection of policyholders and minority retail investors, given that Star Health Insurance is a listed company, sources said. A mail sent to WestBridge Capital seeking their response on some of these issues remained unanswered. It is to be noted that the Irdai in its 132nd board meeting earlier this week approved the R1 licence for Kiwi General Insurance. Following the preliminary approval, debate in the industry has started about whether the final approval from the regulator would be with the rider given the prevailing regulatory environment. "If the current nominees of Westbridge on the board of star health insurance also join the board of Kiwi General Insurance, then it may pose corporate governance issues," said an executive with an insurance firm. Another industry expert said that with controlling stakes in both these firms, there may be a potential for merger. "If that doesn't happen then the only option is that WestBridge dilutes its holding in Star Health below promoter level," the person said, adding, the regulator can also restrict Kiwi General Insurance from offering retail health products to avoid direct overlap. "The timing of WestBridge's new insurance company licence is surprising, as the upcoming Insurance Laws (Amendment) Bill is expected to allow composite licences, enabling firms like Star Health to expand into general insurance under a single license," an executive of another firm said. Given that this legislative reform is expected in the coming months, it is unclear why WestBridge has chosen to pursue a new licence through Kiwi instead of expanding Star Health's scope, he said. There are about 34 general insurance companies operating in the country. Of these, 7 are standalone health insurance companies while two are government-owned specialised general insurance players -- Agricultural Insurance Company of India Ltd and ECGC Ltd.
