Relentless Ambition: Blackpearl Acquire B2B Rocket And Announces It Will Dual List On The ASX

Scoop3 days ago
Black Pearl Group Limited (NZX: BPG) has signed a conditional agreement to acquire 100% of B2B Rocket Inc - a fast-scaling US-based AI sales automation company with a laser focus on helping small and mid-sized businesses grow. In parallel with this transaction, Blackpearl has confirmed it is preparing to file an application to dual list on the ASX.
B2B Rocket specialises in intelligent outbound sales agents that can generate, qualify and engage leads without human input. The platform has already achieved over US$2.1 million in annual recurring revenue (ARR) and is rapidly expanding across the US.
'Relentless ambition is the common thread. B2B Rocket is cut from the same cloth as us - founder-led, customer-obsessed and unapologetically focused on delivering results. Their AI-powered outbound engine is the perfect complement to what we offer with Pearl Diver,' says Blackpearl CEO Nick Lissette.
The two products are already integrated in select customer environments, unlocking a new level of automation and cross-sell opportunity for sales teams who want more pipeline with less pain.
'This is far more than just a bolt-on,' says Lissette. 'It's an investment in category leadership where humans and AI work together to power customer acquisition at scale. This acquisition and our ASX ambitions reinforce our trajectory. Our platform, our people and our playbook are all geared toward sustained, scalable growth,' adds Nick.
About the deal
Under the terms of the agreement, the consideration includes an upfront cash payment and an equity component in Black Pearl Group.
An additional performance-based earn-out is structured over a five-year period, combining cash and equity, and is tied to B2B Rocket achieving agreed revenue milestones. The structure is designed to reward sustained growth and customer acquisition momentum, with the maximum payout aligned to significant ARR expansion.
'With B2B Rocket on board and ASX listing in motion, we aren't just expanding; we're accelerating. Relentless ambition isn't just a tagline…it's the model,' concludes Lissette.

Auckland Company Highlights Whole-Home Climate Control With Ducted Heat Pump Solutions

Happy Air Heat Pumps, an Auckland-based provider of climate control systems, is drawing attention to the benefits of ducted heat pump technology for both residential and commercial properties. The company's team of Auckland ducted heat pump installers specialises in the installation and servicing of centralised heating and cooling systems designed to provide even temperature control throughout entire buildings. Ducted heat pump systems operate by distributing warm or cool air through a network of vents, offering a discreet alternative to traditional wall-mounted units. According to Happy Air Heat Pumps, this approach eliminates hot and cold spots and can be configured to allow for smart zoning, enabling different areas of a home or office to be set to individual temperatures. The company supplies and installs leading brands such as Fujitsu and Daikin, noted for their energy efficiency and reliability. The demand for ducted air conditioning in Auckland has increased as property owners seek solutions that balance comfort, energy savings, and aesthetics. Ducted systems are particularly suited to open-plan or multi-level buildings, as they deliver consistent airflow to all rooms via a single, centralised unit. Installations can be tailored to suit new builds or retrofitted into existing structures, with options ranging from whole-home systems to smaller, low-noise solutions for bedrooms and targeted spaces. Happy Air Heat Pumps provides guidance throughout the process, from initial consultation and system selection to installation and ongoing support. The company offers free on-site assessments and quotes, aiming to ensure that each system is matched to the specific needs of the property. For Auckland residents and businesses considering a move to ducted climate control, the company's experienced installers and focus on efficient service are available to assist with enquiries and planning.

Optimising TCO for data-intensive technologies and applications

The pace of digital transformation and artificial intelligence has triggered an unprecedented surge in data generation. In response, data storage has become a vital cornerstone of modern infrastructure - essential to keeping up with this rapid evolution. Organisations of all sizes are feeling the pressure, but the impact is especially profound on hyperscale enterprises, including the world's largest search, social media, entertainment, and eCommerce platforms. For these businesses, scaling storage infrastructure efficiently, cost-effectively, and sustainably is key to long-term success. In Australia, hyperscalers and colocation providers are accelerating large-scale investments driven by growing AI and cloud demand to establish high performance and high-capacity computing infrastructure. The Australian data centre market was valued at US$6.81 billion in 2024, and is projected to reach US$8.58 billion by 2030 - reinforcing the country's potential for growth. With growing volumes of data, use cases and applications in the cloud and on-premises, data centre managers are also constantly under pressure to provide unwavering reliability and Service Level Agreement (SLA) performance at the lowest possible cost. Lowering total cost of ownership (TCO) influences almost every decision they make. And achieving the lowest possible TCO is money saved, which drives revenue and fuels additional services. HDD innovations redefine cost efficiency TCO is complex; it is strategic, and it is long-term. Reducing TCO also involves numerous factors. The cost of a drive or the price per terabyte (TB) is important, but this is just one of several considerations that go into a compound equation that can help lower TCO. Other factors can include the amount of floor space, the cost of power and cooling, and maintenance and repairs, just to name a few. The pressure to cut TCO is influencing data centres to increasingly rely on storage solutions that offer high-capacity, low power, performance and proven reliability in a cost-effective design. In fact, HDD innovation continues to be the backbone for data-heavy technologies and applications to thrive. Today, most of the world's stored data resides on HDDs and there is simply no substitute that can deliver the same TCO value at scale for data centres - not flash, not tape. For data centre architects, moving to the highest capacity HDDs quickly means scaling efficiently without increasing the physical footprint while reducing watts/TB, power and cooling costs. HDDs today are designed to hold more data within the same 3.5-inch footprint, scaling for exponential growth while reducing TCO. Innovations like helium-sealed drives, OptiNAND technology, UltraSMR, and energy-assisted technologies have enhanced capacity, performance, reliability, and power efficiency of today's massive-capacity HDDs. For example, replacing 24TB HDDs with higher capacity drives to deploy 2PB of storage can reduce server count by 25%, cut energy consumption per terabyte by 20%, and lower infrastructure and maintenance costs. These gains reduce physical space requirements and operational expenses while maintaining storage performance, helping businesses optimise their storage density and costs. Innovation push More data equals more value especially for AI, and businesses would store more data if they could do so in a cost-effective and efficient manner. Moving to the highest capacity HDDs can help. High-capacity HDDs will continue to play a key role in all of this and are the most economical media to store massive amounts of data online and at scale. The benefits translate into overall data centre power and cooling savings, which can play an important role in helping data centres operate greener.

Rippl & Onpack deliver custom water cans with digital printing

Onpack has partnered with Melbourne-based water solutions provider Rippl to facilitate the growth of Rippl's custom-branded mineral water business through the use of advanced digital direct-to-can printing technology. Rippl, founded in 2023, supplies custom-branded aluminium mineral water cans to businesses across Australia, offering both still and sparkling options alongside bottled solutions and water filtration products. The company's approach enables Australian businesses to promote their image by providing sustainable and health-conscious hydration options without needing to commit to high minimum order quantities. Bade Hilton, Chief Executive Officer of Rippl, described the value proposition for businesses and the need for a production partner capable of supporting the company's requirements. "Rippl offers high-quality, digitally printed slimline aluminium cans filled with high-alkaline, mineral-rich water in both sparkling and still. It's a product people actually want to drink and share. From day one, we set out to disrupt the water industry by offering the most cost-effective way to put your brand directly into your customers' hands, while also being healthy and sustainable," said Hilton. "Every can needed to be completely tailored to the customer, which is what makes it such a powerful brand tool. That meant we needed a partner who could move quickly without compromising quality. Onpack made that possible." Rippl's collaboration with Onpack centres on the use of Hinterkopf digital printing machinery - technology supplied and supported by Jet Technologies. This solution enables graphics and branding to be printed directly onto the aluminium cans, eliminating the traditional need for labels or sleeves. Colourful, high-resolution artwork can now be printed straight onto cans, accommodating short-run, seasonal, or campaign-based branding with reduced material usage and energy requirements. To date, Rippl has produced over 716 unique can designs and supplied more than 300,000 units to clients nationwide. The efficiency of Onpack's digital process is core to this achievement. Michael Nankervis, Managing Director at Onpack, emphasised the agility and benefits of the printing system. "Rippl's business model demands agility, precision and speed. Because our process is entirely digital, we can transform a blank can into a fully branded product within 48 hours. Our solution requires no tooling, no plate costs and delivers no waste. From design to filling, we can help brands move from concept to shelf in as little as two weeks, something traditional printing methods just can't match," he explained. Rippl manages production using a four-week cycle in which customer orders are aggregated. Upon completion of each cycle, Onpack prints up to 30,000 cans across 40 to 70 individual designs within a 48-hour window. The cans are then filled in Melbourne two days later and shipped to customers across Australia. This system enables the company to manage variable order volumes while maintaining efficiency and product quality. One of the distinguishing aspects of Onpack's service is the reduction in waste and energy use compared to more conventional packaging approaches. Digital printing eliminates the requirement for labels or sleeves and enables sharp, full-colour results with no fixed setup costs. Onpack is reported to be one of only two providers in Australia able to offer this capability at present. Hilton noted the importance of branding and sustainability to clients who choose the custom-branded cans. "We set out to create a product that businesses would be proud to put their name on. Something premium, sustainable, and truly distinctive. That vision demanded more than just great mineral water, it required packaging that could carry a brand. Onpack's technology has allowed us to deliver completely custom cans at speed and scale, without compromising on quality or environmental values," he said. The custom can solution is being used by a diverse set of customers, including corporate offices and event organisers. Cans are available in both matte and gloss finishes, with minimum order quantities starting at 240 units and lead times ranging between two and five weeks.
