The two companies said on Monday that Sanofi (SASY.PA), opens new tab would initially pay $129.00 per share in cash, or around $9.1 billion. Blueprint shares jumped 27% to $128.74 in premarket trade. Sanofi stock was down about 1%.
Sanofi has ramped up research and development spending in recent years, prompting the company to abandon its long-term profit margin targets two years ago, as it seeks to build on the success of its blockbuster drug Dupixent for eczema and other conditions.
However, it suffered a setback last week after an experimental drug for patients with a lung condition commonly called "smoker's lung" failed a late-stage trial.
The Blueprint acquisition "represents a strategic step forward in our rare and immunology portfolios. It enhances our pipeline and accelerates our transformation into the world's leading immunology company," said Sanofi CEO Paul Hudson.
The deal would add to Sanofi's portfolio the rare immunology disease drug Ayvakit, also known as Ayvakyt, approved in the U.S. and the EU, and a promising advanced and early-stage immunology pipeline.
Ayvakit is the only approved medicine for advanced and indolent systemic mastocytosis, a rare blood disorder that occurs when the body makes abnormal mast cells - a type of white blood cell. It triggers a continuous allergic response.
The acquisition would also bring elenestinib, a next-generation medicine for systemic mastocytosis, as well as BLU-808, a highly selective and potent oral wild-type KIT inhibitor that has the potential to treat a broad range of diseases in immunology.
The deal makes "strategic and financial sense", said JP Morgan analysts in a note, noting that Blueprint expects Ayvakit to reach annual sales of around $2 billion by fiscal year 2030.
"We see the transaction as a good fit for Sanofi at a sensible valuation, which investors should see as a positive with time," they added.
It is the latest in a series of deals by Sanofi. Last month, it announced the $470 million purchase of Vigil Neuroscience (VIGL.O), opens new tab and in January 2024 it struck a $2.2 billion deal for U.S biotech firm Inhibrx.
Hudson said the deal complemented Sanofi's recent acquisitions of other early-stage medicines and added that it still retained a sizable capacity for further deals.
The company has said it plans to invest at least $20 billion in the United States through 2030 to boost manufacturing and research, joining other drugmakers in responding to President Donald Trump's drive to boost local manufacturing.
Besides $129.00 per share in cash, Blueprint shareholders would also receive one non-tradeable contingent value right (CVR) per share, which would entitle the holder to receive two potential milestone payments of $2 and $4 per CVR for the achievement, respectively, of future development and regulatory milestones for BLU-808.
The total equity value of the transaction, including potential CVR payments, is $9.5 billion on a fully diluted basis. It is expected to close in the third quarter, pending regulatory and shareholder approvals.

NS&I launches new fixed-rate savings accounts - here's what's on offer
National Savings and Investments has launched a new range of fixed-rate savings bonds for those wanting to lock their money away. The Treasury-backed bank has launched new issues of its Guaranteed Growth Bonds and Guaranteed Income Bonds, collectively known as British Savings Bonds. Savers will now be able to open new two, three and five-year bonds, while NS&I has also boosted the rates it pays on its existing two and three-year bonds. New NS&I customers can open the bonds as well as existing customers whose bonds are maturing. In April, NS&I launched new issues of its one, two, three and five-year fixed rate savings accounts. It was the first time these accounts had been available with NS&I at the same time. The rates on the issues launched today have fallen from the previous issues, however, in a blow to savers seeking better returns for locking their money away. The new two-year British Savings Bonds have been cut to 3.85 per cent for both the growth and income options, previously these bonds payed 4 per cent. The three-year versions of the bonds will offer 3.88 per cent, down from the previous issue's rate of 4.1 per cent. The new interest rate on the five-year growth option is 3.84 per cent down from 4.06 per cent. There is no change to the rate on the one-year British Savings Bonds, which remain at 4.05 per cent for both the growth and income option. At the same time, NS&I is changing the rate on its Junior Isa to 3.55 per cent. This is the first time the rate has changed on the Junior Isa since August 2023, when it was 4 per cent. Andrew Westhead, NS&I retail director, said: 'Today's announcement is in response to changes in the wider market and will ensure we continue to offer a range of fixed-term options while balancing the interests of savers, taxpayers and the broader financial services sector.' How do NS&I rates compare? The rates now fall well short of the best-buy fixed rate savings deals. The top two-year fixed rate bond on the market pays 4.43 per cent and is offered by Cynergy Bank, compared to NS&I's 3.85 per cent one-year bond. Savers can also do better than NS&I's three-year bonds by keeping their cash in the best three-year fixed-rate deals This pays 4.45 per cent and is offered by JN Bank. The best five year fixed-rate account pays 4.47 per cent and is offered by Birminggam Bank. Meanwhile the NS&I Junior Isa lags behind the best buys which is currently offered by Bath Building Society and pays 4.65 per cent. What are the benefits of saving with NS&I? Savers can put between £500 and £1million into the fixed rate bonds. Unlike other savings accounts, all money is 100 per cent guaranteed by the Government. This means savers don't have to spread their money between a number of savings accounts in order to make sure it is all protected, in the event that the provider goes under. When using normal savings accounts with a bank, deposits are protected up to £85,000 per bank - so those with more money than that are advised to open multiple accounts with different institutions. NS&I typically doesn't offer the highest savings deals on the market to avoid skewing it. The Treasury-backed bank said the new bond offerings balance the interests of savers, taxpayers and the broader financial services sector. Unlike Premium Bonds, these accounts are not tax-free.

Iconic car brand to ‘cut 400 jobs' despite saying it has ‘no plans' to end production in UK
AN iconic sports car manufacturer is reportedly considering axing 400 jobs after saying it had no plans to end production in the UK. The factory set to lose 30 per cent of its work force in Norfolk has been open since the 1960s. 4 4 Lotus has reportedly become the latest car manufacturer to look at slashing its UK workforce. The move comes after the brand held emergency talks and fellow motor manufacturer Nissan said it would be slashing 250 jobs from one of its UK sites. A report in the Daily Mail claims that the sports car specialist is considering cutting 30 per cent of jobs at its plant in Hethel, Norfolk. Of the 1,300 staff at the site up to 390 could now be facing down the prospect of losing their job. A decision on the job losses is expected from the brand in the next few months. Recent reports that the brand was considering closing its factory in Hethel and moving production to the US were denied by the firm. Majority owned by Chinese carmaker Geely, Lotus adamantly rejected the claims, saying in a statement: "The UK is the heart of the Lotus brand—home to our sports car manufacturing, global design centre, motorsport operations, and Lotus Engineering. "It is also our largest commercial market in Europe. "Lotus Cars is continuing normal operations, and there are no plans to close the factory. "We are actively exploring strategic options to enhance efficiency and ensure global competitiveness in the evolving market. The modern classic Lotus Elise "We have invested significantly in R&D and operations in the UK, over the past six years. " Lotus remains committed to the UK, and its customers, employees, dealers, suppliers, as well as its proud British heritage." The reports of imminent closure however sparked intervention by the government with company executives meeting business secretary Jonathan Reynolds. The meeting on Sunday, June29, reportedly saw the group discuss possible support measures. 4 4 Fears were raised that the brand would fall victim to Donald Trump's import tariffs. These were reportedly not addressed by the news that the tariffs would be reduced from 27.5 per cent to 10 per cent. Despite the emergency meeting, the offer of government support and the reduction in tariffs, the brand is still said to be set to cut a huge number of jobs. The Sun has approached Lotus for comment.
