Axis-REIT lodges RM3bil Sukuk programme for expansion

KUALA LUMPUR: Axis Real Estate Investment Trust's (Axis-REIT) trustee, RHB Trustees Bhd, through its wholly-owned subsidiary, Axis REIT Sukuk Two Bhd, has lodged a Sukuk Programme with the Securities Commission Malaysia with an aggregate nominal value of up to RM3 billion.
In a Bursa Malaysia filing today, Axis-REIT said that the Sukuk Programme, based on the Shariah principle of Wakalah Bi Al-Istithmar, allows for the issuance of Senior Islamic Medium Term Notes (Senior Sukuk) and Subordinated Perpetual Islamic Notes (Perpetual Sukuk).
"The proceeds to be raised from the Sukuk issuance will be used to, among others, support Axis-REIT's capital and development expenditure, working capital requirements, refinancing its existing or future Islamic financing, as well as other general corporate purposes," it said.
Leong Kit May, chief executive officer and executive director of Axis REIT Managers Bhd, the manager of Axis-REIT, said, "We have secured our maiden credit ratings from RAM Ratings Services Bhd, which recognises Axis-REIT's resilient fundamentals and steady growth trajectory over the years.
"The Sukuk Programme forms a key part of our prudent capital management strategy as it allows us to diversify our funding sources and optimise financing costs in a disciplined manner," she said.
RAM Ratings has assigned long-term ratings of AA2(s) for the Senior Sukuk and A1(s) for the Perpetual Sukuk, both with a stable outlook, reflecting Axis-REIT's strong credit profile and proven operating track record.
This also marks a significant milestone for Axis-REIT as it is the first time it has received inaugural credit ratings based on its corporate credit strength.

In a filing with Bursa Malaysia, Zetrix said the sukuk will primarily support the continued growth of its blockchain and artificial intelligence initiatives. Zetrix said the lodgement with the Securities Commission (SC) for the upsizing was made on July 8. The company said the programme carries a perpetual tenure and allows for multiple issuances, provided the total outstanding nominal value does not exceed RM2 billion at any given time. The sukuk has been rated AA-is with a stable outlook by MARC Ratings Bhd. Zetrix said the programme also offers flexibility to issue sukuk aligned with Ggeen, social, sustainability and sustainable and responsible investment frameworks established by the SC, the Asean Capital Markets Forum and the International Capital Market Association. CIMB Investment Bank Bhd and HSBC Amanah Malaysia Bhd are the joint principal advisers, joint lead arrangers and joint sustainability structuring agents for the programme. CIMB Islamic Bank Bhd and HSBC Amanah Malaysia Bhd serve as joint Shariah advisers.

Azis Jamman KOTA KINABALU (July 9): Parti Warisan information chief Datuk Mohd Azis Jamman has hit back at State Finance Minister Datuk Seri Panglima Masidi Manjun's recent statement that Sabah is 'not ready' to directly participate in bidding for oil blocks, calling it an excuse that exposes the real problem with how the state's resources have been managed. 'With due respect, Datuk Seri, your statement that Sabah is 'not ready' reveals more about how our resources have been handled so far: distributing concessions to cronies and sub-contractors, letting others do the work, while the government merely collects 'percent-percent',' Azis said in a statement on Tuesday. Azis argued that if the state genuinely lacks technical expertise, there should be no excuse not to recruit the right people. 'If we claim we lack expertise, why not recruit and appoint true experts? Find and hire qualified professionals, not political loyalists whose only skill is 'samun dan jilat',' he said, adding that Sabah must start somewhere if it ever hopes to gain experience. 'Every million always starts with number one. Waiting forever keeps Sabah permanently at the margins of its own wealth,' he stressed. Addressing concerns over funding, Azis pointed out that the state government had previously issued almost RM1 billion in SUKUK to settle legacy debts, including buying vessels worth hundreds of millions, the whereabouts of which, he claimed, remain unknown. 'So don't tell us it's impossible to raise funds for SMJ Energy to participate upstream and downstream in Sabah's resource-rich waters,' he said, adding that smart partnerships with credible investors could also be pursued, but with Sabah retaining control over management and its natural resources. Azis also questioned how much experience Petronas contractors had when they first ventured into upstream and downstream operations. 'If those companies were 'ready' back then, why can't Sabah — or SMJ Energy — also be ready now?' he asked. Taking aim at Masidi's oft-cited mantra of 'kerja diam-diam tapi hasil ada' (quiet work, but results are there), Azis countered that the reality on the ground tells a different story. 'It's ironic to hear about 'kerja diam-diam tapi hasil ada' when in reality, Sabah's oil wealth still leaves our shores, and our people see so little,' he said. For Azis, the real issue is not Sabah's readiness but whether its leaders are truly prepared to prioritize the people's interest over political convenience and the sub-contracting of opportunities to cronies. 'True leadership doesn't wait for perfect conditions. True leadership means starting now — building expertise, controlling our resources, and ensuring Sabah finally benefits directly from the wealth beneath our own soil and sea,' he said.

The warning follows a recent case at the Kajang Criminal Sessions Court involving a company director accused of allowing false statements regarding director appointments. Sandra Sheager Chidambaram, the director in question, was charged under Section 593(a) of the Companies Act 2016. If convicted, she faces up to 10 years in prison, a fine of RM3 million, or both. She pleaded not guilty and was granted bail of RM12,000. The next court mention is scheduled for August 22. - Bernama
