Evergreen Cahaya in share subscription deal with DPK private equity to raise RM40mil

KUALA LUMPUR: Evergreen Cahaya Holdings Sdn Bhd, a wholly owned subsidiary of Evergreen Max Cash Capital Bhd , has entered into a subscription agreement with DPK Private Equity Sdn Bhd to raise RM40 million.
In a Bursa Malaysia filing, Evergreen Max Cash said that under the deal, DPK Private Equity will subscribe to 40 million Islamic Redeemable Convertible Preference Shares (RCPS-i) at RM1 per share.
It said the proceeds raised will be utilised as cash capital to fund the operations of Ar-Rahnu Tawarruq services of Evergreen Cahaya and its identified subsidiaries.
"In particular, the gross proceeds raised will be channelled towards the disbursement of pawn loans through the Ar-Rahnu Tawarruq services outlets of the Evergreen Cahaya group as part of its ongoing efforts to expand and scale its Islamic pawnbroking operations in line with growing demand for Islamic pawn loans.
"Pending the utilisation of proceeds arising from the issuance of RCPS-i for the above purpose, the proceeds would be placed in Shariah-approved investments in accordance with the terms of the subscription agreement,' it said.
Furthermore, Evergreen Max Cash said the issuance of RCPS-i allowed it to maintain its equity interest in Evergreen Cahaya while managing the dilutive impacts, as the issuance of new ordinary shares in Evergreen Cahaya would have resulted in a direct dilution of its shareholdings.
"The dilution impact to Evergreen Max Cash's shareholding in Evergreen Cahaya will be on a progressive basis as and when the RCPS-i are converted into new ordinary shares in Evergreen Cahaya in accordance with the terms of the subscription agreement,' it said. - Bernama

Kota Kinabalu: Construction of the RM60m Sandakan Islamic Centre has reached 66pc completion and is expected to be fully finished by the end of December, said Sandakan Municipal Council President Walter Kenson. The modern complex, inspired by Sabah Governor Tun Musa Aman, is scheduled to be operational in time for Hari Raya Aidilfitri next year, with a formal launch targeted for Hari Raya 2026. 'We're aiming to complete it by the end of this year so it can be fully used by next year's Hari Raya,' Walter told reporters following a courtesy visit to Tun Musa at Istana Seri Kinabalu on Thursday. He added that the design of the centre incorporates motifs and finishes from Uzbekistan, adapted to local Sabah aesthetics. 'The progress has been very positive. We've sought Tun's approval on several design elements, especially for the main prayer hall, the multipurpose hall, and the VIP lounge. 'Tun had requested that certain features from Uzbekistan be integrated into these key spaces in harmony with local designs,' Walter said. In a statement, Tun Musa Aman expressed satisfaction with the centre's steady progress, calling it a future landmark of Islamic development in Sabah's east coast. 'This centre will serve not only as a place of worship and education, but also as a unifying hub for multi-ethnic and multi-faith communities through an inclusive and harmonious approach to dakwah,' he said. He also extended his gratitude to all involved, especially the Sabah Islamic Religious Affairs Department (Jheains) and the State Government, for their commitment to uplifting the ummah and broader community welfare. The project began in 2017 on a 5.2-hectare site along Jalan Sungai Kayu, Sandakan. However, it faced several delays due to the Covid-19 pandemic and political instability in the state. PETALING JAYA: Prime Minister Datuk Seri Anwar Ibrahim has hit back at critics of the RM100 cash aid under the Sumbangan Asas Rahmah scheme, urging Malaysians to see it through the eyes of struggling households that depend on every ringgit to get by. 'Some might say, 'it is just RM100'. If you earn RM20,000 or RM40,000 a month, of course it seems minor. 'I've seen first-hand how much it matters in rural areas,' said Anwar, who is also the finance minister, during the Finance Ministry's monthly assembly yesterday. He pointed out that the RM100 is part of a wider, phased financial support framework. For a household comprising a married couple and two adult children, total assistance is RM400, and when combined with Sumbangan Tunai Rahmah payments, the figure could rise to RM700. 'The main issue isn't how much we allocate, it's how well we manage it. We must end the culture of boros (extravagance) and sakau (misappropriation).' Responding to a criticism from the Opposition on the policy to stop subsidies for foreigners, Anwar didn't hold back. 'We've been clear that foreigners will have to pay market prices. That's our policy. But then opposition leader (Datuk Seri Hamzah Zainudin) questioned why we are burdening them. I find that baffling. What do you expect us to do? 'He's free to criticise me. I don't mind. But it's strange how, in Malaysia, some people act as if we're oppressing others or taking away their rights. This isn't about taxing them, it's about subsidies. 'We're not imposing fuel taxes. We are simply removing the 50 sen per litre subsidy we've been providing. And only for foreigners, not Malaysians. In their own countries – Singapore, Thailand, Indonesia – fuel prices are already over RM2.50 per litre. 'We're merely aligning with global market norms. Yet even that becomes a point of contention.' Anwar said the government remains committed to targeted subsidies, especially for the B40 group, and is now extending benefits to the M40 group as well, through initiatives such as reduced toll rates and lower fuel prices. He highlighted the recent deferral of toll hikes on 10 major highways and the planned reduction of RON95 fuel to RM1.99 per litre. 'M40 families that drive more and use toll roads more often will feel the difference. These aren't short-term populist handouts. They are deliberate, meaningful steps forward.' 'These measures – RM100 cash aid, toll deferments and fuel price cuts – won't fix everything overnight. But they show our commitment to responsible, people-first governance, rolled out in time for Merdeka and Malaysia Day.'

AME Elite, AME Reit get shareholders' nod for RM100.8mil acquisition

KUALA LUMPUR: AME Elite Consortium Bhd and AME Real Estate Investment Trust (AME Reit) have received approval from their respective shareholders and unitholders for a RM100.8 million deal involving three industrial properties in Johor. The properties, i-Park SAC 34, i-TechValley 35 and i-TechValley 36, are located in AME Elite's industrial parks in Iskandar Malaysia. They are single-storey factories with offices and support buildings, fully leased to long-term tenants. Selling the properties to AME Reit allows AME Elite to unlock capital for its growing industrial park projects while boosting its recurring income through its stake in AME Reit. AME Elite executive director and group chief executive officer Dylan Tan Teck Eng said the approval reinforces the strength of AME Elite's integrated model. "Completing this transaction unlocks capital for redeployment in our industrial park development plans, where we are advancing key initiatives like the Northern TechValley in Penang and our joint venture in Selangor with KLK Land. "Our agile approach allows us to capitalise on robust foreign and domestic direct investments, alongside strong demand for high-quality, integrated industrial space solutions, while strengthening our recurring income base via AME Reit," he said in a statement. I Reit Managers Sdn Bhd chief executive officer and executive director Chan Wai Leo said the fully-leased properties are strategically located within its sponsor's established industrial parks. He said this strengthened AME Reit's portfolio with quality, income-generating assets. "These acquisitions which are targeted to be completed within this financial year will contribute positively to AME Reit's earnings. "With an expanded portfolio, AME Reit is well-positioned to drive stable performance and deliver enhanced distributions to our unitholders," he added. AME Reit initiated its latest acquisitions in FY25, involving seven industrial properties totalling RM220.3 million. The latest approval obtained for the three properties in this RM100.8 million deal represents the second tranche of the transaction and are expected to be completed in phases from the third quarter of 2025 to the first quarter of 2026. Prior to this, three properties have already been successfully acquired by AME Reit in the first tranche this year amounting to RM119.5 million, namely i-Park SAC 23 & 24 in February, i-TechValley 46 in March and most recently, i-TechValley 34 in July. The remaining property from this first tranche, i-Park SAC 60 & 61, is targeted for completion in the fourth quarter of 2025. AME Reit's current portfolio stands at 40 investment properties with agreed lettable area of 2.2 million square feet with portfolio value of RM800.5 million.
